24-070 Collette Travel Service for Senior Center Trip Program CITY OF CUPERTINO SENIOR CENTER TRIP PROGRAM TRAVEL AGENCY AGREEMENT This is a non-exclusive agreement between the City of Cupertino, a municipal corporation (“City”) and Collette Travel Service, Inc., a Rhode Island corporation (“Travel Agency”) (together, the “Parties”) for the purpose of providing travel arrangements for the Cupertino Senior Center (“Agreement”). 1. Term. This Agreement is effective on the last date signed below (“Effective Date”) and will remain in effect through December 31, 2026 (“Expiration Date”). The Parties may extend this Agreement term through a written amendment to this Agreement executed by both Parties. 2. Duties of Travel Agency. a. Travel Agency, in consultation with City and subject to City’s advance review and approval, will make travel arrangements for mutually agreed upon senior trips offered by the Cupertino Senior Center within the City’s Parks and Recreation Department. b. Travel Agency agrees to the following base commission to be paid to City per traveler per trip, at 10% land (for hotel) and 10% air (for ifight). c. The details of each trip offered, including but not limited to the price, commissions to be paid to City, and cancellation policy will be documented for each trip in a form substantially similar to the form attached to this Agreement as Exhibit A (“Trip Form”). The Trip Form shall be signed by the Senior Recreation Manager, or their designee, and an authorized representative of Travel Agency. The Trip Form shall be used solely to document items for speciffc trips which are not otherwise addressed in this Agreement. In no event shall a Trip Form be used to amend or modify the terms contained in this Agreement. This Agreement shall prevail over any conificting terms or conditions in a Trip Form. d. Travel Agency will pay the agreed commissions to City in a reasonable time not to exceed thirty (30) days from the end of the trip for which the commissions are earned. e. Travel Agency must maintain complete, accurate, and detailed accounting records relating to its performance in accordance with generally accepted accounting principles and procedures. The records and supporting documents must be maintained for four (4) years from the date of the Travel Agency’s ffnal payment. 3. Duties of City. a. City will work with Travel Agency to develop trips that will be of interest to members of the Cupertino Senior Center. However, City may, at its sole discretion, decline to offer any trip proposed by Travel Agency. City may also arrange its own trips and may offer trips arranged through other travel agencies without any obligation whatsoever to Travel Agency, provided that all Collette tours must be arranged through Travel Agency. b. City will advertise trips at the Cupertino Senior Center through means including but not limited to City ifyers, brochures, newsletters, and website. c. City will collect all registration forms and payments made out to the Travel Agency, and promptly forward the forms and payments to the Travel Agency. 4. Conflicts of Interest. No olficer or employee of City shall have any interest, direct or indirect, in this Agreement or in the proceeds thereof. During the term of this Agreement, Travel Agency shall not accept employment or an obligation which is inconsistent or incompatible with its obligations under this Agreement. 5. Compliance with Laws. a. Travel Agency shall not discriminate against any employee or applicant for employment because of race, religion, creed, color, gender, age, disability, national origin, sexual orientation, or any other basis to the extent prohibited by federal, state or local law. b. Travel Agency shall comply with all federal, state, county and city laws, statutes, ordinances, rules and regulations and the orders and decrees of any courts or administrative bodies or tribunals in any manner affecting performance of this Agreement. 6. Independent Contractor. a. Travel Agency is an independent contractor and not an employee, partner, or joint venturer of City. Travel Agency is solely responsible for the means and methods of performing their duties and for the persons hired to work under this Agreement. No civil service status or other right of employment will be acquired by virtue of Travel Agency’s performance of its services under this Agreement. Travel Agency is not entitled to City’s health beneffts, worker’s compensation or any other benefft. Travel Agency must have the skills and qualiffcations to perform its duties in a competent and professional manner. Travel Agency will supply all tools, materials, and equipment required to perform its duties under this Agreement. Travel Agency is responsible for obtaining permits and licenses required by law. b. Travel Agency is solely responsible for the payment of employment taxes incurred under this Agreement in connection with Travel Agency’s employees and any similar federal or state taxes related to Travel Agency’s performance under this Agreement. Travel Agency and any of its employees, agents, and subcontractors shall not have any claim under this Agreement or otherwise against City for seniority, vacation time, vacation pay, sick leave, personal time off, overtime, health insurance, medical care, hospital care, insurance beneffts, social security, disability, unemployment, workers compensation or employee beneffts of any kind. Travel Agency shall be solely liable for and obligated to pay directly all applicable taxes, fees, contributions, or charges applicable to Travel Agency’s business including, but not limited to, federal and state income taxes. City shall have no obligation whatsoever to pay or withhold any taxes or beneffts on behalf of Travel Agency. In the event that Travel Agency or any employee, agent, or subcontractor of Travel Agency providing services under this Agreement is determined by a court of competent jurisdiction, arbitrator, or administrative authority, including but not limited to the California Public Employees Retirement System (PERS) to be eligible for enrollment in PERS as an employee of City, Travel Agency shall indemnify, defend, and hold harmless City for the payment of any employee and/or employer contributions for PERS beneffts on behalf of Contractor or its employees, agents, or subcontractors, as well as for the payment of any penalties and interest on such contributions, which would otherwise be the responsibility of City, and actual attorney’s fees incurred by City in connection with the above. 7. Indemnity. To the fullest extent allowed by law and except for losses caused by the sole and active negligence or willful misconduct of City personnel, Travel Agency agrees to indemnify, defend, and hold harmless the City, its City Council, boards and commissions, olficers, olficials, employees, agents, servants, volunteers, and contractors (collectively, “Indemnitees”), through legal counsel reasonably acceptable to City, from and against any liability for damages, claims, actions, causes of action, demands, charges, losses, costs, and expenses (including attorney fees, legal costs, and expenses related to litigation, arbitrations, administrative, and regulatory proceedings), of every nature, arising out of or in any way related to Travel Agency’s or Travel Agency’s agents negligent performance or willful misconduct under this Agreement. This includes but is not limited to liability resulting in personal injury, death, property damage, or economic losses. Travel Agency must pay any reasonable, costs City may incur in enforcing this provision and must accept a tender of defense upon receiving written notice from City. Travel Agency’s payments may be deducted or offset to cover any money the City lost due to a claim or counterclaim arising out of this Agreement. This Section 7 shall survive termination of this Agreement. 8. Insurance. Travel Agency shall comply with the insurance requirements in Exhibit B. City will not execute the Agreement until it has received and approved satisfactory certiffcates of insurance and endorsements evidencing the type, amount, and dates of coverage. 9. Coordination of Services. The Parties designate the following persons as Duties Coordinators with the responsibility to oversee the execution of their respective duties in accordance with the terms of this Agreement. Notices. All notices and instruments pertaining to material provisions of this Agreement or signiffcant disputes which are required by law or under this Agreement are to be in writing and must be sent to the persons listed below. The notices will be deemed effective on the date of personal delivery or the date conffrmed by a reputable overnight delivery service, on the fffth (5th) calendar day after deposit in the United States Mail, postage prepaid, registered or certiffed, or the next business day following electronic submission. Assignment. Neither party shall assign or sublet any portion of this Agreement without the prior written consent of the other Party except that the City acknowledges that Travel Agency uses third party contractors in connection with its tours, including, but not limited to, hotels, restaurants, airlines and coach vendors. 12. Termination. a. If a Party defaults in the performance of this Agreement, or materially breaches any of its provisions, the other Party at its option may terminate this Agreement by giving written notice to the defaulting Party. If termination under this clause results in the cancellation of any scheduled trips, Travel Agency shall promptly refund all customer payments. b. Without limitation to such rights or remedies as City shall otherwise have by law, either Party shall have the right to terminate this Agreement for any reason upon thirty (30) days written notice to the other Party. If termination under this clause results in the cancellation of any scheduled trips, Travel Agency shall promptly refund all customer payments. 13. Governing Law, Venue, and Dispute Resolution. This Agreement is governed by the laws of the State of California. Any legal actions or proceedings ffled against City in connection with this Agreement must comply with the government claims ffling requirements and must be ffled with the Superior Court for the County of Santa Clara, State of California. At City’s request, Travel Agency is required to continue to provide its services pending resolution of any dispute. If the Parties elect arbitration, the arbitrator’s award must be supported by law and substantial evidence and include detailed written ffndings of law and fact. 14. Attorney Fees. If City is required to pursue litigation, arbitration or other administrative or regulatory proceeding to enforce its rights or the terms of this Agreement, the prevailing party will be entitled to reasonable attorney fees and costs. This Section 14 survives this Agreement. 15. Entire Agreement. This Agreement and all referenced Exhibits are hereby attached and incorporated into the Agreement by this reference and represent the full and complete understanding as to those matters contained herein, and supersede any other contract or understanding, either oral or written, between the Parties. This Agreement may not be modiffed or amended except in writing signed by both Parties. If there is any inconsistency between any term, clause, or provision of the main contract and any term, clause, or provision of the attachments or exhibits thereto, the terms of the main contract shall prevail and be controlling. 16. Survival. All provisions which by their nature must continue after this Agreement ends, including without limitation Indemniffcation, Insurance, Governing Law, and Attorney Fees, will survive the expiration or termination of this Agreement for the period set forth in such provision or if no period is set forth, indeffnitely. The Travel Protection Plan Fee with Air only covers airline tickets you have purchased from Collette. Exception: If you originally purchased nonrefundable airline tickets, Part B of the Travel Protection Plan may provide a refund for the airline tickets, taxes, or fees in the event of a cancellation for a covered reason (see Part B for more details). The Travel Protection Plan Fee does not cover any single supplement charges which arise from an individual’s traveling companion electing to cancel for any reason prior to departure. However, the Part B travel insurance includes a single supplement benefit of $1,500 for certain covered reasons as detailed in Part B. In this case, the single supplement will be deducted from the refund of the person who cancels. Division of this charge between the two passengers involved is solely their responsibility. If insufficient funds are deducted from the canceling client, the traveling client will be charged the remaining portion of the single supplement. Cancellation waiver protects you from penalties in the event you have a need to cancel your entire inclusive tour package up to the day prior to departure. Cancellation waiver does not indemnify you from penalties if you chose to cancel partial tour components or air. If you chose to partially cancel your vacation, you will be responsible for a revision fee as well as any penalties that are incurred at the time of the cancellation. Upon cancellation of transportation or travel services where you, the customer, are not at fault and have not canceled in violation of the terms and conditions above, you will be refunded 100%. Exhibit B Insurance Requirements As required by this Agreement, Travel Agency shall procure prior to commencement of performances and maintain the following insurance for the duration of this Agreement against claims arising from or in connection with Travel Agency, its agents, representatives, employees or subcontractors performance under this Agreement. Minimum Scope and Limit of Insurance. Coverage shall be at least as broad as: 1. Commercial General Liability (CGL): Insurance Services Oiffce Form CG 00 01 covering CGL on an “occurrence” basis, including property damage, bodily injury and personal & advertising injury with limits no less than $1,000,000 per occurrence. If a general aggregate limit applies, it must apply separately to this project/location (CG 25 03 or 25 04) or be twice the required occurrence limit. a. It shall be a requirement that any available insurance proceeds broader than or in excess of the specified minimum insurance coverage requirements and/or limits shall be made available to the Additional Insured and shall be (i) the minimum coverage/limits specified in this agreement; or (ii) the broader coverage and maximum limits of coverage of any insurance policy, whichever is greater. b. Primary Coverage Coverage afforded to City/Additional Insureds shall be primary insurance. Any insurance or self insurance maintained by City, its oiffcers, oiffcials, employees, or volunteers shall be excess of Travel Agency’s insurance and shall not contribute to it. Notice of Cancellation Each insurance policy shall state that coverage shall not be canceled or allowed to expire, except with written notice to City 30 days in advance or 10 days in advance if due to non-payment of premiums. Waiver of Subrogation Travel Agency waives any right to subrogation against City/Additional Insureds for recovery of damages to the extent said losses are covered by the insurance policies required herein. Specifically, the Workers’ Compensation policy shall be endorsed with a waiver of subrogation in favor of City for all work performed by Travel Agency, its employees, agents and subconsultants. This provision applies regardless of whether or not the City has received a waiver of subrogation endorsement from the insurer. Deductibles and Self-Insured Retentions Any deductible or self-insured retention must be declared to and approved by the City. At City’s option, either: the insurer must reduce or eliminate the deductible or self -insured retentions as respects the City/Additional Insureds; or Travel Agency must show proof of ability to pa y losses and costs related investigations, claim administration and defense expenses. The policy shall provide, or be endorsed to provide, that the self-insured retention may be satisfied by either the insured or the City. Acceptability of Insurers Insurers must be licensed to do business in California with an A.M. Best Rating of A-VII, or better. City retains the right to demand verification of compliance at any time during the Contract term.
