WMMAS, the City of Cupertino and the Santa Clara County Traffic
Authority, heretofore, engaged the services of a traffic consultant to
perform a cater traffic modeling study with cast to be shared; and
WAS, the purpose of the study was to identify potential mitigation
projects to ate the City of Cupertino for the loss of access due to
Route 85 construction between I-280 and Stevens Creek Boulevard to enable
the finalization of agreement between the City and the Traffic Authority;
and
WHEREAS, the necessary study was cmxhtcted and expenses shared
equal'.y,• haa+rrer, no formal agreement was executed; and
WHEREAS, for the purpose of and finalizing the project,
it is desirable to have a formal agreement on file, which agreement is
hereby presented to the C=v--il.
NCW, MMWCM, BE IT RESOLVED that the City Council of the City of
cupei tino hereby approves the afor�:m$ntioned agreement and authorizes the
Mayor and the City Clerk to execute said agreement on behalf of the City
of Cupertino.

SECTION II
AUTHORITY AGREES
(1) To pay CUPERTINO within thirty(30) days of ,receipt of
billing therefor an aruount equal to fifty percent(50%) of the
final cost of STUDY or ten thousand dollars($10, 000.00) ,
whichever is less. In no event shall AUTHORITY'S total obligation
for said costs under this Agreement exceed the amount of ten
thousand dollars($10,000. 00) ; provided that AUTHORITY may, at its
sole discretion, in writing, .authorize a greater amount.
(2) In the administration of STUDY, CUPERTINO will furnish
a representative to perform the usual functions of a Resident
Engineer. AUTHORITY may, at no cost to CUPERTINO, furnish a
representative, if they so desire. Said representative and
Resident Engineer will cooperate and consult with each other, but
the orders of CUPERTINO'S engineer shall be final.
SECTION III
INDEMNIFICATION AND WAIVER
AUTHORITY agrees to indemnify, defend and hold CUPERTINO,
its officers, employees, agents and representatives free and
harmless from and against any claims of third parties (including
costs of suit and attorney's fees) arising from use of the STUDY
or derivative information developed by the CONSULTANT, AUTHORITY
or CUPERTINO.
CUPERTINO agrees to indemnify, defend and hold AUTHORITY,
its officers, employees, agents and representatives free and
harmless from and against any claims of third parties (including
costs of suit and' attorney's fees) arising from use of the STUDY
or derivative information developed by the CONSULTAIr'Z', CUPERTINO
or AUTHORITY.
IN WITNESS WHEREOF, the parties here':.o have caused this
Agreement to be executed by their respective duly authorized
officers.

TRAFFIC MODELING SERVICES
SCOPE OF WORK
The CONSULTANT retained by the City shall establish a computer
model to determine the effects of various land uses and street
improvements on intersection levels of service throughout the
city. This STUDY shall determine the impacts that the elimination
of the southbound access to Stevens Creek Boulevard from
northbound Freeway I-280 will have on CUPERTINO'S street system.
CONSULTANT'S scope of services shall include the following:
a. Compare actual screenline volumes to estimated 1590 volumes,
generated by the traffic model, to calibrate and determine
they reasonableness of the traffic model.
b. Produce network volumes with the southbound access to
Stevens Creek Boulevard from northbound Freeway 1-280 for
the year 2000.
C. Produce network volumes without the southbound access to
Stevens Creek Boulevard from northbound Freeway I- 30 for
the year 2000 to determine the impact of thc- loss of this
access. -
d. Produce network volumes without the southbound access to
Stevens Creek Boulevard from northbound Freeway I-280 for
the year 2000 with an overpass on Mary Avenue at Freeway 280
connecting to Homestead Road to determine if the Mary Avenue
overpass "-is -, needed to mitigate any impact created by the
loss of the above access.
MILESTONE SCHEDULE
a. May 21, 1_990 - present report of preliminary findings to
Cupertino City Council .
b. June 30 1990 - Complete ana.lysis of traffic impacts created
