COMPENSATION: For the full performance of this Agreement, CITI' shall pay CONTRACTOR:

GENERAL TERMS AND CONDITIONS
Hold Harmless: Contractor agrees to save and hold harmless the C ity, its officers, agents and employees from any and all damage and
liability, including all costs of defending any claim, caused by or arising out of the performance of this Agreement. City shall not
be liable for acts of Contractor in performing services described herein. due to negligence, errors and omissions,
Insurance: Should the City require evidence of insurability, Contractor shall file with City a Certificate of Insurance before commencing
any services under this Agreement. Said Certificate shall be subject to the approval of City's Director of Administrative Services.
Non-Discrimination: No discrimination shall be made in the employment of persons under this Agreement because of the race, color,
national origin, ancestry, religion or sex of such person.
Interest of Contractor: It is understood and agreed that this A~~reement is not a contract of employment in the sense that the
relationship of master and servant exists between City and undersigned. At all times, Contractor shall be deemed to be an independent
contractor and Contractor is not authorized to bind the City to any contracts or other obligations in executing this agreement. Contractor
certifies that no one who has or will have any financial interest under this Agreement is an officer or employee of City.
Changes: This Agreement shall not be assigned or transferred without the written consent of the City. No changes or variations of any
kind are authorized without the written consent of the City.

Re: Cupertino Sports Center -Additional Design /Cost Studies
Dear Don,
It was good meeting with you, Therese and Ralph on Tuesday to discuss the additional
scope of additional work at the Cupertino Sports Center. Based upon those discussions, I
am submitting the following proposal.
We will start immediately in preparing two or more alternative site and building plan
studies of a combined sports center / rental office building, to be located near the corner of
Stephens Creek and Stelling Road. The existing sports center will be demolished, and we
need to retain a minimum of 17 tennis courts on the site. It is also okay to lose the stadium
court, as long as it is replaced with another standard court.
The new building will range in size from 20,000 to 25,000 square feet, with approximately
10,000 square feet of sports center facilities. It will be two or three stories tall. We will
need to comply with the Stephens Creek setback guidelines, and I think we should also
plan on keeping the grove of pine trees on the comer.
The program for the building will include a fitness center, weight room, aerobics studio,
tennis office, locker rooms and other administrative areas. There won't be any locker
rooms. Other room options could be developed at a later date. The upper level office
space will just be an open floor plan with toilet and janitorial rooms for now.
Our goal is to have the design options ready for presentation at the committee meeting on
February Z l st. I do have a conflict that night, with a scheduled meeting from 7-9 PM in
San Jose, but if I could present right at 6 or a little earlier at this meeting, I can still get to
San Jose in time.

Following that meeting, we will make piny necessary refinements to the schemes, look at
any other requested alternatives, and prepare a construction and project cost estimate for
each. I anticipate that all of this work c;an be completed by March 15~'. Based upon your
schedule, I will make up to two presentations of the competed study and estimate.
Our fee for this work will be $15,000, ~~vhich is inclusive of the estimator's charges and all
reimbursable costs for travel, parking and document reproduction. Per our discussion, we
would also ask that the City designate an additional $3,000 for the possible extension of
this agreement to include additional work requested by the committee or staff. Invoices
will be issued monthly in proportion to the work completed.
Your return of a signed copy of this letter will constitute your authorization for this work.
