Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and all damage and liability of every nature, including all ccsts of defending any claim, caused by or arising out of the performance of this Agreement. City shall not be liable for acts of Contractor in performing services described herein. Insurance. Should the City require evidence of insurability Contractor shall file with City a Certificate of Insurance before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's Director of Administrative Services. Non-Discrimination. Nodiscrimination shall be made in tine employment of persons under this Agreement because of the race, color, national origin, ancestry, religion or sex of such person. Interest of Contractor. It is understood and agreed that this Agreement is not a contract of employment in the sense that the relation of master and servant exists between City and undersigned. At all times Contractor shall be deemed to bean independent contractor and Contractor is not auth~~rized to bind the City to any contracts or other obligations in executing this Agreement. Contractor certifies that no one who has or will have any financial interest under this Agreement is an officer or employee of City. Changes. This Agreement shall not be assigned or transferred without the written consent of the City. No changes or variations of any kind are authorized without the written consent of the City. CITY CLERK COPY CITY OF CUPEI~TINO Last Revision: August 14, 2002 AIR OPERATOR DESCRIPTION Exhibit "A" (attachment to contract) The following list of terms has met the approval of both the Air Operator and the City of Cupertino. This contract applies to work perf~~rmed exclusively for The City Channel (Video Department). Work performed exclusively for another City of Cupertino department (that will not benefit The City Ch~mnel) is not a part of this contract. This position requires work on independent projects, and a basic technical understanding of video systems and equipment. The Air Operator will provide services for the following areas: • Playback City Channel programming. • Update Scala Bulletin Board (create, update and delete pages). • Assist in maintaining and modifying the videotape library. • Record/Duplicate audio/video tapes upon request. • Set-up audio/video equipment upon reque;~t. • Produce fillers, PSAs/Promos related to the city. • Time code source tapes • Assist in the production of in-house, audio/video events. (i.e. work on an EFP production, such as an awards ceremony, or work on an ENG production such as the "Agenda Preview") AIR OPERATOR RULES Note: Please see Pete or Rei if you have any ~~uestions regarding the following list of rules. Thank you. Upon reporting to work, you, the Air Operator may not leave City Hall unless it is an emergency. Your security pass is for entering and exiting City Hall during your work hours only. You may not use your security pass to acc~:ss City Hall during non-work / non- production hours, especially on the weeke~ids. The City of Cupertino discourages the use of City Channel equipment for private projects; however, exceptions may be made. If the equipment is available and you would like to use the equipment, please as k a City Channel staff person for prior permission. 4. You may not invite others to City Hall.
