(Hereinafter referred as CONTRACTOR), in consideration of their mutual covenants, the parties hereto agree as follows:
CONTRACTOR shall provide or furnish the following specified services and/or materials: Provide office layout design
services for three (3) Public Works offices
EXHIBITS: The following attachhed exhibits hereby are made part of this Agreement: Consultant Proposal dated 6/ 15/01
TERMS: The services and/or materials furnished under this Agreement shall commence on June 18, 2001
and shall be completed before July 30, 2001
COMPENSATION: For the full performance of this Agreement, CITY shall pay CONTRACTOR: AN AMOUNT NOT TO EXCEED
$1,100.00, INCLUDING REIMBURSIBLE EXPENSES
California Labor Code, Section 1771 requires the payment of prevailing wages to all workers employed on a Public Works contract in
excess of $1,000.00.
GENERAL TERMS AND CONDITIONS
Hold Harmless: Contractor agrees to save and hold harmless the Ciry, its officers, agents and employees from any and all damage and
liability including all costs of defending any claim, caused by or arising out of the performance of this Agreement. City shall not

Insurance: Should the Clty require evidence of insurability, Contract~~r shall file with City a Certificate of Insurance before commencing
any services under this Agreement. Said Certificate shall be subject to the approval of City's Director of Administrative Services.
Non-Discrimination: No discrimination shall be made in the employment of persons under this Agreement because of the race, color,
national origin, ancestry, religion or sex of such person.
Interest of Contractor: It is understood and agreed that this Agreement is not a contract of employment in the sense that the
relationship of master and servant exists between City and undersigned. At all times, Contractor shall be deemed to be an independent
contractor and Contractor is not authorized to bind the City to any contracts or other obligations in executing this agreement. Contractor
certifies that no one who has or will have any financial interest under this Agreement is an officer or employee of City.
Changes: This Agreement shall not be assigned or transferred withcut the written consent of the Ciry. No changes or variations of any
kind are authorized without the written consent of the City.

FEES
The professional fee fot the stated Scope of SeMces is 31,050,00, plus reimbursable expenses. A budget of
$a0.D0 should be allowed for reimbursable expenses and included in the totals of all Purchase Orders.
ReQuests for additional seMces and/or revisions made after client approval, constitute an increase in the
scope of work and shall be billed in addition to the aforementioned fees. An addendum outlining the
additional services will be issued to Clty of Cupertino.
RQMBURSABLE F..XPENSES
In addition to Workplace Studo fees expenditures and out-of-pocket expenses made by One Workplace for
the direct benefit of your project will be invoiced at cost,. Such reimbursable expenses may include:
1. Reproduction of drawings, photographs, photostats, or any olher special production processes_
2. Special mat, messenger, or delivery service,
3. Travel tares, mileage, parking, taxi and tolls.
4, Special consultant fees, if required and authorized by City of Cupertino.

lnvok~es shall be submitted monthly and shall be equal to the percentage of Workplace Studio Senvke
completion. Payment is due and payable In full to One woricpface upon presentation. A service charge of
13~% will be added to late payments over 30 days.
In the event that One Workplace Studio owoices are not paid wlthM 30 days of the invoice date, One
workplace shall have the right to swpend work on the project pending receipt of any such outstanding
amount

The program and proposed fees outrned for this projErct are based upon our present understanding of the
area to be designed, the general objectives of your pn~ject and the scope of responsbflii~v. Client agrees to
cooperate in scheduling meetings and making decisior,~s on our submissions without undue delay in order to
permit completion of this project in a timely manner,
Should the scope of the program be modified or completion of this project be extended, we reserve the right
to negotiate an adjustment to our proposed fees and to our scheduled commitments.

!f any dispute, whether or not involving Ittigation, arises out of or relating to this Agreement, the prevailing
parry shall be entitled to recover alt costs and expi~nses, including reasonable attome~s fees, incurred in
enforcing any of the terms, conditions or provisions of this Agreement_
