BY THIS AGREEME T, made and entered into this 17 day of March, 2010, by and between the CITY OF

follows:
CONTRACTOR shall provide or furnish the following specified services and /or materials: See Exhibit 1
EXHIBITS: The following attached exhibits hereby are mace part of this Agreement: Exhibit 1 - Proposal to
Prepare a Transportation Analysis for the Kiddie Academy of Cupertino in Cupertino, California dated
February 26, 2010.
TERMS: The services and /or materials furnished under this Agreement shall commence on March 17, 2010
and shall be completed before April 9, 2010
COMPENSATION: For the full performance of this Agreement, CITY shall pay CONTRACTOR: $11,900.00
GENERAL TERMS AND CONDITIONS
Hold Harmless. Contractor agrees to save and hold harrnless the City, its officers, agents and employees from any
and all damage and liability due to negligence, errors and omissions, including all costs of defending any claim but only
to the extent caused by the negligence of Consultant, caused by or arising out of the performance of this Agreement.
City shall not be liable for acts of Contractor in performing s ervices described herein.
Insurance. Should the City require evidence of insurabil ty, Contractor shall file with City a Certificate of Insurance
before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non - Discrimination. No discrimination shall be made in the employment of persons under this Agreement because
of the race, color, national origin, ancestry, religion or sex of such person.
Interest of Contractor. It is understood and agreed that this Agreement is not a contract of employment in the sense
that the relationship of master and servant exists between City and undersigned. At all times, Contractor shall be
deemed to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other
obligations in executing this agreement. Contractor certifies that no one who has or will have any financial interest
under this Agreement is an officer or employee of City.
Changes. This Agreement shall not be assigned or transfe=rred without the written consent of the City. No changes or
variations of any kind are authorized without the written consent of the City.

Dear Ms. Gross:
Fehr & Peers is pleased to submit this proposal to perform a transportation analysis for the
proposed Kiddie Academy of Cupertino located on the north side of Stevens Creek Boulevard
west of Portal Drive in Cupertino, California. The Kiddie Academy is a proposed preschool
serving up to 144 children. The Scope of Work listed below outlines the tasks that we propose to
undertake to prepare this transportation analysis. This scope is based upon our discussions with
City staff and our experience in preparing transpertation studies for other projects in the area. Our
Fee Estimate and Schedule follow the Scope of Work.
SCOPE OF WORK
The transportation analysis will evaluate impacts of the proposed preschool on the transportation
system in the vicinity of the site and recommend mitigation measures, if needed. Based on a
preliminary investigation, two key intersections are proposed to be included in the impact
analysis. The study intersections are listed below.
1. Stevens Creek Boulevard & Portal Drive
2. Portal Drive & Dentist Office Driveway
The operations of the study intersections will be evaluated during the weekday AM and PM peak
hours for the following scenarios:
Scenario 1: Existing Conditions — Existing vclumes obtained from counts.
Scenario 2: Background Conditions — Existing volumes plus traffic from approved and
pending projects.
Scenario 3: Project Conditions — Background volumes plus traffic generated from the
proposed Kiddie Academy preschool.
Project impacts on transit, bicycle, and pedestrian facilities will be addressed.
The tasks to be conducted in the analysis are:
Task 1: Finalize Scope of Work
This scope of work may be modified to include additional intersections or tasks identified by city
staff. The fee estimate will be adjusted accordingly.

Task 2: Collect Data
Fehr & Peers will collect AM and PM peak hour turning movement counts at two intersections:
Stevens Creek Boulevard & Portal Drive and Porl.al Drive & Dentist Office Driveway. These traffic
counts will be used in subsequent tasks to estimate the traffic volumes with the proposed
preschool and to evaluate queuing.
As a part of this task, Fehr & Peers will conduct a site visit to review traffic operations at the study
intersection and driveways during both peak pericds.
Observations of vehicle trips, associated parking demand, and pick -up /drop -off activity will be
conducted at an existing Kiddie Academy during the morning (7:00 — 9:00 AM) and evening
(4:00 — 6:00 PM) peak periods. The two existing Kiddie Academy locations are in Mountain View
at 205 E. Middlefield Road and San Jose at 521 W. Capitol Expressway. City staff and the project
applicant will determine the more appropriate location of the two options to perform the
observations. These observations will be used to make estimates of the parking demand and
supply needed to accommodate the proposed academy at the Cupertino site and these
observations will also be used to estimate trip generation rates.
Fehr & Peers will request pertinent background data, such as available traffic reports for other
developments in the area, available traffic cou -its, an updated list of approved (but not yet
constructed) developments, and an updated list of pending developments.
Task 3: Estimate Project Traffic
Fehr & Peers will develop trip generation estimates for the proposed preschool for use in
estimating the traffic levels once the store is operational. Fehr & Peers will estimate the trip
generation of the proposed Kiddie Academy based on the observations at an existing Kiddie
Academy site. The trip generation rates will be compared to standard rates published by the
Institute of Transportation Engineers (ITE) before selecting a recommended rate.
The direction trips use to approach and depart from the site will be estimated based on existing
travel patterns and the relative location of complementary land uses. The site - generated traffic
will be assigned to the roadway system based on the directions of approach and departure
discussed above. Fehr & Peers will obtain approval of the proposed trip rates and the directions
of approach and departure from City of Cupertino staff before performing any additional analysis.
Task 4: Evaluate Scenarios
Existing intersection operations will be evaluated with level of service calculations using the
TRAFFIX software package as defined in the VTA TIA guidelines.
Trip generation estimates, directions of approach and departure, and trip assignment will be
performed for the approved and pending projects. These traffic volumes will be added to existing
volumes to represent Background Conditions. Level of service calculations will be conducted to
evaluate intersection operations under Background Conditions.
The project trip assignment developed in Task 3 will be added to the background traffic volumes
to represent Project Conditions. Project intersection operations will be evaluated with level of
service calculations.
The results of the level of service calculations under Project Conditions will be compared to the
results for Background Conditions to identify project impacts at the key intersection. Feasible

mitigation measures will be recommended to offset project impacts. Feasible mitigation measures
are those that can be constructed within the existing right -of -way or that require minimal right -of-
way acquisition, such as minor intersection lane additions and restriping. Modifications to
intersection operations, including traffic signal installations and signal phasing and timing
changes, also will be considered. Impacts to pedestrian, bicycle, and transit facilities also will be
identified, and appropriate mitigation measures will be recommended. If needed, conceptual
drawings of potential mitigation measures will be prepared as additional services.
A cumulative analysis will not be undertaken.
Task 5: Evaluate Site Access, On -site Circulation, and Parking Layouts
The proposed access for the site includes one driveway on Stevens Creek Boulevard and one
driveway on Portal Drive. Fehr & Peers will analyze site access, including the operations of both
driveways with respect to queuing and traffic flow. A qualitative review of potential safety
problems will also be addressed. Recommendations to improve site access for all modes of travel
will be prepared as needed.
The site plan will be reviewed to determine the adequacy of on -site circulation, parking space
layouts, and bicycle and pedestrian circulation. Recommendations to improve on -site circulation

Task 6: Estimate Parking
The number of reserved pick -up /drop -off spaces and staff parking spaces will be estimated based
on the existing site observations made in Task 2. Appropriate locations for pick -ups and drop -offs
will also be determined. The number of total parking spaces required will be estimated based on
the anticipated number of employees and children at the project site. Also, the project's parking
supply will be evaluated and summarized based on applicable parking regulations for the City of
Cupertino.
Task 7: Prepare Documentation
The study methodology, findings, and recommerdations will be documented in a draft technical
memorandum, using graphics to show our recommendations as appropriate. This memorandum
will be submitted for review and comment. Editorial and clarification comments that require fewer
than four staff hours will be incorporated into the final version. Comments requiring other
technical analysis or responses to comments that will take longer than four staff hours will be
considered an additional service and will be addressed upon receipt of written authorization.
Additional Services
There may be some additional services needed during the course of the analysis. These would
include but are not limited to preparing conceptual designs of proposed mitigation measures,
conducting more than four peak period intersecticn turning movement traffic counts (one for each
peak hour per location), conducting ADT count:;, analyzing additional intersections, evaluating
revised and /or additional project descriptions and scenarios, conducting detailed traffic
operational analyses (such as micro - simulation analysis), and preparation and attendance of
meetings. Additional services will only be conducted upon our receipt of written authorization.

FEE AND SCHEDULE
Our fee to conduct the transportation analysis, including a parking analysis and site plan review,
will be billed on a time - and - materials basis with a not to exceed fee of $11,900, which includes
$1,200 for traffic volume data collection. Additional services will only be conducted only upon
written authorization. We estimate that we can complete the proposed scope of work and submit
a draft technical memorandum within three weeks after receipt of a fully executed contract, the
traffic counts, and all pertinent background data. This proposal is valid for a period of 30 days.
