COMPENSATION: For the full performance of this Agreement, CITY shall pay CONTRACTOR: $18,000.00
GENERAL TERMS AND CONDITIONS
Hold Harmless Contractor agrees to save and hold harmless the City, its officers, agents and employees from any
and all damage and liability due to negligence, errors and omissions, including all costs of defending any claim, caused
by or arising out of the performance of this Agreement. City shall not be liable for acts of Contractor in performing
services described herein.
Insurance Should the City require evidence of insurability, Contractor shall file with City a Certificate of Insurance
before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non-Discrimination No discrimination shall be made in the employment of persons under this Agreement because of
the race, color, national origin, ancestry, religion or sex of such person.
Interest of Contractor It is understood and agreed that this Agreement is not a contract of employment in the sense
that the relationship of master and servant exists between City and undersigned. At all times, Contractor shall be
deemed to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other
obligations in executing this agreement. Contractor certifies that no one who has or will have any financial interest
under this Agreement is an officer or employee of City.
Changes This Agreement shall not be assigned or transferred without the written consent of the City. No changes or
variations of any kind are authorized without the written consent of the City.

Re: Proposal to Prepare a Transportation Impact Analysis for the Proposed Bay Club
in Cupertino, California P11-2133-SJ
Dear Gary:
Fehr & Peers is pleased to submit this proposal to prepare a focused transportation impact
analysis (TIA) for the above-referenced project. The Bay Club is a fitness club that would occupy
approximately 66,200 square feet of the vacant Sears store at Vallco Shopping Mall. Typically, a
TIA would not be conducted for a project occupying vacant space but in this case the Sears store
(and the shopping mall in general) generates very little traffic during the morning commute period,
and the fitness club is expected to generate a moderate amount-of-traffic-EluFin§-this-time-13eri0El-. -------------
Therefore, the effect of the fitness club's AM peak hour traffic on the surrounding roadway system
will be evaluated. (Both uses would generate traffic during the evening commute period.)
Preliminary estimates indicate the fitness club will generate 75 to 80 additional AM peak hour
trips and no additional PM peak hour trips. Since the project generates fewer than 100 peak hour
trips, neither a full City of Cupertino nor a congestion management program (CMP) TIA per Santa
Clara Valley Transportation Authority guidelines would be required. Therefore, this TIA will focus
on the operations of intersections in close proximity to the site and address site access and
parking.
The Scope of Work outlines the tasks we propose to undertake for this analysis. The fee and
schedule follow.
SCOPE OF WORK
The following intersections will be included in the analysis:
• Stevens Creek Boulevard and Perimeter Road
• Stevens Creek Boulevard and Wolfe Road
• Vallco Parkway and Wolfe Road
The operations of the key intersections will be evaluated during the weekday morning (AM) peak
hour for the following scenarios:

Scenario 4: Background Plus Project Conditions -Traffic volumes for Scenario 3
plus traffic generated by the fitness club.
Transit, bicycle and pedestrian access, and on-site parking will also be addressed. Fehr & Peers
will complete the following tasks:
Task 1 -Site Reconnaissance and Data Collection
We will visit the study area to review the physical characteristics of the site and the surrounding
transportation system to confirm existing roadway cross-sections, intersection lane
configurations, traffic control devices, surrounding land uses, and the locations of pedestrian,
bicycle, and transit facilities. Existing intersection operations will be observed during the AM peak
period to verify and/or explain calculated service levels in Task 2.
AM peak period counts are available from the Department of Public Works for the intersection of
Stevens Creek Boulevard and Wolfe Road. We will conduct AM peak period counts at the
intersections of Stevens Creek Boulevard/Perimeter Road and Vallco Parkway/Wolfe Road. We
will also conduct AM peak period counts at two right-in I right-out driveways south of the project
site on Stevens Creek Boulevard.
Task 2 -Existing Conditions
We will use the level of service method approved by VTA and the City of Cupertino, based on the
2000 Highway Capacity Manual, to analyze the existing operations of the study intersections.
Task 3 -Project Traffic Estimates
The amount of traffic generated by the fitness club will be estimated by applying approwiate trip
generation rates from the Institute of Transportation Engineers (ITE) Trip Generation, 8 h Edition.
The trips will be assigned to the roadway system based on existing travel patterns in the area and
the relative location of complementary land uses.
Task 4 -Existing Plus Project Conditions
Project traffic will be added to the existing volumes. Level of service (LOS) calculations will be
conducted to evaluate the operations of the study intersections after completion of the proposed
project.
The City has expressed interest to consolidate the two existing right-in I right-out driveways on
Stevens Creek Boulevard south of the project site that provide access to the Sears store and
Auto Center. The proposed driveways alternative is consistent with Policy 4-9 of the Circulation
Element in the City General Plan which encourages property owners to use shared driveway
access and "minimize the number of driveway openings in each development". Fehr & Peers will
observe the existing driveway operations as described in Task 1 and conduct LOS calculation
using volumes developed in this task with proposed driveway geometry.
Task 5 -Background and Background Plus Project Conditions
Fehr & Peers will obtain a list of approved and pending development projects and transportation
infrastructure improvements from the City. Added traffic volumes at the study intersections from
the development projects will be estimated using standard traffic engineering and planning
procedures including trip generation, distribution, and assignment. Lane modifications or traffic
volume diversions caused by transportation infrastructure projects (if any) will be estimated. The
resulting traffic volumes will be added to existing volumes to obtain background traffic volumes.
Intersection level of service calculations will be conducted to evaluate intersection operations
under Background Conditions, both with and without the project.

Task 6 -Significant Impacts and Mitigation Measures

Impacts will be identified by comparing the analysis results to City of Cupertino significance
criteria. For significant impacts, we will propose mitigation measures that strive to reduce the
impact to a less than significant level.
Task 7 -Site Plan Review
Site access and on-site circulation to/from nearby amenities within Vallco Shopping Mall will be
evaluated based on the proposed site plan. The number of access points and connectivity will be
determined as part of this task. We will also summarize our assessment of the existing driveway
operations and potential impacts due to the consolidation of driveways proposed under the
Existing Plus Project Conditions. The site plan will be reviewed to ensure that adequate and
direct pedestrian and bicycle facilities and connections are provided. Similarly, we will review the
site plan to ensure efficient linkages with existing and potential future transit stops (external to the
site). If necessary, we will recommend modifications to the site plan to ensure adequate access is
provided. The proposed parking for vehicles and bicycles will be compared to City and industry
standards.

We will document our findings in a report format, which will include text, graphics, and tables.
This scope assumes up to eight staff hours to respond to comments on the Draft TIA report. Fehr
& Peers will incorporate comments into the Final TIA report.
Task 9 -Meetings
The scope of work includes attendance at one project-level meetings and one hearing. Additional
project-level meetings and/or hearings will be attended only upon written authorization.
FEE AND SCHEDULE
The fee estimate is $18,000, including $1,000 for traffic counts and $2,000 for meeting
attendance. Additional services will be conducted upon authorization and billed on a time-and-
materials basis.
We estimate that we can complete the proposed scope of work and submit a draft report
approximately four weeks after we have received a fully executed contract, available traffic count
data, list of approved/pending projects, descriptions of transportation system improvement
projects that will affect the study intersections, and a final project description and site plan. Please
note that the terms of proposal are valid for a period of 60 days.
