A TRAFFIC IMPACT ANALYSIS FOR THE PROPOSED CUPERTINO CAMPUS

COMPENSATION: For the full performance of this Agreement, CITY shall pay CONTRACTOR: $35.000.00
GENERAL TERMS AND CONDITIONS
Hold Harmless Contractor agrees to save and hold harmless the City, its officers, agents and employees from any
and all damage and liability due to negligence, errors and omissions, including all costs of defending any claim, caused
by or arising out of the performance of this Agreement. City shall not be liable for acts of Contractor in performing
services described herein.
Insurance Should the City require evidence of insurability, Contractor shall file with City a Certificate of Insurance
before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non-Discrimination No discrimination shall be made in the employment of persons under this Agreement because of
the race, color, national origin, ancestry, religion or sex of such person.
Interest of Contractor It is understood and agreed that this Agreement is not a contract of employment in the sense
that the relationship of master and servant exists between City and undersigned. At all times, Contractor shall be
deemed to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other
obligations in executing this agreement. Contractor certifies that no one who has or will have any financial interest
under this Agreement is an officer or employee of City.
Changes This Agreement shall not be assigned or transferred withouUhe written consent of the City. No changes or
variations of any kind are authorized without the written consent of the City.

This letter presents the Scope of Work and Fee regarding transportation data collection for the
Cupertino Campus project.
SCOPE OF WORK
Task 1 -Traffic, Pedestrian, and Bicycle Counts
Fehr & Peers will retain a count vendor to conduct vehicle turning movement, pedestrian, and
bicycle counts at the following intersections during the AM (6:30 am to 9:30 am) and PM (4:00 pm
to 7:00 pm) peak periods:
1. Stevens Creek Boulevard and SR 85 Ramps (west)
2. Stevens Creek Boulevard and SR 85 Ramps (east)
3. Stevens Creek Boulevard and Stelling Road
4. De Anza Boulevard and Homestead Road

FEHRf PEERS
The counts will be conducted on a Tuesday, Wednesday, or Thursday while schools are in
session and not during the week of the Memorial Day holiday.
In addition, a 48-hour directional machine count will be conducted on Pruneridge Avenue, west of
Tantau Avenue to obtain daily traffic volumes.
Task 2 -Intersection Operations Observations
Field visits will be conducted to observe AM and PM peak-hour intersection operations.
Task 3 -Project Management and Administration
Fehr & Peers will also conduct project administration and management activities, such as
attending meetings to discuss data collection locations and methods and ordering the counts.
FEE AND SCHEDULE
The data collection activities will be conducted on a time-and-materials basis for a not-to-exceed
amount of $35,000. Additional services will be condu'cted upon.
We will order the counts upon our receipt of written authorization to proceed, acknowledging that
the work will be conducted according to the standard terms and conditions of a typical City of
Cupertino contract. The counts will be completed prior to the end of the school year for Cupertino
schools.
