Clean, Safe Creeks and Natural Flood Protection Program
TRAILS AND OPEN SPACE GRANT AGREEMENT
This AGREEMENT entered into this day of December 20, 2005 is made by and between SANTA CLARA
VALLEY WATER DISTRICT, a public entity, hereinafter referred to as "District;" and the CITY OF
CUPERTINO, a municipal corporation, hereinafter referred to as "Grantee;" to provide for the
development of public access to new trails and open spaces.
RECITALS:
A. The Santa Clara Valley Water District's mission is to provide "a healthy, safe, and enhanced
quality of living in Santa Clara County through watershed stewardship and comprehensive
management of water resources in a practical, cost-effective and environmentally-sensitive
manner."
B. In November 2000 the voters of Santa Clara County passed Measure B establishing a special tax
to fund the Clean, Safe Creeks and Natural Flood Protection program (CSC Program)
C. The special tax provides approximately $920,000 in annual revenue to fund Outcome 4 of the
cst Program which is to provide "additional access to 70 miles of trails and open spaces" over
the 15 year period of the program.
D. Consistent with the CSC Program the District Board established an independent oversight
committee to monitor and report on the Districts progress in achieving the outcomes of the CSC
Program.
E. The District Board approved the Trails and Open Space Grant Program (Grant Program) on
March 18; 2003.
F. Grantee, consistent with the Grant Program, submitted an application for grant funds to develop
access to a trail or open space.
G. On June 21, 2005, the District Board approved the Stevens Creek Corridor Trail Project,
allocating the funds to Grantee and authorized the District's Chief Executive Officer (CEO) to
enter into an agreement with Grantee to provide the grant funding.
H. On February 15, 2005, the Cupertino City Council approved a Resolution for Stevens Creek
Corridor and authorized the acceptance of Santa Clara Valley Water District Grant funds under
the Grant Program (see Appendix G).
The parties agree to the following terms and conditions:
Section 1.
Special Provisions
1. Consistent with Application submitted, Grantee has secured funding from Santa Clara Valley Water
District in the amount of Four Hundred Thousand Dollars ($400,000.00); The Department of Water
Resources in the amount of Four Hundred Thousand Dollars ($400,000.00) and shall provide
Secured Funds from the Grantee organization in the amount of Four Hundred Thousand Dollars
($400,000.00), totaling One Million Two Hundred Thousand Dollars ($1,200,000.00) for the Project.

Section 2.
General Provisions
A. Definitions
1. "Acquisition" means to obtain fee title or a lesser interest in real property, including a
conservation easement or development rights.
2. "Application" means the Trails Grant Application and accompanying attachments submitted to
the District for the District's Grant Program.
3. "Completion" means the filing of a Notice of Completion after the fulfillment of agreed upon tasks
for the Project by Grantee.
4. "Development" means the creation, by construction of or addition to existing facilities, of new
public access to trails and open spaces. It does not include rehabilitation, restoration,
enhancement, preservation, and protection of existing trails.
5. "Grant Program" means the Clean; Safe Creeks and Natural Flood Protection Program's Trails
and Open Space Grant Program.
6. "Project" means the proposed Project identified by Grantee in the Grant Program application, as
set forth in Appendix A of this Agreement.
7. "Project Grant Amount" means the amount agreed to by the District per the District Board
Resolution.
8. "Project Performance Criteria" means the criteria used to measure the progress on the project
as outlined in Appendix A. and Appendix F.
9. "Property" means the real property described in the Appendix A for Acquisition or Development
with the Project.
10. "Secured Funds" means funds committed to the Project through a fully executed written
agreement or budgeted by Grantee's organization.
11. "Significant Modification or Alteration" means a change in the Total Project Cost that may
exceed $50,000.
12. "Total Project Cost" means the full cost of the Project, including funds from all funding sources,
as identified under Special Provisions Item 1.1.
B. Project Execution
1. District hereby grants to Grantee, a sum of money (grant monies) not to exceed Four Hundred
Thousand Dollars ($400,000.00), in consideration of, and on condition that, the sum be
expended for the sole purpose of carrying out the objectives as set forth in the Project as
identified in Appendix A, consistent with the terms and conditions set forth in this Agreement.
2. Grantee assumes the obligation to furnish any additional funds to complete the Project. Any
significant modification or alteration to the Project must first be submitted to the District contact,
as identified on Page 10 of this Agreement, in writing for approval. Continued disbursement of
funds is dependent on District approval of changes the District deems are significant.
3. Grantee shall complete the Project in accordance with Project Performance Criteria set forth in
Appendix A.

4. Project schedule may only be adjusted by written agreement signed by both Grantee and
District.
5. Grantee shall comply with all local, state and federal applicable current laws, regulations, and
ordinances, including, but not limited to, financial requirements, legal requ irements for
construction Contracts, building codes, health and safety codes, laws and codes pertaining to
individuals with disabilities, and the California Environmental Quality Act (Public Resources
Code, Section 21000, et. seq., Title 14, California Code of ReQulations, Section 15000 et. Seq.).
6. Grantee shall provide the District with access to all documents, project site, and other
information necessary to determine if the work is in accordance with the conditions of this
agreement for a period equivalent to required operations and maintenance of the Project under
this Agreement or 25 years, which ever is greater.
7. Grantee shall provide for public access to Project facilities after completion in accordance with
the intent and provisions of the CSC Program.
8. Grantee shall have (1) fee title, (2) lease hold or (3) other interest in the Project lands which
demonstrates to the satisfaction of the District that the proposed Project will provide public
benefits.
9. Grantee shall maintain and operate the Project for a period of no less than 25 years. With
the prior written approval of the District, Grantee, or Grantee's successor in interest, may
transfer the responsibility to maintain and operate the Property in accordance with this
section.
10. Grantee shall use the Property only for the purposes for which the grant was made and shall
make no other use or sale or other disposition of the Property, except as authorized by the
District. Any unauthorized use of District Property shall result in loss of trail grant funds
associated with the Project and shall require payment of funds with interest earned.
11. Grantee shall post signs during construction acknowledging the District's participation in the
development of the Project and the use of Clean, Safe Creeks and Natural Flood Program
Funds. District to provide sign template(s) to Grantee for use in Project. Additionally,
Grantee shall invite, in writing, members of the Board of Directors to participate in any
opening or ribbon cutting ceremony (ies).
C. Project Administrationl Reporting Requirements
1. Grantee shall provide written quarterly reports (on a fiscal year schedule), within 30 days of
quarter end, to the District using the standard form presented in Appendix F. Quarterly reports
will be completed and submitted in conjunction with quarterly invoicing (Appendix D) as
appropriate, and should include the following provisions:
a. Project status/ General comments (including progress and problems encountered, tasks
and subtasks completed)
b. Identification of Community Based Organizations (not for profit) involved in the project
c. Discussion/ Evaluation of Public Participation Efforts
d. Discussion of newly identified trails, parks or open space projects within 1000 feet of
Project
e. Discussion of newly identified capital projects within 1000 feet of Project
f. Discussion of newly identified enhancement opportunities within 1000 feet of Project

g. Discussion of any public concerns or opposition; including appropriate contact
information
2. Grantee shall provide five copies of and one electronic version of items listed in Section 3, Item
3.H., Project Completion.
3. All reports submitted to the District shall include the following certification page signed by an
officer of the organization:
"1 certifY, under penalty of perjury under the laws of the State of California,
that the Quarterly/Monthl Status Re ort and all attachments, si ned on
at were
prepared under my direction or supervision in accordance with a system
designed to ensure that qualified personnel properly gather and evaluate the
information submitted. Based on my inquiry of the person or persons who
manage the system, or those persons directly responsible for gathering the
information, the information submitted is to the best of my knowledge and
belief, true, accurate, and complete. I am aware that there are significant
penalties for submitting false information, including the loss of the current and
future Grant Funding. "
4. Quarterly reporting will end with submittal of Project Completion Packet (see Item 3.H.1).
D. Termination of the Agreement
1. Grantee may unilaterally rescind this Agreement at any time prior to District disbursement of
Grant program funds by written notice to District.
2. Failure by Grantee to comply with the terms of this Agreement may be cause for suspension or
termination of funding by the District. Additionally, in the event of failure to complete Project,
Grantee may be required to repay District for funds received, including interest earned at the
District's pooled portfolio monthly interest yield corresponding to the month(s) the funds were due
to the District.
E. Hold Harmless
1 . Grantee waives all claims against the District including the right to contribution for loss or damage
to persons or property arising from, growing out of or in any way connected with or incident to this
Agreement except claims arising from the sole negligence or willful misconduct of the District, its
officers, agents, and employees.
2. Grantee shall indemnify, hold harmless and defend the District, its officers, agents and
employees against any and all claims, demands, damages, costs, expenses or liability costs
arising out of the Acquisition, Development, construction, operation or maintenance of the
property described as the Project which claims, demands or causes of action arise under
Government Code Section 895.2 or otherwise except for liability arising out of the concurrent or
sole negligence of the District, its officers, agents, or employees.
3. Grantee agrees that in the event the District is named as codefendant under the provisions of
Government Code Section 895 et. seq., Grantee shall notify the District of such fact and shall

represent the District in the legal action unless the District undertakes to represent itself as
codefendant in such legal action in which event the District shall bear its own litigation costs,
expenses, and attorney's fees.
F. Nondiscrimination
1. Grantee shall not discriminate against any person on the basis of race, religion, color,
national origin, ancestry, mental or physical disability (including HIV or AIDS), medical
condition (including cancer), marital status, gender, age (over 40), pregnancy, special
disabled veteran status, Vietnam Era Veteran and all other Veteran status, or sexual
orientation, or gender identity in the use of any property or facility developed pursuant to this
Agreement.
2. Grantee shall not discriminate against any person on the basis of residence except to the
extent that reasonable difference in admission or other fees may be maintained on the basis
of residence pursuant to law.
3. All facilities shall be open to members of the public generally, except as noted under the
special provisions of this Project Agreement or under provisions of the enabling legislation
and/or Program.
G. Severability
4. If any provision of this Agreement is held invalid, that invalidity shall not affect other
provisions of the Agreement which can be given effect without the invalid provision, and to
this end the provisions of this Agreement are severable.
Section 3.
Financial Provisions
A. Accounting and Audit Requirements
1. Grantee must maintain an accounting system that accurately reflects fiscal transactions, with the
necessary controls and safeguards. Grantee should provide clear audit trails, especially the
source of original documents such as, but not limited to, receipts, progress payments, invoices,
time cards, etc. AVOID AUDIT EXCEPTIONS - KEEP ACCURATE RECORDS.
2. Grantee shall keep books, records, documents, and other evidence pertaining to costs and
expenses incurred pursuant to this Agreement to the extent and in such detail as will properly
reflect total costs for the proposed work. Grantee shall maintain such books, records,
documents, and other evidence for a minimum of three years after completion of the work herein
and resolution of all claims arising there from and shall make available at the offices of Grantee,
at reasonable times, such books, records, documents, and other evidence for inspection and
audit by authorized representatives of the District.
3. Grantee's detailed budget is included as Appendix C.
1. Grantee will be required to clear outstanding fiscal debts with the District prior to receiving Grant
Program monies.
2. Grantee must prove eligible for receipt of funds based on the Federal List of Parties Excluded
From Federal Procurement or Non-procurement Programs. Exclusion of Grantee from this list,
verified at http://www.arnet.qov/epls, demonstrates the Grantee's good status regarding
suspension and debarment and eligibility for Grant Program funds.
3. Post audits may be performed after Project Completion to determine whether the costs claimed
are allowable, allocable, reasonable, and in compliance with the District's Trails Grant Program
Guidelines.

4. Grantee is responsible for repayment to District of any Disallowed Cost. Disallowed Costs
may be identified through audits, monitoring or other sources of information that become
available to the District.
5. Construction costs are deemed "reasonable" if obtained by competitive bidding or a public
interest finding.
B. Eligible Costs
Total Project Grant Amount shall not exceed Four Hundred Thousand Dollars ($400,000.00) and
will be disbursed to Grantee as described in Section 3.0 and 3.E below).
1. Only project related costs incurred during the project performance period, excluding costs
incurred during preparation of the grant application, specified in the contract are eligible for
reimbursement. All such costs must be supported by appropriate documentation (see Appendix
D).
2. Personnel or employee services - Services of the applicant's employees engaged in project
execution are eligible costs. These direct labor costs must be computed according to the
applicant's prevailing wage or salary scales and may include fringe benefit costs such as
vacation, sick leave and social security contributions that are customarily charged to the
applicant's various projects for which the applicant has submitted a Benefit Rate Calculation to
the District. Indirect overhead is limited to 10% of Salary plus Benefits. Costs charged to the
project must be computed on actual time spent on a project, and supported by time and
attendance records describing the work performed on the project. Overtime costs may be
allowed under the applicant's established policy, provided that the regular work time was
devoted to the same project.
3. Salaries and wages claimed for employees working on grant funded projects must not exceed
the applicant's established rates for similar positions.
4. Consultant services - The costs of consultant services necessary for the project are eligible.
Consultants must be paid by the customary or established method and rate of the applicant. No
consultant fee may be paid to the applicant's own employees.
5. Construction equipment - Equipment owned by Grantee may be charged to the project for each
use. Equipment use charges must be made in accordance with the applicant's normal
accOlmting practices. The equipment rental rates published by the State Department of
Transportation may be used as a guide.
a. If the applicant's equipment is used, a report or source document must describe the work
performed, indicate the hours used and relate the use to the project.
b. The purchase of equipment with Grant Program funds is not permissible.
6. Construction supplies and materials - Supplies and materials may be purchased for a specific
project or may be drawn from a central stock, provided they are claimed at a cost no higher than
that paid by the grant recipient. Supplies and materials purchased for the construction of a piece
of equipment, a structure or a part of a structure, may be charged to the project. If charged, only
that cost incurred during the project performanc~ period and attributed to the project may be
claimed.
7. Signs and interpretive aids - The cost of signs, display boards, or other minor interpretive aids
relating to the project are eligible.

8. Construction - The cost of all necessary construction activities, from site preparation (including
demolition, excavation, grading, etc.) to the completion of a structure or facility is eligible.
9. Acquisition - Costs of acquiring real property are eligible and may include the purchase price of
the property, appraisals, surveys, preliminary title reports, escrow fees, title insurance fees.
10. Relocation costs - Relocation costs are allowable for projects that result in displacement on any .
person and/or business. The applicant must comply with the requirements of the State
Relocation Act (Chapter 16 Government Code, Section 7260 et seq.) if applicable, even if
relocation costs are not claimed for reimbursement.
11. Other expenditures - In addition to the major categories of expenditures, reimbursements may
be made for miscellaneous costs necessary for execution of the project. Some of these costs
are:
a. Communications (such as telephone, telegrams, letters, etc.);
b. Work performed by another section or department of Grantee's agency; and
c. Transportation costs for moving equipment and/or personnel.
C. Interest Earned From Advanced Funds
1. If grant monies are advanced, Grantee shall place these monies in a separate interest bearing
account, setting up and identifying such account to the District prior to the advance. Interest
earned on grant monies and any grant monies not expended shall be returned to the District
within 60 days of Project Completion.
D. Payment Request Process - Development Projects
This Grant Agreement is based on a reimbursement model with options of specific advance
payments noted below.
1. After the Grant Agreement has been fully executed, Grantee may request a 10% advance of the
Project Grant Amount.
2. If Grantee has requested a 10% advance, this advanced Grant funding will offset actual costs as
documented in the attached Payment Request Form and Invoice. All advanced Grant funding
will be applied to Payment Request Reimbursements before any subsequent funding will be
paid.
3. Grantee may submit multiple Payment Request Forms as necessary, but not more than monthly
and not less than quarterly.
4. After Grantee completes the Project, Grantee submits the Project Completion Packet (see Sec.
3.H.1) and the Payment Request Form for the final payment.

options noted below.
1. After the grant agreement has been fully executed, Grantee may request a 10% advance of the
Project Grant Amount.
2. If Grantee has requested a 10% advance, Grantee may request up to an additional 70% of the
Project Grant Amount, as specified in the approved Application, for a total up to 80% of the
Project Grant Amount upon submission of evidence that escrow is open. At District's
option, funds may be placed directly into escrow or given to Grantee for immediate deposit
into escrow.
3. If Grantee has not requested a 10% advance, Grantee may request up to 80% of the Project
Grant Amount as specified in the approved Application upon submission of evidence that escrow
is open. At District's option, funds may be placed directly into escrow or given to Grantee for
immediate deposit into escrow.
4. Grantee may submit multiple Payment Request Forms as necessary, but not more than monthly

F. Invoicing
1. The Invoice and Status Report Form (Appendix D) shall accompany the Payment Request
Form (Appendix E) and shall incorporate Grantee name and remittance address, a
description/itemization of goods or services, dollar amount of goods or services, invoice date
and number, and Agreement number. Work performed shall be determined on a per task
basis as outlined in the Project Description (Appendix A) and Project Schedule (Appendix B).
2. The District shall process and issue a check to Grantee within forty-five (45) calendar days of
receipt of an undisputed invoice. Final Grant payment must be processed within 5 years of
the date the Agreement is executed. The District can dispute an invoice or portion of an
invoice submitted by Grantee.
3. Invoicing can be as frequently as monthly, and at least quarterly. Grantees must submit
invoices to the District Trails Grant Program Administrator, and should provide the Agreement
number next to the Grantee's name. District Trails Grant Program Administrator should
ensure that received invoices are time and date stamped, and logged into an established
project spreadsheet.
4. Grantee should obtain and submit invoices from subcontractors typically showing task, task
budget, percentage complete, prior billing if any, current billing, and total billed. The District
Trails Grant Program Administrator completes a Receiving Record (form FA1226A), along
with copies of the invoice and any grantee/subcontract supporting documents when
submitting invoices to District Accounts Payable for payment. Project supporting
documentation should be consistent with invoicing frequency. Percentage of project
Completion should coincide with reimbursement to Grantee.
H. Project Completion
1. After Grantee completes the Project, Grantee shall submit the Project Completion Packet to
the Trails Grant Program Administrator, which packet shall include:
a. Final Invoice and Status Report Form (Appendix D).
b. Final Payment Request Form (Appendix E).
c. Final Project Report (may be final quarter or final monthly report) (Appendix F).
d. Notice of Completion (Public Contract type as agreed upon by District and Grantee)
2. District conducts the final on-site Project inspection.
3. District processes the final payment of monies from the Grant Program for the Project.
4. Project must be fully completed (including processing final payment) within 5 years from the
date the Agreement is signed or unspent funds will revert back to the District.

5. District may perform an audit of the completed Project.
6. District shall be notified of opening ceremonies for completed trail segments associated with
Project for inclusion and representation by the District.

All notices and other communication required or permitted to be given under this Agreement shall be in
writing and shall be personally serviced or mailed, postage prepaid and return receipt requested,

APPENDIX A
PROJECT DESCRIPTION
The District's Trails and Open Space Grant Program is based on a reimbursement model, and as such will
require a detailed project description outlined with Tasks and Subtasks for measuring and auditing progress
and the subsequent allocation of funds to Grantee. The description and possible attachments should include,
but is not limited to:
General Description
. Property description
. Specific location of project (cross street to cross street is generally an easily identifiable project
reach)
. Adjacent water bodies and creeks
. Adjacent trails, parks and open space
. Project Access
. Existing District! Grantee agreements in the project vicinity (JUA, Joint Trail Agreement, MOU, MOA)
. All proposed project improvements (signage. fencing, grading, benches, trash receptacles,
landscaping, ADA accessibility, etc.)
. Duration of time to complete project
. Estimated time of year for construction
. Proof of CEQA compliance (NEPA if project involves a federal nexus)
. Plans for project maintenance
Tasks and Subtasks
Tasks and Subtasks should be identified in such a way that the District may monitor Grantee's progress on
the approved project. The detail in which this is done is at Grantee's discretion, however, as applicable,
should include such general topics as planning, design (surveying, engineering, testing, bidding),
construction, construction engineering and testing, construction contingency, landscaping, and project
management.
Separate tasks and subtasks shall include cost estimates (see Appendix C and D). Timing associated with
tasks and subtasks may be addressed in the Project Schedule (Appendix B).
Project Performance Criteria
District shall use the following Project Performance Criteria, as well as requested information in submitted
Quarterly Reports, to evaluate the performance of Grantee:
. Project completed (trail on the ground).
. Project complete within 5 years of date the Agreement was signed.

Stevens Creek Corridor Trail Park Project includes:

JOINT USE AGREE:M:ENT
SANT A CLARA V ALLEY WATER DISTRl CT, a public corporation, hereinafter referred to as
"District;" and the CITY OF CUPERTINO, a municipal corporation, hereinafter referred to as
"City;" AGREE this 16th day of November , 1999 as follows:
RECITALS:
A. District is the owner of certain real property (hereiJ12fter "the prerr.cises"), described on
"Exhibit A"'hereto, so marked and by this reference made a part hereof.
B. City and District recognize that the premises are regulated by a variety of federal, state, and
local agencies.
C.
City and District, in cooperation with the California Department of Water Resources, the
U.S. Army Corps of Engineers, and the California Department of Fish and Game, agree to
use the premises for nonvehicular (except for mainterumce, emergency, and enforcement
vehicles) and recreational purposes as well as for flood control and water conservation
purposes.

D. The parties fmd it to be in the public interest to provide for joint use of the premises by
means of an Agreement thereof under the following terms and conditionS:
AGREE:MENT:
1. District shall and does hereby grant permission to City to use the premises for recreational
purposes.
2. City shall be responsible for compliance with City's graffiti abatement program within the
premises, consistent with its implementation of the same program at comparable City
facilities.
3. The public pathway and corridor, the subject of this Agreement, may be patrolled by City
persormel and ranger services under contract with City and/ or volunteers supervised by City.
4. City shall be responsible for the removal and replacement of recreational improvements
installed by the City in the event District is required to improve Stevens Creek in any manner
for flood protection purposes. District shall involve City in preconstruction planning, as
described in Section 6, in the event a District flood control project is needed, to rnirllmize
District's project impact on City's improvements to the premises.

S. Damage occurring to City's structures or paving by reason of District's reasonable and
lawful maintenance or other activity or by reason of natural forces will not be the
respon.sibility of the District to repair or restore.
6. City and District shall meet whenever necessary for the purpose of schedulmg routine
maintenance including but not limited to:
Maintenance issues related to improvements;
Method and ti.rning of issues related to affected wildlife;
Nonemergency work requiring the use of heavy equipment, barricading, and/or
restricting access to the premises. District and City further agree to notify one
another's designated representative as required prior to corrunencement of such work,
in order to rninirnize public impacts.
In an emergency situation, District shall have rights provided in Paragraph 13 without
consulting City.
7. City will encourage volunteer groups to participate in District's "'Adopt-A-Creek'" program.
8. Native plants selected by a licensed landscape architect with native habitat experience should
be used for re,:,egetation purposes.
9. Construction work during spring nesting season will be avoided whenever possible. The
parties acknowledge that the spring nesting season occurs between February 1 and July 1. If
construction must be done during the nesting season, a suryey by a qualified biologist will be
undertaken to determine the presence of nesting. If no nesting activity is reported, then the
yrork may proceed. If nesting activity is reported, the biologist is expected to recorrunend
the implementation of adequate mitigation measures. Environmental impact shall be
conSidered prior to all work.
10. The parties shall cooperate to create and install signage which benefits t.'1e progrili"'DS of each
party such as warnings, entrance signage, interpretive signs, and joint uses when applicable.
The General Manager of the District and the Director of the Parks and Recreation
Department of the City or their designees shall meet and confer on a periodic basis to plan
and install appropriate signage which serves the needs of both parties.
11. This Agreement shall be for a period of twenty-five (25) years beginning on the date it is
approved by the District Board of Directors. This Agreement may be terminated by either
party upon ninety (90) days prior written notice to the other. Notice of intent to terminate
may be given by Director of Public Works for City. Notice of intent to terrn.inate may be
given by the General Manager of District for the District.

12. City shall have the full control and authority, for purposes of this Agreement, over the use of
the premises, and City may restrict, or control, regulate and supervise the public use'thereof.
City may, in its uncontrolled discretion (but consistent with the right of District hereinafter
described, and without substantial or hazardous diminution of the flood control or
conservation function of fue premises as now existing or as may hereafter be al tered), take
any measures of every kind as may in the opinion of City be necessary for the safety of the
users of the premises for any lease purpose. Further, City shall have the sole responsibility
for the maintenance in usable and safe condition of every facility provided upon the premises
for purposes of this Agreement.
13. District shall have the sole responsibility to maintain Stevens Creek for flood control and
water conservation purposes, to repair and reconstruct the same where necessary for'such
purposes and to perform such periodic maintenance as may be appropriate to such purposes,
including removal of silt, debris, and obstructive growth. It is expressly understood that
District is engaged in flood control and the conseTYation of water and that the terms and
conditions of this Agreement shall not in any way interfere with the absolute, free and
unrestricted right of District to operate and maintain for flood control and water conservation
purposes the stream bed arid banks or any appurtenant works thereto, or to repair or
construct any of its works, or to raise or lower the height of the water present upon the
premises; and it is further understood that nothing herein contained shall be construed as
conferring a right upon City to have or a duty upon District to provide water upon the
premises at any time. Damage to District's facilities arising from use of the premises under
this Agreement shall be the responsibility of City.
14. It is also expressly understood by City that the level of water upon the premises may
fluctuate from day to day due to controlled or uncontrolled flows upon and across the same,
and that such fluctuations IDay require greater control over the use of the premises by City
and the public; provided, however, that City shall be responsible for informing itself thereof
and of all other conditions of the premises whether open or covered which may in anywise
affect the health and safety of the users of the premises hereunder.
15(a). City shall have the right to build any improvements on the premises necessary, or convenient
to the enjoyment of this Agreement, provided the location of any such h"11provement is, in
each case during the term of this. Agreement, fIrst approved by District and signified by
issuance of a District permit. It is fully understood and agreed that District's basis of
approval or disapproval of improvements is its responsibility to insure that the same shall not
constitute an obstruction to flood flows and shall not interfere with the use of the premises
for flood control or water conservation purposes, and does not in anywise extend to
consideration of the health and safety of users of the premises, which latter consideration is
the responsibility of City.
(b). Improvements built by City on the premises shall remain the property of City and upon the
termination of this Agreement shall be removed by City, leaving the premises in a condition
as n'ear as reasonably possible to their condition prior to such improvements. If District, in
the interest of health and safety and in the exercise of lawful powers, requires that such an
improvement must be removed or relocated, the same shall be done at City's expense upon
reasonable notice from District.

description directly or indirectly arising during the initial term of this Agreement, or any
renewal thereof, and resulting from the public use of the premises pursuant hereto or from
public use of adjacent premises of District occurring in consequenc~ of City's or the public's
use of the premises or from acts, omissions, or activities. of City's officers, agents,'
employees, or independent contractors employed by City, excepting claims, liability, loss,
damage, or. injury which arise from the willful or negligent acts, omissions, or activities of
an officer,. agent, or employee of District, This Agreement to defend, indemnify, and hold
. harmless shall operate irrespective of whether negligence is the basis of the claim, liability,
loss, damage, or injury and irrespective of whether the act, omission, or activity is merely a
condition rather than a cause.
(b). District shall assume the defense of, indemnify, and hold harmless, City, its officers, agents,
and employees from all claims, liability, loss, damage, and injury of any kind, nature or
description. directly or indirectly arising from District's exercise of its flood control or water

17. Any and all notices required to be given hereunder shall be deemed to have been delivered
upon deposit in the United States mail, postage prepaid, addressed to either of the parties at
the address hereinafter specified or as later amended by either party in writing:

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CUPERTINO
APPROVING THE APPLICATION FOR GRANT FUNDS FROM THE 2005 TRAILS,
PARKS & OPEN SPACE GRANT PROGRAM UNDER THE CLEAN, SAFE CREEKS &
NATURAL PROTECTION PROGRAM FOR STEVENS CREEK COORlDOR
WHEREAS, the Santa Clara Valley Water District has enacted the Trails and Open Space
Grant Program, which provides funds for the acquisition and development of neighborhood,
community, and regional parks and recreation lands and facilities; and
WHEREAS, the Santa Clara Valley District's Watershed planning unit has been
delegated the responsibility for the administration of the grant program, setting up necessary
procedures; and
WHEREAS, said procedures established by the Santa Clara Valley Water District require
Grantee's Governing Body to certify by resolution the approval of Grantee to apply for Trails
and Open Space Grant Program funds, and
WHEREAS, Grantee will enter into an agreement with the contract with the Santa Clara
Valley Water District;
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Cupertino
hereby:
1. Approves the filing of an application for local assistance funds from the Trails and Open
Space Grant Program under the Clean, Safe Creeks and Natural Flood Protection
Program of 2000; and
2. Certifies that the applicant has or will have sufficient funds to operate and maintain the
project; and
3. Certifies that the applicant has reviewed, understands and agrees to the special
provisions, general provisions and financial provisions contained in the agreement; and
4. Appoints the City Manager as agent to conduct all negotiations, execute and submit all
documents including, but not limited to applications, agreements, payment requests and
so on, which may be necessary for the completion of the project.
