FIRST AMENDMENT TO
AGREEMENT BETWEEN
THE CITY OF CUPERTINO

MINEWEASER &. ASSOCIATES
THIS FIRST AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT ( "Agreement ") is
dated this 27 TO day of 5UL1 , 2011, in the City of Cupertino, State of California, by and between
MINEWEASER & ASSOCIATES hereinafter referred to as ( "CONSULTANT ") and CITY OF CUPERTINO,
hereinafter referred to as ( "CITY ").
Recitals
Whereas on, September 20` 2010, an agreement was entered into by and between MINEWEASER &
ASSOCIATES, hereinafter referred to as ( "CONSULTANT ") and CITY OF CUPERTINO, hereinafter referred to
as ( "CITY ").
WHEREAS, CITY and CONSULTANT desire to amend the AGREEMENT on the terms
and conditions set forth herein. NOW, THEREFORE, it is mutually agreed by and between and
undersigned parties as follows:
The Scope of services has changed to the work outlined in Exhibit "A" attached.
The Term of the agreement is extended to March 31, 2012
Except as expressly modified herein, all other terms and covenants set forth in the Agreement
shall remain the same and shall be in full force and effect.

EXHIBIT "A"
SCOPE OF ARCHITECTURAL SERVICES
MCCLELLAN RANCH
CITY OF CUPERTINO, CALIFORNIA
This exhibit is attached to, and made a part of, the Agreement between the City of Cupertino
( "City ") and Mineweaser & Associates ( "Consultant ").
Consultant, in the capacity of a currently licensed California Architect, may be asked to provide
design and construction phase services, as required to assist the City in the restoration of the
exterior materials, flashing, windows, doors, water storage tank, roofs, and other major
components of the buildings at McClellan Ranch, to include the Milk Barn and the adjacent
Water Tank Tower. Any required restoration documents shall be prepared for bidding, in
accordance with Federal, State and Local historical building codes, guidelines and standard
professional practice. Construction Documents shall be stamped and signed by the applicable
licensed California professional.
Consultant shall also provide documented oversight and advisory services to the City, and to the
City's consultants, in the development and preparation of a 2011 McClellan Ranch Master Plan
using Consultant's extensive knowledge of and experience with Federal, State and local
historical building codes and guidelines, and the existing 1993 McClellan Ranch Master Plan,
which the Consultant helped prepare.
