THIS FIRST AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT ( "Agreement ") is
dated this 14th day of July, 2011, in the City of Cupertino, State of California, by and between TRA
ENVIRONMENTAL SCIENCES, INC., hereinafter referred to as ( "CONSULTANT ") and CITY OF
CUPERTINO, hereinafter referred to as ( "CITY ").
Recitals
WHEREAS, CITY and CONSULTANT desire to amend the AGREEMENT to modify the basic
agreement, scope of services and fees; and
WHEREAS, the CITY OF CUPERTINO desires to obtain professional consultant services for the Steven
Creek Corridor Phase 2 Project Environmental Clearance, (hereinafter, PROJECT); and
WHEREAS, City's rules and regulations authorize City to enter into agreements for professional temporary
services; and
WHEREAS, TRA ENVIRONMENTAL SCIENCES, INC. has the necessary professional expertise and
skills to perform the professional services required,
Now, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, stipulated and agreed, the parties agree as follows:

4. Compensation
The compensation to be paid to CONSULTANT for professional services and reimbursable
expenses shall be based on Time and Materials not exceed Forty Two Thousand Dollars
($42,000.00) for Basic Services inclusive of Reimbursable Expenses. The rate of payment is set
forth in Exhibit B, which is attached to the original Agreement. An allowance of Three Thousand
Dollars ($3,000.00) is provided for Additional Services, to be expended only upon written

authorization from City for scope that falls outside of Basic Services. The total compensation

Scope of Services
The services noted below are hereby added to the Scope of Services to be provided by TRA
Environmental Sciences and their subconsultant 1:eam.
Work Tasks:
Task 3 -1: Prepare Public Draft IS
TRA will submit a second Administrative Draft IS /MND for review by the City. TRA will
provide an electronic Word document for this review. TRA will address any comments on the
second administrative draft.
TRA will then produce a Pre -print Draft ISIMND for review by the City. TRA will provide
an electronic Word document for review. TRA will address any comments on the Pre -print Draft
IS /MND administrative draft.
TRA will then produce a Pre -print Final Draft IS /MND City review will provide an
electronic Word document for this review. TRA will address any comments on the Pre -print
Final Draft IS /MND administrative draft.
As already provided in the original Scope of Services, TRA will then prepare the Public
Draft IS /MND for release for public review. TRA will prepare 20 copies of the Public Draft
IS /MND; five of which will be for City use and 15 copies will be sent to the State Clearinghouse.
TRA will also provide the City with an electronic copy of the document so it can make additional
copies of the document as necessary. TRA will prepare the Notice of Completion, the form that
is sent to the State Clearinghouse. TRA will deliver 15 copies of the Public Draft IS /MND and
the Notice of Completion to the State Clearinghouse by overnight delivery service.
Task 3 -2: Review Public Comments and Prepare Responses
TRA will review comments received on the Public Draft IS /MND. City will forward
comments as they become available. TRA will confer with City prior to conclusion of public
comment period regarding preparation of responses to possible common concerns that receive
multiple comments. TRA will prepare a draft Response to Comments memo within 2 weeks
after receipt of all comments for City review. TRA, will confer with City and respond to City
comments, and prepare a final Response to Comments memo.
Task 4 -1: Meetings and Hearings
TRA will attend one to two further meetings: 1) a meeting with the City's Environmental
Review Committee or other group if requested, and 2) a public meeting with the City Council at
which the IS /MND is adopted.
Task 5 -1: Project Administration and Quality Control
TRA will provide communication, and coordination between the City and the TRA Project
Manager, contract administration, and quality control through the duration of the environmental
clearance process to filing of a Notice of Determination.

2. Proposed Work Schedule
The schedule remains unchanged except that the TRA will review public comments and
prepare a draft Response to Comments memo within 2 weeks after receipt of all comments.
TRA will confer with City and prepare a final Response to Comments memo for inclusion in a
City Council agenda package by September 12 or earlier.

MITIGATED NEGATIVE DECLARATION
Stevens Creek Corridor Park and Restoration Phase 2 Project
The City of Cupertino is the Lead Agency for the Stevens Creek Corridor Park and Restoration Phase 2
project. The City has had prepared an Initial Study/Draft Mitigated Negative Declaration finding that,
although the proposed project could have a significant effect on the environment, there will not be a
significant effect because mitigation measures will be incorporated into the project.
Project Description:
The City of Cupertino proposes to construct a 1 /4 -mile segment of pedestrian- bicycle trail. The project
would extend the existing Stevens Creek Trail from Blackberry Farm Park to Stevens Creek Boulevard
and connect to existing bicycle lanes and bus stops there. The project would restore Stevens Creek,
install native plantings and create a new backwater area. It would open the 5 -acre parcel known as the
Stocklmeir property to the public. The project would renovate the existing parking lot at the Blackberry
Farm Golf Course and Blue Pheasant Restaurant, provide crosswalk and walkway connections, and install
on- street parking and a bus dropoff area.
This proposed project was contemplated in the Stevens Creek Corridor Park Master Plan Initial
Study/Mitigated Negative Declaration (IS/MND) prepared in 2006. The City has decided to prepare a
new IS/MND due to changes in the current project description.

Applicant: City of Cupertino
At its meeting of September 20, 2011, the Cupertino City Council held a public meeting
to consider Stevens Creek Corridor Park and Restoration Phase 2, Project 9134. The
proposed project would construct an approximately 1/4 mile long segment of bicycle-

adopting a Mitigated Negative Declaration for this project on February 20, 2011, has
determined that the project is consistent with the General Plan and there are no
significant environmental impacts. The Mitigated Negative Declaration has been
prepared pursuant to the provisions of State and City guidelines. A copy of said
Mitigated Negative Declaration is available in the Office of the City Clerk, 10300 Torre
Avenue,Cupertino,California.

As provided by the Environmental Assessment Procedure adopted by the City Council of the City of Cupertino on
May 27, 1973, and amended on March 4, 1974, January 17 1977, May 1, 1978, and July 7, 1980, the following

Location: Stevens Creek Corridor Park and Restoration Phase 2 (City-owned property)
DISCRETIONARY ACTION REQUEST
The proposed project would construct an approximately 1/4 mile long segment of bicycle-pedestrian trail,
extending the existing Stevens Creek Trail from Blackberry Farm Park to Stevens Creek Boulevard and
connecting to existing bicycle lanes and bus stops there. The project would restore Stevens Creek, install
native'plantings and create a new backwater area. Ii: would open the parcel known as the Stocklmeir
property to the public. The project would renovate the existing parking lot at the Blackberry Farm Golf
Course and Blue Pheasant Restaurant, provide crosswalk and walkway connections, and install on-street
parking and a bus drop off area.
This proposed project was contemplated in the Stevens Creek Corridor Park Master Plan and
Restoration Plan Initial Study/Mitigated Negative Declaration (IS/MND) prepared in 2006; however, a
new IS/MND has been prepared due to recent changes in the current project description.
FINDINGS OF DECISIONMAKING BODY
The City Council granted a Mitigated Negative Declaration since the project is consistent with the
General Plan and there are no significant environmental impacts.
The applicant shall adhere to all of the conditions required by the City Council on September 20, 2011
including but not limited to the mitigations as listed in the attached report.

CUPERTINO TO ADOPT A
MITIGATED NEGATIVE DECLARATION
Stevens Creek Corridor Park and Restoration Phase 2 Project
The City of Cupertino is the Lead Agency for the Stevens Creek Corridor Park and Restoration Phase 2
project. The City has had prepared an Initial Study/Draft Mitigated Negative Declaration finding that,
although the proposed project could have a significant effect on the environment, there will not be a
significant effect because mitigation measures will be incorporated into the project.
Project Description:
The City of Cupertino proposes to construct a '/4-mile segment of pedestrian-bicycle trail. The project
would extend the existing Stevens Creek Trail from Blackberry Farm Park to Stevens Creek Boulevard
and connect to existing bicycle lanes and bus stops there. The project would restore Stevens Creek,
install native plantings and create a new backwater area. It would open the 5-acre parcel known as the
Stocklmeir property to the public. The project would renovate the existing parking lot at the Blackberry
Farm Golf Course and Blue Pheasant Restaurant,provide crosswalk and walkway connections, and install
on-street parking and a bus dropoff area.
This proposed project was contemplated in the Stevens Creek Corridor Park Master Plan Initial
Study/Mitigated Negative Declaration (IS/MND) prepared in 2006. The City has decided to prepare a
new IS/MND due to changes in the current project description.

at the project site. The 30-day public review and comment period is:
July 21,2011 to August 19,2011.
If based on a review of comments received on the Mitigated Negative Declaration there is no substantial
evidence that the project would result in a significant environmental impact,the Draft Mitigated Negative
Declaration will be recommended for City Council adoption on September 20,2011 or thereafter.
