COMPENSATION: For the full performance of this Agreement, CITY shall pay CONTRACTOR:

GENERAL TERMS AND CONDITIONS
Hold Harmless: Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and all damage and
liability. including all costs of defending any claim, caused by or arising out of the performance of this Agreement. City shall not
be liable for acts of Contractor in performing services described herein.

Insurance: Should the City require evidence of insurability, Contractor shall file with City a Certificate of Insurance before commencing
any services under this Agreement. Said Certificate shall be subject to the approval of City's Director of Administrative Services.
Non-Discrimination: No discrimination shall be made in the employment of persons under this Agreement because of the race, color,
national origin, ancestry, religion or sex of such person.
Interest of Contractor: It is understood and agreed that this Agreement is not a contract of employment in the sense that the
relationship of master and servant exists between City and undersigned. At all times, Contractor shall be deemed to be an independent
contractor and Contractor is not authorized to bind the City to any contracts or other obligations in executing this agreement. Contractor
certifies that no one who has or will have any financial interest under this Agreement is an officer or employee of City.
Changes: This Agreement shall not be assigned or transferred without the written consent of the City. No changes or variations of any
kind are authorized without the written consent of the City.

Project Scope of Services
Task 1 - Project Kickoff/Data Collection and Project Management
The first step in the project will be a kickoff meeting with City transportation and public
works staff. The meeting will serve the following purposes:
. Update preliminary Project Schedule
. Prepare and update Proj ect Contact List
. Finalize the Project Work Scope and project expectations
. Discuss data collection needs and objectives
. Discuss traffic calming issues
. Discuss potential traffic diversion to surrounding streets
. Discuss unique features of each school, roadway and neighborhood area
. Obtain data from the city such as street classifications, emergency route maps, aerial
photography, and other related studies or reports
. Obtain topographic survey data at project locations
As part of Task 1, Kimley-Horn will prepare Monthly Progress Reports, attend monthly
progress meetings with City Staff, attend community meetings and meet with school officials
concerning the project and prepare meeting agendas, meeting minutes, exhibits and action
items.

KHA will complete the deliverables listed in Task 1 as needed following the notice to proceed.
Task 2 - Evaluation and Cost Estimates of Available Traffic Calming Measures
Following Task 1, and with input from City staff, we will prepare a memorandum of
potential traffic calming measures that are appropriate for Stevens Creek Boulevard, Tantau
Avenue, Finch Avenue, Bollinger Road, Phil Lane and Cupertino High School. This is an
important task since many traffic calming features that work well on some streets are
incompatible with the function of higher-order streets. Choosing the right traffic calming
measure is essential, but not always intuitive. In general, we will incorporate traffic calming
measures already identified by City staff through their ongoing efforts with the local
residents and affected schools. It is understood that City staff has conducted preliminary
studies of the affected neighborhoods and has a preliminary perception of many of the traffic
calming measures that may be implemented. In addition, Kimley-Horn will evaluate the
effectiveness between raised crosswalks and a crosswalk warning system for affected
locations.
Our memorandum will help avoid potential conflicts by considering the following criteria for
each traffic calming device:
. Purpose of the device
. Effectiveness at reducing vehicle speeds
. Potential for traffic diversion
. Impacts to emergency services
. Impacts to other service providers such as fire, bus and trash collection
. Impacts to on-street parking
. Noise impacts from the device
. Approximate construction and maintenance costs
. Drainage concerns
Based on this criteria, and City staff input, our memorandum will recommend whether a
particular feature is appropriate.

KHA will complete the deliverables listed in Task 2 within three (3) weeks following the Kick Off
meeting listed in Task 1.
Task 3 - Traffic Calming and Design Conceptual Plan with Estimated Construction Costs
Kimley-Horn will prepare a Conceptual Traffic Calming and Implementation Plan.
Depending on the traffic calming measures, it may also be necessary to recommend
additional measures for the surrounding neighborhood to prevent cut-through traffic. The
plan will focus on locations where pedestrian and vehicular enhancements would be
implemented. We will meet with City staff to discuss the merits and estimated costs of the
calming options and modify them as appropriate.
In discussions with Kimley-Horn, City staff will finalize the conceptual plan (or variation
thereof) for further development. The conceptual plan will be refined based on input
provided by the City.
Kimley- Horn will meet and present the revised Conceptual Traffic Calming and
Implementation Plan to the affected residents and schools. At these meetings, we will
discuss traffic calming options and the process of developing the conceptual plan. We will
seek comments on the plan, ideas for minor modifications, and ultimately, support for the
concepts. A second meeting may be held if more time is needed to review the plan with the
neighborhood or affected stakeholders. We will incorporate appropriate comments from the
public meetings.
Each street has the potential to be used by fire trucks as an emergency response route. The
streets are long and may require multiple features to keep traffic slowed. However, some
measures can slow large fire trucks by ten seconds or more per feature. With multiple
features along a street there can be a significant cumulative impact to emergency response
times. Thus, having fire department and neighborhood support is essential.
Kimley- Horn will present the Revised Traffic Calming and Implementation Plan, with citizen
input, to the City staff. Our presentation will incorporate both text and graphics. We will be
prepared to answer questions and will incorporate the City's comments as appropriate.

KHA will complete the deliverables listed in Task 3 within four (4) weeks following
completion of Task 3.
Task 4 - 80% Traffic Calming Plan and Design Details
Kimley-Hom (Nolte) will prepare the PS&E at the 80% level. In addition, we will prepare
standard CAD drawings of the proposed traffic calming measures. We will coordinate with
the emergency services providers to ensure the designs will be compatible with their service
objectives. Drawings will show typical dimensions of the features and recommend
associated signing and striping.
Nolte Associates will prepare a right-of-way plat and description for acquisition of property
for roadway improvements on Fitch Avenue.
Deliverable:
. Three (3) sets of 80% plans on 24"x36" plan sheets
. Three (3) copies of 80% Specifications
. Estimate of probable construction cost
. Preliminary right-of-way plat and description
KHA will complete the deliverables listed in Task 4 within four (4) weeks following the
receipt of the City's non-conflicting review comments of submittal of Task 3.
Task 5 -100% Traffic Calming Plan and Design Details
Based on the City's comments on the 80% submittal, Kimley-Hom (Nolte) will prepare a
100% PS&E submittal.
Deliverable:
. One copy of final Base Map (electronic format - AutoCAD)
. Three (3) sets of 100% plans on 24"x36" plan sheets
. Three (3) copies of 100% Specifications
. One copy of the final Estimate of Probable Cost in both hard copy and electronic
format
. One copy of the final right-of-way plat and legal description
KHA will complete the deliverables listed in Task 5 within three (3) weeks following the
receipt of the City's non-conflicting review comments of the 80% submittal.
Task 6 -100% Signed and Sealed Traffic Calming Plan and Design Details
Based on the City's comments on the 100% submittal, Kimley-Hom ( Nolte) will prepare a
100% signed and sealed PS&E submittal.

. One set of 100%, signed and sealed 24"x36", Mylar Improvement Plans
. One set of signed and sealed final contract specifications in both hard copy and

PROPOSED FEE
The Scope of Services outlined above will be provided on a not-to-exceed, time and
materials fee of$45,755. A detailed breakdown of the fee is shown below. The fee estimate
will not be exceeded without the prior written authorization of the City of Cupertino.

Additional Services
Although it is understood that the City will be responsible for public outreach and education,
as an additional service, Kimley-Hom has an experienced staff that could assist the City in
preparation of educational materials, handouts and public outreach materials.
The estimated cost for "Public Outreach" for each school would be $2,500 per school. This
cost would include preparation time, preparation of exhibits, handout material and the time
for both Jim West and Ted Moss to attend one (1) public meeting at each school. The total
cost for "Public Outreach" (one meeting at each school) for the three schools would be
$7,500. Any additional meetings would be at the rate of $2,500 per meeting.
These additional services could be charged on a "time and material" basis or charged on a
negotiated "lump sum" basis. In either case, no additional work will proceed without written
authorization from the City.

I. PROJECT UNDERSTANDING
As a subconsultant to Kimley Horn Associates (KHA), Nolte Associates will provide Civil
design support services for the City of Cupertino's (City/Client) Safe Routes to School - Third
Cycle - FY2002/2003 Project. The project includes various traffic calming improvements at
three different school locations within the City of Cupertino. The first location is along Finch
Avenue fronting Cupertino High School (CHS). The second location is along Tantau Avenue
and Phil Lane fronting Sedgwick Elementary School. The third location is along Bollinger Road
at the exit driveway for Hyde Middle School. Improvements along Finch Avenue near CHS may
also involve right of way acquisition to accommodate proposed sidewalk improvements and
roadway widening.
The scope of services will included completion of topographic surveys at all three locations,
design input during conceptual design development and completion of final design plans,
specifications and estimates. Services include completion of a plat and legal description for
potential property acquisition along Finch Avenue.
H. DETAILED SCOPE OF SERVICES
Task 1 - Project Kickoff/Data Collection/l)roject l\:lanagement
1.1 Project KickoffMtg
Nolte's project manager will accompany KHA's project manager to the project's official kickoff
meeting. A total of 2 man-hours has been established to cover this meeting.
1.2 Data Collection
This task will consist of data collection and review activities, and topographic surveys including
assembling available information from the City and School District (plans, As-builts, RJW
information and utilities).
Field investigations will be performed by the Engineers to identify surface features/impacts,
photograph the site, and serve as a basis for identifying field survey requirements. This task will
include walking the site with the client and project team to help clarify expectations on limits of
improvements and jointly discuss final physical characteristics for the project
1.3 Project Management
This Task incorporates the anticipated efforts of Nolte's Project Manager. The tasks include the
following: .
. Project coordination including communicating project Issues with KHA, City, School
District, PG&E, and other Utility Companies.

. Attend coordination/design meetings with the project design team. This scope assumes at
total of five (3) 2-hour meetings will be required. The meeting total includes at least one (l)
meeting will be held with the City for each submittal.
. Project set-up including developing Nolte's project work plan, preparing, monitoring and
updating a proj ect design schedule, developing a proj ect filing system and creating charge
numbers for budget accounting and tracking.
. Perform Quality Control Reviews and Quality Assurance Audits of design.
Task 2 - Evaluation of Available Traffic Calming lVleasures
Nolte will assist KHA with evaluation of potential Traffic Calming measures for the 3
improvement locations. Specifically Nolte will provide feedback relative to property, drainage
and other utility impacts. Additionally, Nolte will provide cost estimate feedback relative to civil
related improvement items at each of the 3 locations.
A total of 16 man-hours have been established for this task.
Task 3 - Traffic Calming and Design Conceptual Plan
In this task Base Mapping will be generated from field surveys for use in final design and
depicting existing project conditions. The survey limits will cover areas along Finch Avenue
(Near Cupertino H.S.), along Tantau Avenue and Phil Lane (near Sedgewick Elementary School)
and along Bollinger Road (at Hyde Elementary School). A total of three and a half (3.5) days of
field survey has been estimated for this effort.
Scope and fee assumes the proposed improvements fall within public right of way and property
acquisitions are not necessary therefore a boundary survey is not included in this scope and fee.
The exception is at the private property along Finch Avenue across from CHS where a sidewalk
gap closure may be implemented.
This task also includes minor assistance to KHA in development of the Design Concpetual Plan.
The scope and fee assumes KHA will complete the bulk of this task and Nolte will be available
to answer questions or provide input relative to civil design issues. A total of 4 man-hours has
been established for this subtask.
Task 4 - 80%. Traffic Calming Plan and Design Details
The specifics of the identified improvements will be coordinated with the City and KHA before
developing the construction documents. After agreeing upon the improvements and meeting
with the Project Team and the City, the design will be developed and documented as an 80%
complete package. A refined construction cost estimate will be prepared at this time, and
impacts, if any, to right of way will be documented. At the conclusion of this task a formal
submittal to the City of Cupertino will be made.

The plans will be developed with adequate detail for conveying the design intent, final geometry,
layout and key design elements. The major goal of this phase is to fully define the project limits
and identify previously unknown constraints or impacts. The plans will contain sufficient detail
for submittal and review by the City to understand the full intent of the project.
The 80% plans and estimate will represent identification of the major project elements.
Subsequent design tasks will include adding detail and clarifications of the major elements
defined in this task.

Task 5 - 1 00'% Traffic Calming Plan and Design Details
Following approval of the 80% Design Plans, Final Documents (100%) will be prepared
precisely laying out the construction details for the projects. Following submittal and review of
the 100% design documents a final bid task is included covering final modifications needed
before the design package is issued for bid.
During the 100% design phase, details are finalized and the contract documents are developed to
a biddablelbuildable level. Subtasks required for the development of the 100% package
submittals are:
II Review and resolve 80% review comments. Prepare written responses and attend a meeting
to resolve major design issues prior to proceeding with the updating of construction
documents.

The Final Bid Document phase will be used to incorporate last minute comments of the 100%
submittal for preparation of the plans, specifications and estimate to be used during the bidding
process. Additional re-submittals will be considered extra work.

Task 7 - Bid Support and Construction Support
Bid Support
Nolte team will provide support to Client during the contractor's bidding process. Services
include answering contractor questions, preparing documents for clarifications, and preparing
contract addendum. Additionally, the task includes attendance at one pre-bid meeting.
Construction Support
In this task Nolte will provide engineering design support services during construction including
attending one (1) pre-construction meeting, completing one (1) field visit, answering contractor
questions, responding to Request for Information, providing additional information/clarification
and supporting design change orders during construction.
III. PROPOSED FEE
The Scope of Services outlined above will be provided on a not-to-exceed, time and materials fee
of $44,180. A detailed breakdown of the fee is shown below. The fee estimate will not be
exceeded without the prior written authorization ofKHA.

IV. SCHEDULE
Nolte will work closely with KHA & City in developing a schedule and adhering to agreed-upon
deadlines. A detailed schedule utilizing Microsoft Project will be developed immediately
following notice-to-proceed from the Client.
V. ASSUMPTIONS
. Nolte will prepare composite drawings in AutoCAD 2000 or newer format.
. Geotechnical Engineering services are not included in this scope of work.

II Underground utilities will be based on location of visible surface features and record
drawings.
II Elevations will be based on the City of Cupertino's horizontal and vertical coordinate system.
II Client will be responsible for providing all testing/inspection services during construction.
II Client will be responsible for all permit fees, bonds and sureties.
II Client will be responsible for all permit fees, bonds and sureties.
II Construction Staking is not included but can be added as extra work at a later date if deemed
necessary.
II Service point costs anticipated from PG&E and Pac Bell are not included in the fee and are
assumed to be covered by the Client.
II Client to provide current Title Report information.
