Hold Harmless. Contractor agrees to save and hold harmless the City, its officers, agents and employees from any
and all damage and liability due to its negligent errors and omissions, including all costs of defending any claim, to the
extent caused by or arising out of the performance of this Agreement. City shall not be liable for negligent acts of
Contractor in performing services described herein.
Insurance. Should the City require evidence of insurability, Contractor shall file with City a Certificate of Insurance
before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non-Discrimination. No discrimination shall be made in the employment of persons under this Agreement because
of the race, color, national origin, ancestry, religion or sex of such person.
Interest of Contractor. It is understood and agreed that this Agreement is not a contract of employment in the sense
that the relationship of master and servant exists between City and undersigned. At all times, Contractor shall be
deemed to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other
obligations in executing this agreement. Contractor certifies that no one who has or will have any financial interest
under this Agreement is an officer or employee of City.
Changes. This Agreement shall not be assigned or transferred without the written consent of the City. No changes or
variations of any kind are authorized without the written consent of the City.

PROPOSED SCOPE OF WORK
Focused Traffic and Parking Analysis for the
Cupertino Target Expansion and Bottegas Retail Center
The purpose of this traffic and parking analysis is to evaluate the impacts of the proposed
expansion of Cupertino Target and Bottegas Retail Center on the surrounding transportation
system. The project site is located on Stevens Creek Boulevard between Saich Way and Bandley
Drive in Cupertino, California. The proposed project will be developed in two phases. Phase 1
includes replacing the gas station on the southwest corner of the site with 9,500 square feet (sf)
of retail space. Phase 2 includes expanding the Target store by 11,250 sf.
The impacts of the development will be evaluated following guidelines set forth by the City of
Cupertino and the Santa Clara Valley Transportation Authority (VT A), the congestion
management agency for Santa Clara County. The project is not expected to generate more than
100 net new peak-hour trips; therefore, a complete transportation impact analysis (TIA) is not
required.
This proposal includes the evaluation of three intersections. The study intersections include:
1 . Stevens Creek Boulevard and Bandley Drive
2. Stevens Creek Boulevard and Saich Way
3. Stevens Creek Boulevard and Stelling Road (CMP-designated intersection)
The study intersections will be evaluated during the weekday PM peak hour for the following
scenarios:
Scenario 1:
Existing Conditions - Existing volumes obtained from counts.
Scenario 3:
Background Conditions - Existing volumes plus traffic from approved but
not yet constructed developments in the area.
Phase 1 Conditions - Background volumes plus traffic generated by the
Phase 1 of the proposed development.
Scenario 2:
Scenario 4:
Phase 2 Conditions - Background volumes plus traffic generated by
Phase1 and 2 of the proposed development.
Project impacts on transit, bicycle, and pedestrian facilities will be addressed. The tasks that we
propose to undertake to conduct this analysis are:
Task 1 - Collect Data and Evaluate Existing Conditions
The physical characteristics of the site and the surrounding roadway network will be reviewed
during a site visit to identify existing roadway cross-sections, intersection lane configurations,
traffic control devices, surrounding land uses, and the locations of pedestrian, bicycle, and transit
facilities. Existing intersection operations will be observed.
This proposal includes conducting new PM (4:00 pm to 6:00 pm) peak period counts for 2 study
intersections. Existing intersection operations will be evaluated with level of service calculations
using the TRAFFIX software package.
Driveway counts will be conducted during the PM peak period at the two driveways (one on
Stevens Creek Boulevard and one on Saich Way) to the gas station.

Task 2 - Evaluate Background Conditions
A list of approved developments will be obtained from City staff. Projected traffic volumes from
approved developments will be obtained from previous reports or estimated using standard
engineering practice. The projected volumes will be added to the existing volumes to obtain
background traffic volumes. Planned and funded intersection improvements will be incorporated
into this scenario. Background intersection operations will be evaluated with level of service
calculations.
Task 3 - Evaluate Phase 1 Conditions
The amount of traffic generated by the proposed 9,500 sf of retail space will be estimated using
trip generation rates published by the Institute of Transportation Engineers (ITE) in Trip
Generation (7th Edition). The trips for the existing gas station collected under Task 1 will be
subtracted from the retail space to obtain the net new trips added by Phase 1. Appropriate
internal and pass-by trip reductions will be applied.
The direction drivers use to approach and depart from the site will be estimated using existing
travel patterns, previous traffic studies for similar projects, and the relative location of
complementary land uses. The site-generated traffic will be assigned to the roadway system
based on the directions of approach and departure discussed above.
The Phase 1 project trip assignment will be added to the background traffic volumes to represent
Phase 1 Conditions. Phase 1 intersection operations will be evaluated with level of service
calculations. Removal of the protected/permissive left-turn phasing on Stevens Creek Boulevard
at Saich Way will also be evaluated.
The effect of the proposed project on bicycle, pedestrian, and transit facilities and services will
also be addressed under this task. The project proposes to remove a bus stop on Saich Way to
provide additional on-street parking. Removal of this bus stop will be evaluated. Potential conflicts
with existing or planned non-automobile mode improvements will be identified.
Task 4 - Evaluate Phase 2 Conditions
Traffic generated by Target expansion (Phase 2) will be estimated by applying ITE trip rates. The
trip rates will be determined using the entire Target size and subtracting out the existing size
based on that same rate. The Phase 2 trips will be added to the Phase 1 Condition traffic
volumes. Phase 2 intersection operations will be evaluated with level of service calculations.
Task 5 - Assess Site Access, On-Site Circulation, and Parking
The site plan will be reviewed to determine the adequacy of on-site circulation, vehicle access,
and bicycle and pedestrian circulation. Recommendations to improve on-site circulation for all
modes of travel will be prepared as warranted. Parking occupancy surveys will be conducted
during two two-hour peak periods to determine the existing parking demand. The proposed
parking supply will be compared to City code requirements and other studies for projects located
in Cupertino, and any parking deficiencies will be noted. Parking along Saich Way and Alves
Drive will be included in the parking review.
Task 6 - Identify Significant Impacts and Recommend Mitigation Measures
The results of the level of service calculations for Phase 1 and Phase 2 Conditions will be
compared with Background Conditions to identify Phase 1 and Phase 2 project impacts at the key
intersections. Feasible mitigation measures will be recommended if significant impacts are
identified. Feasible mitigation measures are those that can be constructed within the existing
right-of-way or that require minimal right-of-way acquisition, such as minor intersection lane

additions and restriping. Modifications to intersection operations, including traffic signal
installations and signal phasing and timing changes, also will be considered.
Impacts to pedestrian, bicycle, and transit facilities also will be identified, and appropriate
mitigation measures will be recommended. Recommendations for improving the pedestrian
crossing on Saich Way will be identified as requested by the City. If parking deficiencies are
identified, mitigation measures such as transportation demand management will be
recommended.
Task 7 - Documentation
We will prepare a draft memorandum report that documents all of our methodologies, analyses,
and findings. The draft memorandum will include text, graphics, and tables to describe the
potential project impacts and corresponding mitigation measures. The fee estimate includes eight
staff hours to respond to City staff comments and prepare a final memorandum report. Response
to comments requiring new technical analyses will be completed as an additional service.
Additional Services
The scope of work has been tailored to meet the specific requirements of this project. However,
during the course of the study additional services may be required. The additional services that
are beyond the scope of this study include, but are not limited to, conducting more than two peak-
period turning movement counts, evaluation of more than three intersections or more than one
peak period, evaluating alternative project descriptions or site plans, preparing conceptual
designs of mitigation measures, responding to comments requiring new technical analyses or
requiring more than 8 staff hours, or attendance at any meetings. Additional services will be
conducted only upon written authorization.
SCHEDULE AND BUDGET
A draft memorandum report can be submitted within four weeks of authorization to proceed and
receipt of the traffic count data. The fixed-fee cost to conduct the tasks as described in the Scope
of Work is $12,500, of which $1,500 is for data collection.
