(Hereinafter referred as CONTRACTOR), in consideration of their mutual covenants, the parties hereto agree as
follows:

COMPENSATION: For the full performance of this Agreement, CITY shall pay CONTRACTOR:

Insurance. Should the City require evidence of insurability, Contractor shall file with City a Certificate of Insurance
before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non-Discrimination. No discrimination shall be made in the employment of persons under this Agreement because
of the race, color, national origin, ancestry, religion or sex of such person.
Interest of Contractor. It is understood and agreed that this Agreement is not a contract of employment in the sense
that the relationship of master and servant exists between City and undersigned. At all times, Contractor shall be
deemed to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other
obligations in executing this agreement. Contractor certifies that no one who has or will have any financial interest
under this Agreement is an officer or employee of City.
Changes. This Agreement shall not be assigned or transferred without the written consent of the City. No changes or
variations of any kind are authorized without the written consent of the City.

Re: Proposal to Conduct a Focused Traffic Analysis for the Las Palmas Residential
Development Located in Cupertino, CA

Dear Mr. Chao:
Fehr & Peers is pleased to submit this proposal to conduct a focused traffic analysis for the Las
Palmas (22 residential units) project located in Cupertino, California. This analysis will address
the following points:
. Site access - The project site will be reviewed for adequate ingress/egress and the effect
that project traffic will have on the surrounding transportation system. Observations will
be conducted on the adjacent roadway segments and intersections to make a qualitative
assessment of the operations in the area.
. Trip generation - Trip generation estimates will be calculated using standard rates
provided by the Institute of Transportation Engineers (ITE) Trip Generation Manual ih
Edition. These trips will be assigned to the roadway network based on the location of
complementary land uses.
. Intersection analysis - The Stevens Creek Boulevard/Stelling Road intersection will be
analyzed under Existing, Background, and Project Conditions during the AM and PM
peak hours. City staff will need to provide a list of approved projects that may generate
traffic volumes through this intersection. Peak period turning movement counts will be
needed for this analysis. This scope of work includes two peak period counts.
. Stelling Road narrowing - A qualitative assessment of traffic operations on Stelling Road
will be performed to determine if narrowing the road from four to two lanes between
Homestead Road and 1-280 will affect operations on the corridor. Specific attention to the
left-turns on Stelling Road into the adjacent land uses and the northbound left-turn on
Stelling Road at Homestead Road will be observed. A 24-hour machine count on Stelling
Road will be performed to determine the daily traffic volume to assess the existing daily
volume on Stelling Road, and peak period intersection turning movement counts at the
Homestead Road/Stelling Road intersection will also be performed to obtain information
on potential queuing issues on Stelling Road.
. Documentation - The results of the analysis will be summarized in a draft memorandum
and submitted to the city for review. Comments will be incorporated into the final
memorandum. This proposal assumes a total of four hours to incorporate comments.

The fixed-fee cost to conduct the analysis as described above is $6,900 of which $1,500 is for the
peak period counts. This fee estimate includes all professional and support staff time, as well as
direct expenses. Additional services will be conducted upon authorization and billed on a time-
and-materials basis according to the attached rate schedule shown on Attachment A. Invoices will
be submitted monthly and are due upon receipt. The terms of this proposal are valid for a period
of 30 days_
Due to our current workload, we estimate that we can complete the proposed scope of work and
submit a draft memorandum approximately six weeks upon authorization and all necessary count
and background information. Please note that conducting counts during the holiday season may
affect the volumes and could lead to delays of the schedule. We will confer with city staff to
determine the appropriate time counts should be performed.
