TERMS: The services and/or materials furnished under this Agreement shall commence on MAY 16, 2007
and shall be completed before DECEMBER 2007 --SEE EXHIBIT B FOR DEADLINES PER TASK
COMPENSATION: For the full performance of this Agreement, CITY shall pay CONTRACTOR:
AN AMOUNT NOT TO EXCEED $35,000.00.
California Labor Code, Section 1771 requires the payment of prevailing wages to all workers employed on a Public Works contract in excess of
$1,000.00.
GENERAL TERMS AND CONDITIONS
Hold Harmless. Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and all damage and liability due
to negligence, errors and omissions, including all costs of defending any claim, caused by or arising out of the performance of this Agreement. City
shall not be liable for acts of Contractor in performing services described herein.
Insurance. Should the City require evidence of insurability, Contractor shall file with City a Certificate of Insurance before commencing any services
under th.is Agreement. Said Certificate shall be subject to the approval of City's Director of Administrative Services.
Non-Discrimination. No discrimination shall be made in the employment of persons under this Agreement because of the race, color, national
origin, ancestry, religion or sex of such person.
Interest of Contractor. It is understood and agreed that this Agreement is not a contract of employment in the sense that the relationship of master
and servant exists between City and undersigned. At all times, Contractor shall be deemed to be an independent contractor and Contractor is not
authorized to bind the City to any contracts or other obligations in executing this agreement. Contractor certifies that no one who has OJ will have
any financial interest under this Agreement is an officer or employee of City.
Changes. This Agreement shall not be assigned or transferred without the written consent of the City. No changes or variations of any kind are
authorized without the written consent of the City.

EXHIBIT A
SCOPE OF SERVICES
Consultant shall provide regulatory permitting, ecological monitoring design, park and restoratil:m
plan review and fund development services for the Stevens Creek Corridor Park. These services
will be performed during design prior to construction. Basic Services shall include all professional
services required to perform the scope of work outlined herein.
TASK 1: REGULATORY PERMITS
1. Assist in securing five (5) regulatory permits for construction. Prepare permit
applications, meet with agency staff, revise documents, develop mitigation measures to
meet permit requirements, etc. This task assumes that the following permits, agreements
and consultations with biological implications will be required for the construction.
o Prepare US Army Corps of Engineers - Nationwide Permits, possible Individual
Permit depending upon outcome of Section 7 Consultation with NMFS over
steelhead
o Prepare Regional Water Quality Control Board - Water Quality Certification and
Waiver of Waste Discharge Requirements
o Prepare California Department of Fish and Game - 1601 Lake and Streambed
Alteration Agreement
o Prepare Santa Clara Valley Water District - Joint Use Agreement & Construction
Permit
o Prepare Cupertino Sanitary District
2. Prepare permit and maintain contact with agencies, respond to questions, etc.
3. Meet with regulators on site to review application and possible permit conditions.
4. Direct edits of conceptual plan sheets to incorporate in permit applications.
TASK 2: ECOLOGICAL MONITORING DESIGN
1. Gather existing baseline data from CEQA studies and Audubon bird counts. Research and
evaluate existing statewide riparian and upland habitat monitoring protocols. Determine
feasibility of using these protocols in restoration setting of Stevens Creek.
2. Develop preliminary site-specific study design consistent with regulatory permits including
research questions, protocols, assessment of stakeholder interest, budget and schedule to
implement long-term monitoring effort.
3. Evaluate potential to expand monitoring efforts to evaluate ecological function of restoration.
4. Meet with stakeholder organizations to explore potential for long-term monitoring study
supported by all agencies including:
o City of Cupertino
o Santa Clara Valley Audubon Society
o Stevens Creek Watershed Council
o Friends of Stevens Creek Trail
o Santa Clara Valley Water District
o Local high schools, community colleges and universities
5. Modify and refine study design to answer site-specific questions. Develop draft site-specific
study design consistent with regulatory permits including research questions, protocols,
assessment of stakeholder interest, budget and schedule to implement long-term monitoring
effort.
6. Meet with researchers to review study design and assess interest and support in monitoring
project. Research organizations may include:
o SFBBO
o PRBO
o SJSU
7. Prepare final site-specific study design with research questions, protocols, assessment of
stakeholder interest, budget and schedule to implement long-term monitoring effort.
8. Meet with City staff to review study design and findings from stakeholder and researcher
meetings.
TASK 3: PARK AND RESTORATION PLAN REVIEW
1. Ensure park and restoration designs are consistent with all grant agreements and comply with
mitigation measures identified in all regulatory permits and in the CEQA documents (Initial
Study/Mitigated Negative Declaration) by attending meetings, contacting agencies, reviewing
funding and permitting agreements, performing plan checks and conducting field reviews.
Provide technical design assistance during design.
2. Conduct plans and specifications reviews of project and prepare written comments at 100%
submittal. Attend design meetings as needed to review comments and resolve issues.
3. Participate in design review meetings.
TASK 4: FUND DEVELOPMENT
1. Assist City Staff with tracking grant expenditures, applying for grant reimbursements
and/or extensions, preparing project budgets, and providing data for financial audits for
new and existing grants. Prepare and maintain a summary of current and projected
grant reporting and action deadlines. Maintain a listing of funding opportunities.
2. Develop second funding agreement between SCVWD and Cupertino. Identify staff
support service to be provided by each agency and structure cost share percentages.
TASK 5: MCCLELLAN RANCH DESIGN SUPPORT
1. Provide design review for McClellan Ranch project. Attend meetings, review plans, research
materials.

EXHIBIT D
INSURANCE REQUIREMENTS
Contractor shall procure and maintain for the duration of the contract insurance against claims for
injuries to persons or damages to property which may arise from or in connection with the
performance of the work hereunder and the results of that work by the Contractor, his agents,
representatives, employees or subcontractors.
Contractor shall maintain limits no less than:
1. General Liability: (Including products-completed operations, personal & advertising injury.
$1,000,000 per occurrence for bodily injury, personal injury and
property damage. If Commercial General Liability Insurance or other
form with a general aggregate limit is used, either the general
aggregate limit shall apply separately to this project/location or the
general aggregate limit shall be twice the required occurrence limit.
2. Automobile Liability: $1,000,000 per accident for bodily injury and property damage.
Deductibles and Self Insured Retentions
Any deductibles or self-insured retentions must e declared to and approved by the City. The City
may require the Contractor to provide proof of ability to pay losses and related investigations, claim
administration, and defense expenses within the retention.
Other Insurance Provisions
The general liability and automobile liability policies are to contain, or be endorsed to contain
the following provisions:
1. The City its officers, officials, employees and volunteers are to be covered as
insured's with respect to liability arising out of work or operations to be performed by or on
behalf of the Contractor.
2. For any claims related to this project, the Contractors insurance coverage shall be
primary insurance as respects the City, its officers, officials, employees, and volunteers.
Any insurance or self-insurance maintained by the city, its officers, officials, employees, or
volunteers shall be in excess of the Contractor's insurance and shall not contribute with it.
3. The insurance company agrees to waive all rights of subrogation against the City, its
elected or appointed officers, officials, agents and employees for losses paid under the
terms of any policy which arise from work performed by the Named Insured for the Agency.
4. Each insurance policy required by this clause. shall be endorsed to state that coverage shall
not be canceled by either party, except after thirty (30) days' prior written notice (10 days for
no-payment) has been given to the City.
Acceptability of Insurers
Insurance is to be placed with insurers with a current A.M. Best's rating of no less than AVII,
unless otherwise acceptable to the City.
Claims Made Policies
If any of the required policies provide claims made coverage, the Entity requires that coverage be
maintained for a period of 5 years after completion of the contract.
Verification of Coverage
Consultant shall furnish the City with original certificates and amendatory endorsements effecting
coverage required by this clause. All certificates and endorsements are to be received and
approved by the City before work commences. However, failure to obtain the required documents
prior to the work beginning shall not waive the contractor's obligation to provide them. The City
reserves the right to require complete, certified copies of all required insurance policies, including
endorsements required by these specifications, at any time.
Waiver of Subrogation
Contractor hereby grants to City a waiver of any right to subrogation which any insurer of said
Contractor may acquire against the Entity by virtue of the payment of any loss under such
insurance. This provision applies regardless of whether or not the city has requested or received a
waiver of subrogation endorsement from the insurer.
