GENERAL TERMS AND CONDITIONS Hold Harmless. Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and all damage and liability of every nature, including all costs of defending any claim, caused by or arising out of the performance of this Agreement. City shall not be liable for acts of Contractor in performing services described herein. Insurance. Should the City require evidence of insurability Contractor shall file with City a Certificate of Insurance before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's Director of Administrative Services. Non-Discrimination. Nodiscrimination shall be made in the employment of persons under this Agreement because of the race, color, national origin, ancestry, religion or sex of such person. Interest of Contractor. It is understood and agreed that this Agreement is not a contract of employment in the sense that the relation of master and servant exists between City and undersigned. At all times Contractor shall be deemed to bean independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in executing this Agreement. Contractor certifies that no one who has or will have any financial interest under this Agreement is an officer or employee of City. Changes. This Agreement shall not be assigned or transferred without the written consent of the City. WORK PLAN City of Cupertino ADA Self-Evaluation and Transition Plan Assessment MIG will assist the City in reviewing its ADA Self-Evaluation and Transition Plan and will make recommendations for preparing an update of the plan. Task I: Document Review MIG will review the current Self-evaluation and Transition Plan to identify issues which should be addressed to ensure that programs services and activities are nondiscriminatory to people with disabilities, including city facilities and the pedestrian Rights of Way owned and maintained by the City. Task 2: Department Staff Interviews MIG will interview selected City staff to assess implementation of the current Self- Evaluation and Transition Plan. The interviews will assist in evaluating current City status regarding ADA requirements including: • Participation requirements • Facilities accessibility • Staff training • Public Rights-of--Way improvements including planning, construction, and maintenance • Citizen request procedures • Prioritization criteria for facility and ROW access improvements • Accessible transportation for programs • Communications with the public • Notification and event announcement formats • Emergency evacuation procedures. Task 3: Prepare Recommended Actions Report Based on the interviews and analysis of current documents, MIG will prepare recommendations for updating the City's Self Evaluation and Transition Plan. The recommendations may be used to prepare an RFP, or may be used to prepare a staff generated Self Evaluation and Transition Plan update. Recommendations may include: ^ Further analysis of programmatic processes and procedures ^ Additional or updated surveys of existing or new City facilities and/or ROW features including sidewalks, curb ramps and signalized intersections. ^ Development of community based prioritization criteria for access improvements ^ Development of planning maps for ROW improvements ^ Establishment of department ADA liaisons ^ Additional staff training ^ Development of a staff resource toolkit Task 4: Presentation MIG will present the findings and recommendations to City staff in a meeting.
