Discussion st The City Council held its annual evaluation of the City Manager on Wednesday, August 21. The Council desires to consider increasing the compensation to the City Manager. The attached contract is submitted for Council consideration of an annual salary increase of $10,000. No other changes were made to the terms and conditions of the existing contract. renderedbyhimpursuanttothisContractamonthlybasesalaryof$18,333.33,payablein installmentsatthetimeasotheremployeesofEMPLOYERarepaid. EMPLOYEE'Smonthlybasesalaryshallbeadjustedbyanypercentageincreasegivento DepartmentHeadsofEMPLOYERgenerallyandshallnotbedecreasedunlessinapercentage consistentwithadecreaseapplicabletoDepartmentHeadsofEMPLOYER Notwithstandingtheabove,EMPLOYERandEMPLOYEEagreethatthereshallbenofurther salaryadjustmentsorbonusesfor2012.AtthetimeofEMPLOYEE'speriodicevaluations, EMPLOYERmayconsideranadditionalcompensationpackageincreaseincluding,butnot limitedto,meritpayoranadditionalincreaseinsalaryor Section3.02DeferredCompensation.CityshallprovidetoEMPLOYEEthesame deferredcompensationplanthatmaybeprovidedtootherDepartmentHeadsand ConfidentialEmployees,if Page4 Revised9.5.13 9 ARTICLEIVEMPLOYEEBENEFITS Section4.01.AutomobileAllowance.DuringthetermofthisEmploymentcontract, EMPLOYEE,totheextentnecessarytoperformhisdutiesshallusehisownpersonalvehicle. EMPLOYER,inconsiderationthereof,shallpayEMPLOYEEthesumof$350permonthasan automobileallowance.EMPLOYEEshallberesponsibleforthepaymentofalloperating expensesofthevehicle,including,butnotlimitedto,gasoline,oil,serviceandrepair,andif necessary,thereplacementofhisautomobile.EMPLOYEEshallprocureandmaintain,at expense,acomprehensiveautomobileliabilitypolicyonthevehiclebeingusedbyhim,inan amountthatisacceptabletotheEMPLOYER.DuringthecourseofthisEmploymentContract, EMPLOYEEshallprovideEMPLOYERwithwrittendocumentationthatsaidinsurancein fullforceandeffect. Section4.02.VacationandSickLeave.EMPLOYEEshallbecreditedwith10daysof vacationand5daysofsickleaveasofthecommencementofemployment.Annualvacation andsickleaveshallbeaccruedandadministeredinthesamemannerasvacationandsickleave isadministeredforDepartmentHeademployeesofEMPLOYER. Section4.03.Benefits.EMPLOYEEshallbeentitledtoreceivebenefitsprovidedby EMPLOYERatalevelnolessthanthatprovidedtootherDepartmentHeadsoftheCity,which presentlyconsistofretirementbenefits,familyhealthcoverage,lifeinsurance,disability insurance,Cupertinosportsclubmembership,administrativeleave,floatingholidaysand holidays.Thebenefitssoprovidedaresubjecttoduringthecourseofthis ContractatthesoleandabsolutediscretionofEMPLOYERatsuchtimesandtosuchextentas EMPLOYERmaydeemappropriateprovided,however,thereshallbenoreductioninbenefits unlessEMPLOYERimplementsthesamereductionofbenefitstoallotherDepartmentHeads the Section4.04ProfessionalDuesandSubscriptions.EMPLOYERagreestopay professionalduesandsubscriptionsofEMPLOYEEdirectlyrelatedtohisdutiesas Manager,providedtheCityCouncilhasmadeprovisionsforsuchcostsintheannualbudget. EMPLOYERalsoagreestopaytuition,travel,andsubsistenceexpensesofEMPLOYEEfor courses,institutes,andseminarsthatarenecessaryforhisprofessionaldevelopmentand goodoftheCityprovidedtheCityCouncilhasprovidedforsameintheannualbudget. Section4.08HousingAssistance.EMPLOYEEmayelecttoreceiveHousingAssistancefor DepartmentHeadsconsistentwiththeEMPLOYER'sHousingAssistancePolicyineffectthe dateofcommencementofemployment. ARTICLEVTERMINATIONANDNOTICE Section5.01.TerminationofandSeverance: A.SubjecttotheprovisionsofSection2.28ofEMPLOYER'smunicipalCode,EMPLOYEE servesatthepleasureofEMPLOYERandnothinghereinshallbetakentoprevent,limitor otherwiseinterferewiththerightofEMPLOYERtoterminatetheservicesEMPLOYEEwithor withoutcause;provided,however,EMPLOYERshalltakenoactiontoterminatetheservicesof Page6 Revised9.5.13 11 EMPLOYEE,withoutcause,withinninety(90)daysafteranelectionatwhichoneormorenew membersareelectedtotheCityCouncil.Thereisnoexpressorimpliedpromisemadeto EMPLOYEEforanyformofcontinuedemployment.ThisContractandtheEMPLOYER's municipalCodechapter2.28arethesoleandexclusivebasesforanemployment betweenEMPLOYEEandEMPLOYER. B.IftheEMPLOYEEisbytheEMPLOYERpriortoexpirationofthis Contract,whilestillwillingandabletoperformthedutiesoftheCityManager,EMPLOYER agreestopayEMPLOYEEasinglelumpsumpaymentmadeontheeffectivedateof inanamountequivalenttosixmonthsaggregatesalaryandaggregatemedicalinsurance benefitallowanceiftherearesixormoremonthspriortotheexpirationdateofthiscontract.
