City is a munic ipa[corporation duly,organized and validly existing under the laws of the,State of California.with the power to carry on its business�as itis,now being conducted under the Constitution and the.statutes of the State of California and the CupertinoMunicipal Code, B. Consultant is specially trained, experienced and competent to performhthe'special services which,will be required by this,Agreement;,and C. Consultant possesses,the skill,,experience, ability,background, certification and knowledge to provide the services described in this Agreement on the terms and conditions described herein. D. Cityand Consultant desire to enter into.an agreement for upon the terms.and conditionsi herein. NOW,THEREFORE, it is mutually agreed by and between the undersigned parties as follows: I. TERM: The term of this Agreement,shall;commence'on September 5`,:-6'Z.and shall terminate on June.30`h,.29�2, unle s terminated,earlier asset forth herein. Z0 i`f'1-/C&,l '2. SERVICES'TO BE PERFORMED:' Consultant shall,perform each and every service set.forth in Exhibit "A" which is attached hereto and incorporated herein by this reference. 3. COMPENSATION TO CONSULTANT: Consultant shall be compensated for services performedpursuantto this Agreemenfin a total,,amount not to exceed twenty thousand dollars, as set forth in Exhibit"B" which is attached hereto and incorporated.herein by this;reference. Payinent.shall be,made by ehecks,drawn on the treasury of City,to be,taken from the General fund 4. TIME IS OF THE ESSENCE: Consultant and City agree that time is of the essence regarding the performance of this Agreement: 5. STANDARD OF CARE: Consultant,agrees to perform al],services.hereunder in a manner-commensurate with the prevailing standards of like professionals'in,the San Francisco Bay Area and agrees that all services shall be performed by qualified and experienced personnel who are not;employed by the City nor have,any,contractual relationship with City. 6. IND EPENDENT PARTIE S: City and Consultant intend thatthe;relationship between"them created by this Agreement is that of employer-independent.contractor. The manner and means of conducting the work are under the control of Consultant, except to the extent they are limited by statute;rule,or regulation and the express terms of this Agreement. No civil service'statusor other right of employment will be acquired by'virtue of Consultant's services. None=of the benefits provided by City to its employees, including but not limited to,,,unemployment insurance, workers' compensation plans, vacation and sick leave,are-availablesfrom City to Consultant, its employees oragents. Deductions shall,not be made for any state or federal taxes,,FICA payments, PERS'payments, or other purposes normally associated with an employer-employee•relationship from any fees due Consultant. Paymentsofthe abovei items, if required, are the responsibility of Consultant. 6. IMMIGRATION REFORM AND CONTROL ACT (IRCA): Consultant assumes any and all responsibility for verifying,the identity and employment authorization of all of his/her employees performing work hereunder; pursuant-to all applicable IRCA.or other federal, or state rules-and regulations. Consultant shall indemnify and hold City harmless from and against any loss, damage, liability, costs or expenses arisingifrom any noncompliance of this provision by Consultant. 7. NON-DISCRIMINATION: Consistent with Citys policy that harassment and discrimination are unacceptable employer/employee:conduct, agrees that harassment.or discrimination directed toward a job applicant, a'City employee, or a citizen by Consultant or Consultant's'employee�or subcontractor on the basis of race, religious creed, color, national,origin, ancestry, handicap, disability, maritalMatus, pregnancy, sexy age, or sexual orientation will not be tolerated. Consultant agrees that any and all violations of this provisiowshall constitute a material breach of this Agreement. 8. HOLD HARMLESS: Indemnification: Consultant shall, to the fullest extent allowed by law, with respect to all services performed in connection with the,Agreement, indemnify, defend, and hold harmless the City.and.its officers, officials,,agents, employeesand.volunteers from and againstany and all liability, claims, actions, causes of action or demands whatsoever'against any'ofthem, including any,injury'to'ordeath ofany person or damage to property or other liability of any nature, whether physical, emotional, consequential or otherwise, arising out„ pertaining to, or related to the performance of this Agreement by Consultant,or Consultant-'s employees, officers, officials, agents'or'indepenilent'Contractors. Such costs and expenses shall include reasonable attorneys' fees:of counsel of City's choice, expert fees and all other costs and fees of litigation. 9. INSURANCE: On or before the commencement of the term of this Agreement, Consultant shall furnish City with certificates showing the type, amount, class of operations covered, effective dates and dates.of expiration,Of insurance coverage incompliance with paragraphs 9A, B, C-, D,and E. Such certificates, which donorlimit Consultant's indemnification, shall also contain substantially the SO I lowing.statement: "Should any of the above�insurance•covered by this certificatebe canceled or coverage reduced before,the expiration date thereof, the insurer affording coverage shall provide thirty(30) days' advance written notice to the City'of Cupertino by certified mail, Attention: City Manager" It is agreed that Consultant shall maintain in force at all times.during the performance of this Agreement all appropriate,coverage of insurance required by this Agreement with,an insurance company that is=acceptable to City and licensed to do insurance business in the State of California. Endorsements naming the•City as additional insured shall be submitted with the,insurance:certificates. A. COVERAGE: Consultant shall maintain the following insurance;coverage: (1) Workers' Compensation: Statutory coverage as required by'the-State of California. (2) Liability: Commercial,general liability coverage in the following minimum limits: Bodily Injury: $500,000 each occurrence $1,000,000 aggregate-all other Property Damage: $100;000 each occurrence $250;000 aggregate If submitted,.combined single limit-policy with aggregate limits in the amounts of$1,000;000 will be considered equivalent to the required minimum limits shown above. (3) Automotive: Comprehensive automotive,liability coverage.in the following minimum limits: Bodily Injury: $500,000 each occurrence Property Damage: $100,000 each occurrence or Combined Single Limit: $500,000 each occurrence (4) Professional Liability: Professional liability insurance which includes coverage for the professional acts, errorsiand omissions of Consultant in the;amount ofat least $1,000;000. B. SUBROGATION WAIVER: Consultant agrees that in the�event of loss due to any of the perils for which he/she has agreed to provide comprehensive general and automotive liability insurance, Consultant shall look solely to his/her'insurance for recovery. Consultant hereby;grants to City, on behalf of any insurer providingeompmhensive general and automotive,liability'.insurance to either Consultant or City with'respechto the services of Consultant herein, a waiver of anyright to subrogation which any such insurer of said Consultant may acquire against City by virtue'of the payment of any loss,under such insurance. C. FAILURE TO SECURE: If Consultant at anytime during the term hereof should fail'to`secure•or maintain the foregoing insurance, City shall be permitted to obtain such insurance in the.Consultant's name or as an agent of the Consultant and shall be:compensated by Consultant for the costs of the insurance premiums at the maximum rate permitted by law and computed from the date written notice is received that'the,premiums have not been paid. D. ADDITIONAL INSURED: City, its City Council, boards and commissions, officers;employees and volunteers shall be named as amadditional insured under all insurance coverages, except any professional liability 'insurances required by this Agreement. The naming of,an additional insured shall not affect any recovery to which such additional insured would be entitled.underthis policy'if not named as such additional insured'. An additional insured named herein shall not be held liable for any premium,deductible portion of any loss, or expense ofany nature on this policy orany,extension thereof. Any other insurance held`by an additional insured shall not be required to contribute. anything toward any loss,or expense covered by the insurance provided by this policy. E. SUFFICIENCY OF INSURANCE: The insurance limits required by City are not represented as being sufficientto protect Consultant. Consultant is advised to confer with C onsultant's,insurance broker to determine adequate coverage for Consultant. 10. CONFLICT OF INTEREST: Consultant warrants that it is not aconflict of interest for Consultant to perform the services required by this.Agreement. Consultantmay be:,required to;fill out a:conflict of interest form if the services provided under this Agreement require Consultant to make certain governmental decisions or:serve in a.staff capacity as defined in Title-2, Division 6,;Section 18700 of the California Code of Regulations. 11. PROHIBITION AGAINST TRANSFERS: Consultant shall,not assign, sublease, hypothecate, or transfer this Agreement„or any interest therein, directlyor indirectly, by operation of law or otherwise,without prior written consent,of City. Any attempttordo-so without said consent-shall be null and void; and,any assignee, sublessee,.hypothecate or transferee shall acquire no right'or'interest by reason of such attempted assignment, hypothecation or transfer. However, claims for money by Consultant from City under this Agreement,may be assigned to a"bank,trust company or other financial institution without prior written consent. Written notice of such assignment shall be:prompily furnished to City by Consultant. The sale, assignment, transfer or other disposition of any of the issued and outstanding capital stock of Consultant, or of the interest of any general partner or joint venturer or syndicate memberorcotenant, if Consultant is a partnership.or joint venture or syndicate or,cotenancy, which shall result in changing the control of Consultant, shall be construed as an assignment of this Agreement. Control means fifty percent(509%) or more of the voting power,of corporation. 12. SUBCONTRACTOR APPROVAL: Unless prior written consent from City is obtained, only those people,and subcontractors whoseroames and resumes are.attached;to this Agreement shall be used in the performance of this•Agreement. In the event that Consultant employs subcontractors, such subcontractors shall be required to furnish,proof of workers' compensation insurance and shall also be required toxarry general, automobile,and professional liability insurance in reasonable conformity to the insurance carried by Consultant. In addition, any work or services subcontracted hereunder shall be subject,to each provision of this Agreement. 13. PERMITS AND LICENSES: Consultant, at his/her sole expense, shall obtain and maintain during the term of this Agreement, all appropriate:permits, certificates and licenses including, but not limited to, a'City Business License, that may be,required.in,connection with the performance of services hereunder. 14. REPORTS: A. Each and every report, draft, work product, map, record and other document, hereinafter collectively referred,to as "Report", reproduced, prepared or'caused to be prepared by Consultant pursuantto:or in connection with this A.greement,.shall be the exclusive property,of City. Consultant"shall not copyright any Report required by this Agreement and shall execute appropriate documents to assign to City the copyright to Reports created pursuant,to this Agreement. Any Report, information and data.acquired or required by this Agreementshall become the.property of City, and all publication rights are:reserved to City. Consultant may retain a copy of any report.furnished to the City Pursuant to this Agreement. B. All Reports prepared by Consultant may he used by City in execution or implementation of: (a) The original.Project for which Consultant was hired; (2) Completion of the,originalProject by others; (3) Subsequent additions to the original project; and/or (4) Other City projects as appropriate. C. Consultant shall, at:such time and in such form as City may require, furnish report's concerning the status of services required under this Agreement. D. All Reports requiredto be provided by this Agreement shall be printed on recycled paper. All Reports shall be copied on both sides of the paper except for one original, which shall be single sided. E. No Report, information or other`datagiven to or prepared or assembled by Consultant pursuantto:this Agreement be made available to-any individual or organization by Consultant without prior approval by City. 15. RECORDS: Consultant shall maintain complete and accurate records with respectto;sales, costs, expenses, receipts and other such information required by Citythat•relate to the performance of services under this Agreement. Consultant shall maintain adequate records of services provided.in sufficient detail to permit an evaluation of services. All such records shall"be maintained in accordance with generally accepted accounting,principles and,shall be clearly identified and readily accessible. Consultant,shall provide:free.access to such books and records>to the representatives of City, or its designees at all proper times, and gives City°.the right`to examine and audit same, and to make transcripts therefrom as necessary,, and to allow inspection of all work, data, documents, proceedings,and activities related to this Agreement. -Such records, together with supporting documents, shall be.kept separate from other documents and recordsand shall be maintained,for a period of three (3)years;after receipt of final payment. If supplemental examination or audit,of the records is necessary(due to concerns raised by City's preliminary examination or audit of records, and the City's supplemental examination or audit of the records discloses:a.failure to adhere to;appropriate internal financial controls, or other breach of contractor failure to actin good faith, then Consultant shall reimburse City for all reasonable costs and expenses,associated with the supplemental examination,or audit. 16. NOTICES: All notices, demands, requests or approvals to be;given under this Agreement shall be given in writing-and conclusively shall be,deemed served when delivered personally or orrthe. second business day after the deposit thereof in the United States Mail, postage prepaid, registered or certified, addressed as hereinafter provided. TERMINATION: In the event Consultant fails or refuses to perform any of the provisions hereof at the-tirne and in the manner•required hereunder, Consultant shall be.deemed'in default in the performance of this Agreement If such default is,not,cured within within the,time specified after receipt by Consultant,from City of written notice of default, specifying the nature of such default and the steps necessary,to cure such default, City may terminate the Agreement forthwith by giving to the Consultant written notice'thereof. City shall have,the option, at its:sole discretion and without cause, of terminating this Agreement by,giving,seven,(7) days' prior writteri notice to Consultant as,provided herein. Upon termination of this Agreement, each party shall pay to the other party,that portion of compensation specified in this Agreement that is earned and unpaid prior to the effective date of termination. 18. UTILITIES Consultant shall pay all charges for fuel, gas; water, electricity, telephone"services and any other utilities necessary to carry on th- operations of Consultant. 19. NUISANCE Consultant,shall not maintain, commit, or permit the maintenance orcommission.ofany nuisance in connection with the performance ofservices under this Agreement. 20. SAFETY REQUIREMENT All work performed under this Agreement shall be performed in such,a manner as to provide safety`to'the public and to meet or"exceed the�safety standards.outlined by CAL- OSHA. City reserves the right to issue restraints•or cease and desist orders to Consultant when unsafe or harmful'acts,or conditions are^°observed or reported'.relative to..the performance ofthe work under thisAgreement. Consultant shall maintain the work sites fi ee;of hazards to persons and/or property resulting from his ocher operations. Any hazardous condition noted by Consultant, which is not a result'of his or her operations,;shall immediately be reported to City. 21.. COMPLIANCES: Consultant shall comply with all state or federal lawssand all ordinances, rulesand regulations enacted.or issued.by City. 22. CONFLICT OF LAW: This Agreement shall be interpreted under, and enforced bythe.laws of thesState of California excepting,any choice of law rules which may direct the application of laws�ofanother jurisdiction. The Agreement and obligations of the pariies,are subject to all valid laws, orders, rules, and regulations of the authorities havingjurisdiction over this Agreement(or the successors of those authorities) Any suits brought pursuant-to this Agreement shall be filed with the courts of'the County of Santa Clara, State of California. 23. ADVERTISEMENT: Consultant shall not post, exhibit, display:or allow to be posted, exhibited, displayed any signs, advertising, show bills; lithographs, posters or cards of any kind,pertaining.toathe services performed under this Agreementunless prior written approval has been secured from City to do otherwise: 24. WAIVER: A waiver by City of any breach of any term, covenant, or condition contained herein shall not be deemed to be a waiver of any subsequent breach of the same or any other term, covenant, or condition contained'herein, whetherof the.same'cra different.character. 22. INTEGRATED CONTRACT: This Agreement represents the full and complete understand ing.of every kind or nature whatsoever between the parties hereto, and all preliminary negotiations and,agreements of whatsoever'kind or nature are merged herein. No verbal agreement or implied covenant-,shall be held to vary the provisions hereof. Any modification of this Agreement will be effective only by written execution;signedbyboth City and Consultant. 25. INSERTED PROVISIONS: Each provision and clause required bylaw to be inserted into the Agreement shall be deemed to be enacted herem,;and the Agreement slud],be read and enforced as though each were included herein. If through mistake or otherwise; any such provision is not inserted or is not correctly inserted,;the-Agreementxhall be amended to make such insertion,on application by either party. 26. CAPTIONS: The captions in this Agreement are for convenience'only,are not a part of the Agreement and in no way affect-, limit=or amplify the terms or provisions of this Agreement. Introduction Since April 2009, Acterra has provided its residential energyefficiency program, Green @Home,. to residents of Cupertino. Initially, Green(ca+lome'__HouseCall program-trained volunteersto install basic•energy-savingdevices and educated residents on other methods of saving energy in their homes. As of June 2013, over 500 volunteers have been trained, and 262 Cupertino HouseCalls have,beerrcompleted. Beginning in2013, and combining funds from Cupertino and a grant from'Silicon Valley Energy Watch (SVEW), Acterra will offer Cupertino residents an enhanced Green n Home II program. Using online diagnostic software and personalized follow up where appropriate,.Green @Home 11 is,similarto a program Acterra°delivered in Mountain View from March 2011. to December 2012. This approach combines the"high tech" analysis of residential energy usage data with "high touch"social marketing techniques to deliver measurable reductions in energy use and related CO, emissions. Green @Home II begins,wit-h an online diagnosis of individual homes;,using,Smart Meter dat&to identify where energyis being wasted within each home and providing recommendations for residents on how to reduce that waste. Then, based.on each home's initial usage.and potential for savings, Acterra wilt follow up with residents accordingly,offering email, phone, and/or in-home support. Acterra-will offer specific support for customers with pools and those with high heating and cooling costs; Lastly, Green @Home.11 will use community recognition techniques to create a social motivation that further encourages residentsAo.take further°action on their own. To support.this new approach, Acterra.requests $20,000 to fund software; staffing, and program supplies for fiscal year'2013 2014. The program's°overhea&and administrative costs are shared with other cities that are also working with Acterra during this fiscal year. This document outlines the Scope of Work for Acterra's contract with the City of Cupertino for FY`20I3-20;14. Acterra intends to provide its service in conjunction with Cupertino's Growing Greener.Blocks program to build upon the success established in 2012-2013. 1I. Scope of Work Acterra•proposes to complete the following servii,es for the City of Cupertino from September 1, 12013 through July 30, 2014:, 1. Program Planning a. Acterra will work with City'of Cupertino staff to develop a mutually agreed upon schedule and.suite of materials to suppomneighborbood-based training; outreach, and energy assessments. b. The�planning phase will be conducted in conjunction with,planning forActerra',s SVEW program_. Until Acterra's contract with SVEW iscompleted (estimated as Proposed:Scope of Work; Green @HomeW P. ! EXHIBIT A October 1; 2013), Acterra will continue to offer its initial Greea @Home HouseCalls program, including approximately six neighborhood-based"sweeps" in September and October 2013. 2. Training and Educational Programs a. Acterra staff will conduct at least one two-part volunteer training class in Cupertino with a goal of training:at least 10 more Cupertino residents+and students, including Cupert ino'sClimate Corps member, to perform Green @Home HouseCalls. Trained volunteers from other cities also are available to conduct HouseCalls in Cupertino. The City of Cupertino will provide the venue, required city employee support, and refreshments for each of the evening training sessions. b'. Green @Home staff will workwith city staff, communityorganizations and local businesses to„offer'at least two educational workshops for neighborhood leaders and/or community members at large. One workshop will focus on,assessing whether'a home is suitable'for PV solar installation„and the other will address the process and choices to be made in installing,a residential electric vehicle charging'station. An optional third workshop may be offered in conjunction with Cupertino's "Green @School” program, providing approximately 15 high school age youth with do-it-yourself(DIY) supplies and an alter school training'in basic home energy efficiency techniques. 3. Outreach a. Acterra will continue to work with Cite of Cupertino staff to publicize the program. This may involve,staffing block parties; door-to-door flyer distribution, hosting educational workshops, and/or including inserts in Recology bills. Acterra, in conjunction with the City, will also follow up with neighborhoods previously visited to offer online assessmentsasa "follow up”measure to the original HouseCalls residents may have received,in.the past. The,City is,requested to provide the venue(s) for outreach event(s) free of charge and the support of City staff as needed. b, .Acterra staff will work with the-City of Cupertino staff, local media, block leaders, and''other'communityorganizations to publicize the program throughout the year and offer recognition to volunteers and participating residents. c. Green @Home staff will endeavor to attend Cupertino block activities, such as block parties and other,events, for interested Cupertino,blocks leaders, as,planned in partnership with the City.. d. Acterra will offer residents information on City environmental programs.such,as Cupertino's GreenBiz program, as well as other local environmental servicessuch'as hazardous waste collection, electronics recycling, water conservation, and rebate information, including information on Energy Upgrade California where-appropriate. Residents receivin&HouseCalls will receive this information via a,city-provided folder containing these;materials. 4. Activities a. Green @Home will:recruit.250 Cupertino residents.tosign-up for an online assessment, powered by Bidgely software,that identifies the sources of energy waste in individual homes, offers customized recommendations to reduce that waste, and sends weekly follow-up emails to participants to encourage savings. b. To combine Cupertino's funding with that of SUEW, Acterra.is required to divide Green @Home II participants into treatment groups.for a.quasi-experimental design. Proposed Scope,,of Work: Green©Home if p..2 EXHIBIT A This approach is designed to test the.hypothesisthat the addition"of"high touch" follow-up and social recognition components will result in higher and more cost— effective energy savings thanwould.a basic "high,tech"software analysis-only method. Thus, Cupertino participants will be randomly divided into two groups: • Group One will include 50 Cupertino residents (service paid for by SVEW). This group will receive only the on-line software diagnosis;and recommendations, standard weekly reminders and automated feedback regarding their achievedsavings. • Group Two will include,200 Cupertino residents (half to be paid for by SVEW and half byCupertino). This group will receive all the services-of Group One and, depending on their potential for savings, Acterra will then offer more personalized attention.,Specifically, these residents will receive email and phone support from Green @Home staff to answer questions, clarify recommendations^and motivate them to achieve:further savings. In addition, Group Two will receive some E'ocial recognition tools, such as the Green @Home yard sign, notices in their neighborhood e-news^mentioning their naives as Green @Home participants, and blurbs to post to their Facebook profiles. c. Additionally,Acterra will offer energy-saving home visits to Group Two residents who indicate a need,for extra help (e.g, do not demonstrate energy savings after email and phone follow-ups,or have energy usage patterns for which,in-home,support is particularly useful).During;these home visits,(called.HouseCalls), trained volunteers will install basic energy-saving devices and completc�a basic residential energy audit. These residents will also receive a"smart"power'strip'in order to focus on lowering electric baseload usage.Residents who receive:a HouseCall will also:be offered'a colorful yard sign to publicize their commitment to energy conservation. These residents-will also receive aaist of"next steps'and are°assked to make a written commitment to implement these steps: d. Green @Home will also offer specialized services.toGroup'Two Cupertino residents whose pool or spa pumps comprise,a significant portion of their energy usage. These, services may include;home visits by specially trained staff and volunteers and/or referrals to pool contractors. e. To support the,City's Sustainability Division in its.goal to facilitate broader participation in the City's environmental programs, Acterra will work with City staff to engage neighborhoods in promoting,the suite of environmental services offered by the City;;including energy efficiency, water conservation, and materials management ('recycling&compost):Acterra will not.only visit new neighborhoods with whom we have not interacted in the past, but will also re-visit neighborhoods that have already participated to offer our online diagnostic software.as a,new:component of the program. g. Acterra will continue to utilize neighborhood eventsassavenues for promoting the Green @Home Il program to Cupertino residents. Then, Green @Home will emphasize dhe,energy savings of themeighborhoed as a whole in its follow-up in order to promote the sense'of community among each block. 5. Reporting a.
