O'Neal — EILE Dear Mr. O'Neal: Per our telecon 11 Jan 78, concerning the discrepancies between our shop draw- ings for the PG&E shop and the structure as built, we submit the following: 1. On sheet C-1 of the Raiser drawing set, a 9" " C " column and 2-3/4" diameter anchor bolts are shown adjacent to the main frame column bases at A-1 line. These bolts were set as a contingency against the possibility that the standard Butler Intermediate Frame Endwall, as shown on Butler drawing 105120-1, (attached) , could not. be used. The frame was adapted successfully, the two posts were not required and the anchor bolts were not used. As Butler drawings103833-03, 105852-00, $ 105853-00, (attached) indicate, the posts are not required with this type of endwall frame. Draw- ing C-1, revision 3, (attached) , reflects this change. 2. : Upon framing the sidewall bracing as shown on sheet 11319 of the calculations and sheet C-2 of the Raiser drawings, we found the detail shown to be insufficiently stiff. Sheet C-3, detail A/C3, shows thel revised bracing as built. Sheet 1 of 1, (attached) , shows the forces within the braced frame. The problem, as identified during construc" tion, was that the shallow angle between the cables and the door posts permitted excessive deflection before the cables checked the lateral movement. This was rectified by the revised detail; which increases the angle of applied force from 230 to 350, giving a much stiffer solution. (This custoniized bracing was necessary because of the re- quirement to cut away most of the sidewall to accomodate the overhead doors. For future reference, if one bay of sidewall can be reserved ' for a pair of cable braces, a more cost effective solution can be achieved) . 3. The Butler standard roof bracing for this building, as described on 77-04-024869-29A (attached) consists of two brace pairs, one each running from the eave to third point. Conflicts between existing conditions and proposed work shall be immediately referred to Constructor's representative. 3 WORK SCHEDULE 3. 1 The Contractor shall conduct the work during PG&E's normal business hours which are 8 a.m. to 5 p.m. , Monday through Friday. The service yard will be occupied during construction; work area will be vacated during construction. Parking and material storage area will be designated for Contractor's use. 4 REVISIONS TO CONTRACT DRAWINGS 4. 1 PG&E anticipates that revisions may be made to the drawings prior to the time they are issued as "Approved for Construction." These revisions may involve minor changes which may require changes in Contractor's proposed construction methods and sequence of operations. Contractor shall plan his operations accordingly. Any increase or decrease in material quantities will be paid for or deducted under the appropriate contract pricing items. Where the change involves an increase in costs to Contractor, PG&E will pay these costs if considered justifiable by Constructor. PG&E shall receive credit from Contractor for any reduction in Contractor's costs brought about by changes. However, Constructor ' reserves the right to be the judge as to the final amount of any payments made after the facts are presented and evaluated. 4.2 AS-BUILT DRAWINGS: Upon completion of the project, the Contractor shall furnish PG&E a complete set of white prints of the project containing all "As-Built" data, certified to be corrected by the Contractor. Approved "As-Built" drawings shall be a condition for final acceptance. 5 GENERAL CONDUCT OF WORK AND CONSTRUCTION REQUIREMENTS 5. 1 USE OF FOREIGN MATERIAL: The price quoted in the Proposal shall be based upon all components of the equipment and/or material used in the work having been produced or manufactured in the United States. Bidder • SS ification No. GS-821 Specific Conditions Page. 4 may also submit a separate proposal based upon use of foreign components provided Bidder quotes an alternate price for each proposal item affected, and submits a detailed list of all foreign components contained therein. 5.2 PROTECTION TO PROPERTY: During performance of the work, care and protection of existing work, PG&E's equipment, or adjacent areas shall remain with Contractor, and any damage thereto shall be repaired at sole expense of Contractor. 5.3 ACCESS: Equipment, tools, or material shall be transported to and from the property during regular working hours unless otherwise permitted by Constructor. 5.4 STORAGE: Equipment, tools, or material may be stored on PG&E's property in locations designated by Constructor. 5.5 SECURITY: During off hours of work, the buildings and property exposed by the work shall be made secure against unauthorized entry. 5.6 OBSTRUCTIONS: Contractor shall remove existing obstructions as necessary to perform the work subject to obtaining Constructor's permis- sion. Material which is removed and is not to be replaced, retained by PG&E, or relocated shall become the Contractor's property and shall be removed from the work site. 5.7 MATERIAL AND FINISH: Contractor- shall, as nearly as practicable, match the present work as to type of construction, quality, and type of material used, and the finish thereof except where otherwise specified. Any existing work which is to be removed and reinstalled, and which is damaged by Contractor beyond satisfactory repair shall be replaced with new material and workmanship of equal quality. 5.8 PERMITS AND FEES: Contractor shall obtain all necessary permits, have the work inspected, and pay for same. Upon completion of the work, Contractor shall deliver to company Certificates of Inspection, Completion and Occupancy, approved by the local authority having jurisdiction. 5.9 PATCHING: Contractor shall patch or repair floors, walls, and ceilings in areas to be remodelled. Material and finish used in patching and repair shall match the existing work insofar as possible. Joints between old and new work shall be made as inconspicuous as possible. 5.10 OPENINGS: Contractor shall construct openings in walls, floor, or roof that are necessary for electrical, mechanical,- and other work included in the contract. Openings occurring from removal of obstructions or from relocated work shall be patched and made to appear as inconspicuous as possible. Care shall be taken in cutting existing concrete, gypsum, or other materials to avoid damage to a larger area than necessary. Cuts shall be made with an abrasive saw, and where the thickness of the material . is greater than 3/4 inch, the surface shall be scored to obtain a straight cut. Unnecessary cutting or damage will not be tolerated. • Specification No. GS-821 Specific Conditions Page 5 5. 11 CLEANUP: Upon completion of work, all surfaces shall be left free from stains, spots, spattering, or other .defacement' resulting from painting. All work areas shall be left in a clean and orderly condition with all paint spots, rags, and discarded equipment removed. All glass in areas painted shall be cleaned with suitable cleaning compound and polished dry with a clean cloth. 6 CONSTRUCTION FACILITIES 6. 1 WATER: PG&E will furnish the necessary water for the work hereunder, at no cost to Contractor. When bidder visits the work site, Contractor will indicate the points of connection for the water supply. Flow will be limited to the capacity of the existing facilities. 6.2 POWER: PG&E will furnish electrical power required, at voltage and current presently available at the site, at no cost to Contractor. Power will be provided by PG&E at nearest suitable existing electrical outlet or other source. All temporary or portable wiring beyond the outlet or other source shall be furnished and installed by, and at sole expense of Contractor. 'Such work shall comply with the prevailing codes and standards. 6.3 SANITARY FACILITIES: Contractor will be permitted to use the existing sanitary facilities at the work site, subject to such conditions as may be imposed by Constructor. 7 ARCHITECTURAL WORK 7.1 CARPENTRY AND MISCELLANEOUS: The work under this section comprises furnishing and installing carpentry and other related work as shown on the drawing and as outlined under Section 1.6 of this Specification. 7.2 CUTTING AND FITTING: Materials shall be accurately cut, fitted, and installed in proper position and alignment to obtain the best appearance and strongest results. Joints shall be made tight and have full bearing without the use of shims or wedges. Long pieces of finish trim shall be used to eliminate unnecessary joints. All materials shall be installed plumb, true and level and installed per manufacturer's recommendations. 7.3 WOOD: Lumber and millwork shall be new, dry, and thoroughly seasoned. Millwork shall be kiln dried, surfaced, and mill sanded. Framing not exposed to view shall be sized, or surfaced as required by the particular construction requirements . Framing exposed to view shall be surfaced. Moisture content shall not exceed 14 percent for millwork or 19 percent for framing. Exposed lumber shall be Douglas Fir C-Select unless noted otherwise; plywood shall be 5/8-inch Exterior A-C. S•ification No. GS-821 Specific Conditions Page 6 7.4 LAMINATED PLASTIC: Laminated plastic shall be standard grade, satin finish Formica, or approved equivalent, glued to particle board with waterproof glue, self-edged, and scribed to wall. Color to be selected by Constructor's representative. 7.5 GYPSUM BOARD: Wallboard shall be 5/8-inch thick sheetrock manufactured by United States Gypsum Company, tapered edged with joints filled, and taped; installed per manufacturer's recommendations. Wallboard surfaces shall be spray textured finish. Moisture resistant material shall be used in toilet (and future toilet) rooms. 7.6 GLAZING: Replacement glazing shall match existing textured, double-strength panes, installed in steel frames. New glazing in bottom row of panes in existing sash shall be double-strength "B"-quality float glass. 7.7 CASEWORK: Cabinet work shall be at least W.I.C. "Economy, Grade A," prefinished. 7 .8 DOORS: Pedestrian doors shall be 3° by 70 solid core, exterior-type 5-ply standard flush veneered doors, warranted for two years. Finish shall be paint-grade birch. Doors when installed shall operate freely and be free from warp. Glazing for half-light shall be tempered glass. 7.8. 1 Sliding closet doors shall be 5/8 inch D.F. plywood. 7.8.2 Door and finish hardware is scheduled on page 10. 7.9 GALVANIZED IRON: Flashing and other sheet metal shall be 24-gauge galvanized with watertight joints. 7. 10 INSULATION: R-19 Kraft-faced Fiberglass by Owens-Corning or equal rolled-batt insulation shall be applied to underside of roof per manufac- turer's speficification. R-11 or better batts shall be installed in exterior walls and walls common with untempered (future shop) space and future toilet room for thermal and acoustic insulation. 7. 11 LEVELING COMPOUND: Irregularities in the concrete floor shall be made even by application of a cement-base material such as Thoro Concrete Leveler, or similar approved troweled patching material. Apply in accordance with manufacturer's specification, feathering material a minimum of 1 foot for each 1/8 inch of unevenness. 8 FINISHES 8. 1 RESILIENT FLOORING: Vinyl asbestos tile shall be 12 by 12 by 1/8 inch "Excelon Imperial" by Armstrong or equal; edge pieces shall not be less than 6 inches. Base shall be 4 inch top set cove by Burke. Installed per manufacturers specifications; color and pattern as selected by Constructor. • Specification No. GS-821 ' Specific Conditions Page 7 Toilet room floor shall be sheet vinyl "Conlon Seagate" by Armstrong or approved equal with 6-inch self-coved base; color selected by Constructor. 8.2 WAINSCOT: Wainscot in toilet room shall be Marlite Panels by Masonite or equal with vinyl covered aluminum molding, installed per manufacturer's recommendations. Color and finish as selected by Constructor. 8.3 THERMAL/ACOUSTIC PANELS: Wall treatment applied to the inside of exterior walls shall be 1-inch Painted Linear Glass Cloth Board by Owens-Corning with vinyl trim at all exposed edges per drawings. 8.3. 1 Vinyl trim available through C.M. Supply, 95 Market Street, No. 2, Oakland, California, (415) 465-0255. 8.4 CEILING PANELS: Ceiling shall be 1-inch thick Tectum panels, 2 feet by 8 feet, attached to joints with annular nails driven at angle on 12 inches maximum spacing along beveled edge; nail heads set into panel. 8.5 PAINTING: Paints, primers, and sealers shall be best quality from Fuller-O'Brien, Sherwin Williams, etc. Sufficient undercoats and finish coats shall be applied to produce a first class finish and complete coverage with uniform color and luster. Eggshell latex on walls, semigloss enamel on doors, and wood trim, and stippled semigloss enamel shall be applied in toilet (and future toilet) rooms. Obtain all necessary permits and pay all fees before commencing the work. 10.3 WORK INCLUDED: Contractor shal-1 perform the following work (furnish and install) : 10.3.1 Extend domestic cold and hot water to new fixtures. 10.3.2 Install new sanitary sewer line under floor, extend to outside and connect to existing building sewer line. Provide plugged inlet at wall for future men's toilet room. Install new vent through roof. 10.3.3 Extend gas line and provide valved connections where shown for demonstration and test equipment. 10.3.4 Modify fire sprinkler system. 10.4 GENERAL REQUIREMENTS: All material shall be new and of the size shown on drawings. Perform all necessary drilling, cutting, recessing, etc. , for the installation of the fixtures, piping, and various accessories. Attach fixtures securely to blocking provided in another section of the work. All work shall meet the accepted standards of this trade. 10.4.1 Pipe hangers and supports shall match the existing. Where . possible, pipe shall be concealed in ceiling space or finished walls. Where pipes pass exposed from one space into another, pipes shall be fitted with wall plates on each side of the penetration. Refer to schedule on drawings. 10.4.4 Test piping as required by local authorities in the presence of the Constructor. 10.5 MATERIALS: Piping shall be: 10.5. 1 Water: Copper Type L with soldered. joints and wrought copper fittings. 10.5.2 Gas: Black steel, Schedule 40 with malleable iron fittings . 10.5 .3 Sanitary Sewer: 10.5.3. 1 Under floor - cast iron bell and spigot pipe with "Tyseal" joints. 10.5.3.2 Above floor and outside - "No-Hub" cast iron pipe and fittings. 10.5.3.3 Vent - "No-Hub" cast iron pipe and fittings and/or Schedule 40 galvanized steel with cast iron drainage fittings. 10.5 .4 Valves - ball valves, bronze, Nibco/Scott T-590 or equivalent. Use same valve for gas outlets where shown on plan. 11 ELECTRICAL WORK 11. 1 SCOPE OF WORK: Work under this Section includes the furnishing of all labor, materials, supervision, and services required for electrical . work as shown on drawings and as specified herein. Work shall not be limited to the following: 11. 1. 1 Remove existing fluorescent fixtures and related outlets, conduits, and wires. 11. 1.2 Remove existing wiring devices. 11. 1.3 Panelboard. 11. 1.4 Lighting fixtures. 11.1.5 Wiring devices. 11. 1.6 Branch circuit wiring. • Sofication No. GS-821 Specific Conditions Page 15. 11.2 CODES AND REGULATIONS: Material and workmanship shall conform to the applicable provisions of the latest revisions of the National Electrical Code, California Building Standards Title 24, and Local Regulations. Local and/or State Codes shall take precedence where requirements are more stringent than those of the National Electrical Code. This Specification and accompanying drawings shall take precedance in all cases except where the above provisions are more stringent. 11.3 GENERAL INSTALLATION REQUIREMENTS AND NOTES: 11.3. 1 The drawings indicate the general arrangement of equipment and wiring and the general requirements as to sizes and number of wires. Supports, offsets, fittings, and accessories, which may be required, shall be supplied and installed. All equipment, etc. , supplied shall be new and in first class condition, bear the label of Underwriter's Laboratories, Inc. (UL) and shall be listed by UL in their lists of electrical material where applicable, unless otherwise specified. 11.3.2 Structural and finish conditions affecting the work shall be carefully investigated and work arranged accordingly. Should actual field conditions or other causes necessitate the rearrangement of the work, the proposed rearrangement shall be approved by the constructor prior. to the work is done. 11.3.3 Wherever existing wires are to be abandoned, they shall be removed as. far as possible. They shall be disconnected from the circuit breaker(s) , and the panel directory shall be corrected to indicate the "spare" circuits(s) . When necessary to add wires to existing conduits and raceways, first pull out all existing wires and then pull in all new type THHN wires as necessary for workable system as shown on the drawing. 11.3.4 Exposed conduit and fittings shall be painted two coats to match adjacent surfaces. Repair all surfaces where existing paint has been damaged. 11.4 WIRES: Wires shall be single conductor, rated 600 volts, THHN/THWN insulation, color-coded, copper, minimum No. 12 AWG, manufactured by Triangle Rome, Anaconda, Okonite, or equal: 11.4. 1 Wires shall be factory color coded. Colors for each phase and neutral shall be consistent throughout the system. Color code, where not otherwise required by the inspection authorities, shall be as follows: Phase A Black Phase B Red Phase C Blue Neutral White Ground Green eOification No. GS-821 Specific Conditions Page 16 11.5 CONDUIT: Metallic conduit shall be as follows: 11.5. 1 Rigid Steel: Full-weight, threaded, hot-dipped, zinc-galvanized, minimum size 3/4 inch, manufactured by Triangle, Jones Laughlin, or Pittsburgh. 11.5.2 Electrical Metallic Tubing (EMT) : Threadless, zinc-galvanized, minimum 3/4 inch, manufactured by Triangle, Jones Laughlin, or Pittsburgh. 11.6 WIRING DEVICES AND PLATES: Color of wiring devices shall be coordinated with wall finishes. Plates for finished rooms shall match the architectural finish of interior areas. Plates for unfinished areas shall be galvanized stamped steel. Plates for surface mounted boxes shall match associated boxes. 11.6.1 Switches: Switches shall be specification grade, AC rated, toggle type: 11.6.1. 1 Single-pole, 20-amp. , 120/277-volt, Hubbell No. 1221-I, Bryant No. 4901-I, or Arrow No. 1991-I. 11.6. 1.2 Three-way, 20-amp. , 120/277-volt, Hubbell No. 1223-I, Bryant No. 4903-I, or Arrow No. 1993-I. 11.6.2 Receptacles: Receptacles shall be heavy-duty type, back and/or side wired: 11.6.2. 1 Duplex convenience outlet, 15-amp, 125-volt, 3-wire, with grounding pole, Bryant No. 5262, Hubbell No. 5262, or Arrow No. 5262. 11.6.2.2 Clock hanger outlet, 15-amp, 125-volt, 3-wire, with grounding pole, Bryant No. 2826-G, Hubbell No. 5233, or Arrow No. 5707. 11.7 PANELBOARD: Panelboard shall be of the bolt-on circuit breaker type, flush mounted, hinged door with flush catch and locks keyed alike, typewritten circuit directory on inside of door, a black and white Formica nameplate on panelboard and titled appropriately. Factory assembled interior complete with circuit breakers arranged as indicated on the drawing. Buses shall be of commercially pure copper or of equivalent tin-plated aluminum. Acceptable manufacturers shall be Square "D," General Electric, ITE, or Westinghouse Electric. 11.8 LIGHTING FIXTURES: Lighting fixtures shall be types shown on drawing completed with lamps and necessary hangers, aligners, alignment brackets, and other mounting accessories. Fixture hangers shall be secured to the existing ceiling joists. • Ocification No. 'GS-821 Specific Conditions Page 17 11.9 TELEPHONE OUTLETS AND CONDUITS: Telephone outlets and conduit home runs shall be as shown on drawing. Empty conduits shall be provided with No. 12 AWG Type TW copper pull wires or a 3/16-inch-diameter nylon pull ropes. 11,10 GROUNDING: Grounding shall be provided for each of the electrical systems and for equipment throughout the remodelling area in the warehouse and shall include the following: metallic conduit, panelboard, motors, and receptacles. Bond all metallic piping systems beyond any dielectric unions to comply with code requirements. 11.11 TEST: The entire installation shall be tested and made free of short circuits, open circuits, and improper grounds. Check branch circuits and operation of lighting fixtures, check polarity of receptacles, operate breakers in panelboard, and perform rotation checks on motors to assure correct direction of rotation. 11.12 SUBMITTALS AND SUBSTITUTIONS: Within 15 days of award of contract, the Contractor shall submit eight copies of the following items for approval: 11.12. 1 Lighting fixtures. i 11. 12.2 Branch panelboard. 11. 12.3 Equipment/material list which includes all electrical materials not included in Items 11. 12. 1 and 11. 12.2. 11.13 AS-BUILT DRAWINGS: Upon completion of the project, the Contractor shall furnish PG&E a complete set of white prints of the project containing all "As-Built" data, certified to be corrected by the Contractor. Additional substitution requirements are specified in Division. 2 PROPOSALS 2.1 GENERAL: Proposal shall be submitted on the attached Proposal Form, enclosed in a sealed envelope marked "Proposal" with the title of theuork, and delivered to the address stated in the Proposal Form on or prior to the time invited. ,.Mkt signed Specification and drawings shall be forwarded with the Proposal. PG&E reserves the righ�to reject any or all proposals. 2.2 VISIT TO WORK SITE: Bidder shall make arrangements with Constructor to visit the work site. The Proposal shall be based on full knowledge of all conditions that would affect the cost and conduct of the work. 2.3 TIME: Contractor shall perform the work in as short a time as practicable consistent with good workmanship and without overtime, unless otherwise specified. Time quoted by Bidder for completion of the work will be an important consideration in making the award of contract. The time so stated will be incorporated in the Contract. Time is of the essence. 3 DRAWINGS, SPECIFICATION, AND INFORMATION - 3.1 DISCREPANCIES: Specification and drawings are complementary and are intended to be consistent with each other. Contractor shall report to Constructor any discrepancies or errors. 3.2 DIMENSIONS: Contractor shall obtain at the work site the necessary dimensions and not rely on the drawings for dimensions which tie into the existing work. No claim will be honored which is a result of failure to comply with this provision. 3.3 CONSTRUCTION DRAWINGS: As soon as possible after award of contract, approved construction drawings will be provided Contractor for use in the performance of the work. Bidding drawings shall not be used for construction purposes unless authorized in writing by Constructor. 3.4 ESTIMATED QUANTITIES, WEIGHTS, OR DATA: Quantities, weights, or data made available to Contractor by PG&E for preparation of his proposal or for performance of the work shall not relieve Bidder or Contractor of the responsibility to satisfy himself through investigations as to conditions affecting the cost and performance of the work. Estimated quantities and information submitted are the best available at the time; however, PG&E assumes no responsibility for the correctness of such information or for Contractor's conclusions drawn therefrom. - ' GS-821 General Conditions (MF) ' Page 2 of 9 4 PERFORMANCE OF THE WORE 4.1 LAYING OUT OF THE WORK: PG&E will provide necessary bench marks and controlling lines for the work. Contractor shall lay out and construct the work accurately to the lines and elevations shown on the drawings. Contractor shall check the line, dimensions, and elevations of each unit of work as it is completed to ensure the proper installation of subsequent work. If any discrepancies are found when checks and rechecks have been made, Contractor shall report the discrepancies immediately to Constructor. Contractor shall use reasonable precautions to preserve lines and grades. 4.2 MATERIALS AND WORKMANSHIP: Materials and workmanship shall be new, first class in every respect, plumb and true, and comply with requirements of the Specification and drawings. Work shall be subject to the inspection of Constructor who will exercise control of the work to safeguard PG&E's interest. Contractor shall furnish labor, materials, equipment, and services required for the work unless otherwise specified. Work performed subsequent to the award of the contract shall be performed in accordance with the contract. 4.3 TRADES: Various branches or trades into which the work is to be divided are described under separate divisions. Materials may be furnished and work performed in accordance with those divisions or otherwise at Contractor's option. Contractor shall, in accepting the bid of a subcontractor for a given trade or class of work, determine that the work to be performed by that trade is included in the subcontractor's bid, whether or not specifically required within that division relation to such trade or class of work. - 4.4 PG&E'S OPERATIONS: It is necessary that PG&E maintain its operations without interruption during the progress of the work; therefore, no unnecessary interference will be permitted. Contractor shall conduct the work in a manner that will cause a minimum of inconvenience to PG&E's employees and the --.public: - 4.5 BRAND NAME: Items designated within the Specification or drawings by brand name shall be as designated or an approved equivalent. Furnishing or installing or both of an item shall be in accordance with the manufacturer's recommendations or specifications unless otherwise specified herein. 4.6 CONTRACTOR'S REPRESENTATIVE: Contractor shall retain ■ representative who shall supervise the work, and exercise control as required by Constructor. - 4.7 REGULATIONS AND CONDUCT OF WORK: Contractor shall plan and conduct the work to safeguard persons and property from injury. Contractor shall direct the performance of the work in compliance with reasonable work practices and with applicable federal, state, and local laws, rules, and regulations, including but not limited to "Occupational Safety and Health Standards" promulgated by the U.S. Secretary of Labor and Safety Orders of the California Division of Industrial Safety." Personnel shall wear approved "hard hats" when at the work site except as otherwise permitted by Constructor. Work in areas adjacent to electrically energized equipment shall be performed in accordance with PG&E's established safety rules and as directed by Constructor. Constructor may require Contractor to observe reasonable safety precautions in addition to those in use or proposed by Contractor. Neither the giving of special instructions by Constructor nor the adherence thereto by Contractor shall relieve - - —Contractor of the sole responsibility to maintain safe and efficient working conditions. - 5 LEGAL REQUIREHENTS 5.1 PERMITS AND RULES: Contractor shall, without additional cost to PG&E, obtain required permits, .serve notices, arrange for inspection, and pay fees and deposits. Work shall comply with applicable governmental rules, regulations, and ordinances. 5.2 EQUIPMENT DESIGN: Equipment and material furnished hereunder shall be so designed and constructed that when installed they will comply with the applicable laws, rules, and regulations, including, without limitation, "Occupational Safety and Health Standards" promulgated by the U.S. Secretary of Labor and those Safety Orders of the Division of Industrial Safety, Department of.Iadustrial Relations, State of California, which must be complied with before the equipment and material may lawfully be used - - by PG&E in California. Expenses incurred in complying with these requirements are understood to be included in the contract price. 5.3 CHANGES: Requests by Contractor for any changes in the requirements of the Specification and ' drawings shall be brought to the attention of Constructor for written approval of Engineer. No changes - will be authorised without such approval. r. c GS-821 i General Conditions (MF) Page 3 of 9 5.4 BOND: If required by PG&E, Contractor shall furnish a surety bond securing performance of contract ' and payment of labor and material bills in the amount of 100% of the contract price. Contractor will be separately reimbursed for the actual premium cost thereof. 5.5 INFRINGEMENT PROTECTION: Royalties or other charges for patents for machinery, equipment, or materials furnished by Contractor for the work or for processes or arts employed by Contractor in the .work, shall be considered as included in the contract price. Contractor shall indemnify and save harmless PG&E, its officers and employees, from lose, liability, and expense arising out of claims for infringement of said patents. 5.6 SUBCONTRACTS: Subcontracts shall be subject to approval by Constructor. 5.7 INDEPENDENT CONTRACTOR: Contractor shall perform the work as an independent Contractor, and persons employed by Contractor in connection therewith will be employees of Contractor and not employees of PG&E in soy respect. 5.8 USE OF FACILITIES: PG&E shall have the use of the facilities constructed hereunder at any time during construction, whether such facilities are completed or not. If PG&E makes use of any uncompleted facility, PG&E will reimburse Contractor for any actual expense incurred as a result of its me. 5.9 TERMINATION OF CONTRACT: If (1) Contractor fails to conform to the requirements of the contract; or (2) Contractor seeks relief under any law for the benefit of insolvents or is adjudged bankrupt; or (3) any legal proceeding is commenced against Contractor which, in Constructor's opinion, may interfere with the performance of the contract; or (4) in Constructor's opinion, it is apparent that the work will not be completed within the specified time and Constructor has requested Contractor to take steps to accomplish the required progress and completion, and Contractor has failed to do so, PG&E may, at its option and without prejudice to any other right it may have, take over and complete all or part of the work using Contractor's equipment and facilities at the work site and may terminate all or part of the contract. Contractor shall be liable for any additional cost to PG&E arising from termination. In the event of termination, Contractor shall vacate the work site and not remove any material, plant, or equipment without the prior approval of Constructor. 5.10 TERMINATION FOR PG&E'S REASONS: Should PG&E be required or deem it advisable to suspend or terminate the contract, it may do so upon written notice to Contractor. Contractor thereupon shall take whatever action with respect to performance of the work as will tend to minimize its claim against PG&E. In the event of termination, PG&E shall be liable to Contractor only for the value of the work performed to the date of termination, plus costs reasonably incurred by Contractor in terminating his operations. Contractor shall not be entitled to any payment for anticipated profits on uncompleted ' portions. 5.11 INSPECTIONS AND TESTS: PG&E has the right to make field and shop inspections and tests, and PG&E's inspectors shall have access to the work. Neither the making nor the failure to make inspections and testa by PG&E nor the express or implied approval by Constructor of any part of the work shall relieve Contractor of the responsibility to complete and guarantee the work as specified. Rejected -- - - — work-shall be corrected as directed by Constructor at sole expense of Contractor. - - - _--_ 5.12 GUARANTEE: Contractor shall repair or replace or both, at his expense, any part of the work which develops defects due to faulty material or workmanship within a one-year period after the work is accepted. The warranty period for repaired or replaced parts shall be one year from the date of completion and acceptance of the repair or replacement. Contractor shall repair or replace at his expense any other property damaged as a result of the defects. 6 PAYMENTS AND MISrvlrawrOUS 6.1 PAYMENTS: For contracts that total less than $5,000, Contractor will be paid 100% of the contract price 35 days after acceptance by Constructor of the completed work. For contracts that total $5,000 or more, Contractor will be paid 90% of the total contract price after acceptance by Constructor of the ,.completed work. If the work requires more than six weeks time to complete, monthly'progress payments will be wade in the amount of 90% of the estimated value of the work, including extra$, satisfactorily completed, in place, and accepted during the month. The remaining 10% of the total icontract price will be paid to Contractor 35 days after the date of acceptance by Constructor. Each monthly payment (except final) will be made within 21 days after receipt and approval by Constructor of Contractor's .. . - invoice covering the work performed .during the month. . : GS-821 General Conditions (MF) ' Page 4 of 9 6.2 WITHHOLDING FUNDS: PG&E may retain from payments due hereunder sufficient funds to (1) repair or replace work deemed defective by Constructor, and (2) discharge delinquent accounts of Contractor for which liens on PG&E's property have been or can be filed. PG&E say at any time pay out of the funds withheld from Contractor amounts admittedly due on delinquent accounts. 6.3 SEGREGATION OF PRICE: Contractor shall submit a segregation of the contract price, if requested, for each lump-sum of the Proposal Form. The segregation shall itemize the estimated cost of each class of work, together with an allowance for profit, insurance, and overhead expense, the total of which shall equal the contract price. When approved by Constructor, the segregation shall become the basis for determining progress payments for work performed. 6.4 CLAIMS: If Contractor claims extra compensation or time from PG&E.arising out of PG&E's administration or interpretation of the contract or other action on the part of PG&E, Contractor shall submit to Constructor a written statement supporting the claim as soon as practicable, but not more than 30 days after the action or decision giving rise to the claim. Portions of Contractor's claim incurred prior to written notification to Constructor shall be considered waived and failure to submit a statement within 30 days shall constitute a waiver of the entire claim. Acceptance by Contractor of the final payment hereunder shall be de^xd a waiver by Contractor of claims against PG&E. 6.5 REFERENCES: References in this Specification to standard specifications, codes, and requirements of organizations, such as the American Society for Testing and Materials (ASTM), American Institute of Steel Construction (AISC), and others, are made to current issue thereof, unless otherwise specified. Requirements of reference specifications shall be deemed a part hereof, except that in the event of a conflict between the requirements of this Specification and those of reference specifications, the most stringent shall govern. 6.6 CLEANUP: Upon completion of the work, Contractor shall remove debris and waste material resulting -' from the work and leave the work site clean. Building surfaces affected by the work, including glass, shall be left clean. - 7 ADDITIONAL WORE OR CHANGES 7.1 CONTRACT CHANGE ORDERS: Additional work or changes shall be performed by Contractor only when authorized in writing and signed by Constructor. 7.2 COMPENSATION: Compensation to Contractor for any increase in the amount of work due to additions or changes shall, at Constructor's option, be based on contract unit prices or agreed prices or on a cost-plus basis. If work is performed on ■ cost-plus basis, compensation will be an amount equal to the total of Items 7.2.1 through 7.2.9: 7.2.1 Wages and salaries, including payroll taxes, vacation, holiday, sick leave allowance, and other fringe benefits of Contractor's employees, and his job foreman, engaged in performing the work. (Wages or expenses of any superintendent, representative in charge, or field office personnel are excluded.) - - - - 7.2.2 Materials and supplies actually consumed in the work-including sales or use taxes thereon, and the transportation thereof, at actual cost, less trade and cash discounts and less the fair value of materials and supplies salvaged and retained by Contractor. 7.2.3 Pro rats amounts of premiums for (1) Worker's Compensation Insurance, and (2) Bodily Injury and Property Damage Insurance up to limits of $3,000,000 for one occurrence. Premiums for other insurance shall not be separately reimbursable. ' 7.2.4 Incidental direct costs to Contractor arising directly from performance of the work, provided they are approved in writing by Constructor. .. 7.2.5 A fee equal to the percentage stated in Contractor's'proposal of the total of ` paragraphs 7.2.1 through 7.2:4 including profit, superintendence, field office personnel, overhead, rental charges for use of tools and equipment valued at less than $1,500 each, and other general and indirect expense. ' GS-821 General Conditions (MF) Page 5 of 9 7.2.6 Rental charges for use of Contractor's equipment valued at $1,500 or more each, at the rates submitted by Contractor in his proposal. Rates shall include fuel, maintenance, operating labor and other costs, unless otherwise specified. For rates not included in the rates submitted in Contractor's proposal, reimbursement shall be at rates not in excess of 75% of the rates set forth in the current edition of the "Compilation of Rental Rates for.Construction Equipment" published by the Associated Equipment Distributors, plus operating cost. 7.2.7 Cost of transportation to the work site and from the work site to an agreed destination, including loading and unloading, of equipment not self-propelled or readily movable, to the extent that payments have not been reimbursed directly or indirectly under other items of the contract. 7.2.9 For approved additional work performed by a subcontractor, including subcontracts for rental of equipment valued at $1,500 or more each, Contractor will be paid the subcontract amount plus a fee of: . 7.2.8.1 Ten percent of subcontract that amounts to less than $1,000. 7.2.8.2 Five percent of subcontract that amounts to $1,000 or more. 7.2.8.3 This fee shall include Contractor's profit and expenses incident to administration of the subcontract. However, the fee shall not apply to rental of equipment from subsidiaries of Contractor, from his partners or co-adventurers or from their subsidiaries. " 7.2.9 Repair and replacement of any portion of the work destroyed or damaged due to causes beyond Contractor's control, including materiels and equipment delivered to the work site for installation, which are not covered by insurance. 7.3 SUBCONTRACTOR'S FEES: Bidder shall state in his proposal the percentage fees applicable to paragraphs 7.2.1 through 7.2.4 that will be charged by his subcontractors for cost-plus work. The fee for a subcontractor not listed in the Proposal shall not exceed that quoted by Contractor for paragraph 7.2.5. Subcontracts shall be subject to Constructor's approval. 7.4 ITEMS EXCLUDED: Compensation to Contractor under the preceding cost-plus items shall not include the following: 7.4.1 Amount of a penalty, judgement, settlement, or other expense paid or incurred by Contractor es a result of Contractor's actual or alleged violation of a contract, law, rule, or regulation, except to the extent that penalty, judgement, settlement, or other expense represents wages or taxes otherwise reimbursable hereunder. ' 7.4.2 Amounts paid by Contractor for repair or replacement of defective work or costs of material wasted due to careless workmanship or coats of work performed that, in opinion of Constructor, is not necessary for the performance of the work. 7.5 DECREASE IN WORK: At Constructor's option, credit to PG&E for decrease in the work will be based . . .._on.agreed .prices or on the basis of contract unit prices. 7.6 RENTAL RATES: Rental rates shall be submitted with Bidder's proposal for use of his equipment valued at $1,500 or more each. 7.7 LUMP-SUM EXTRA WORK: For additional work or changes performed on a lump-sum or agreed price basis, Contractor shall submit for approval by Constructor, if required, a complete price breakdown of amounts and fees. Breakdown shall conform to the cost breakdown and include the fees set forth in the preceding paragraphs 7.2.1 through 7.2.9, and paragraph 7.3, and the fees quoted in Contractor's proposal. 7.8 WORK SUBCONTRACTED ON COST-PLUS BASIS: Extra work authorized to be subcontracted on a cost-plus basis shall be performed in accordance with the provisions of paragraph 7. Contractor shall negotiate subcontracts directly, and subcontractor shall not subcontract part of the work. 7.9 DATA REQUIRED: For cost-plus work, Contractor shall support'invoices for payment with itemized receipted bills for material and subcontract work. Contractor shall submit certified copy of payroll •covering labor employed by Contractor and by subcontractors performing work on a cost-plus basis. Satisfactory evidence shall also be submitted to verify materials drawn from Contractor's stock, rental of Contractor's equipment, or other miscellaneous items of cost not otherwise verified. GS-821 General Conditions (MF) Page 6 of 9 8 INDEMNITY AND WITHHOLDING I 8.1 INDEMNITY: Contractor shall indemnify PG&E, its officers, agents, and employees, against all loss, damage, expense, and liability resulting from injury to or death of person, including but not limited to employees of PG&E or Contractor or Subcontractors, or injury to property, including but not limited to property of PG&E or Contractor or Subcontractors, arising out of or in anyway connected with the performance of this Contract, however caused, regardless of any negligence of PG&E, whether active or passive, except for such injury or death as may be caused by the sole negligence or willful misconduct of PG&E. Contractor shall, upon request, defend any suit asserting a claim covered by this indemnity. Contractor shall pay costs that may be incurred by PG&E in enforcing this indemnity, including reasonable attorney fees. 8.2 WITHHOLDING: PG&E may withhold from the final payment due Contractor an amount necessary to provide security against loss, damage, expense, and liability for injury to property covered by the foregoing indemnity. 9 INSURANCE 9.1 WORKER'S COMPENSATION: Contractor shall secure the payment of vorker's'compensation liability in compliance with the California Labor Code and, where applicable, secure payment of liability under the Longshoreman's and Harbor Workers' Act, the Jones Act, or other applicable law, unless PG&E elects to purchase applicable insurance for work performed hereunder as specified in paragraph 9.3. A surcharge .for Longshoremen's and Harbor Worker's Act may be applicable. Contractor shall also have subcontractor similarly secure payment of such liability. Security, whether insurance or otherwise, provided by Contractor or any subcontractor shall be satisfactory to Constructor. 9.2 BODILY INJURY AND PROPERTY DAMAGE LIABILITY INSURANCE: 9.2.1 Automobile: Contractor shall maintain, and be responsible for subcontractors maintaining, during the performance hereof automobile bodily injury and automobile property damage liability insurance, naming Contractor as the insured and including (1) PG&E as an additional named insured insofar as work performed under this contract, and (2) a cross liability clause. This insurance shall have limits of not less than $3,000,000 combined single limit of liability for bodily injury and property damage as a result of any one occurrence, and be satisfactory to PG&E. If Contractor or his subcontractor maintains additional amounts of insurance protection, Contractor shall not charge to this contract the cost thereof for limits in excess of $3,000,000 for any one occurrence. 9.2.2 Nonautomobile: Contractor shall maintain, and be responsible for any subcontractors ' maintaining during the performance hereof, nondeductible insurance for both bodily injury and property damage liability (other than automobile), naming Contractor as the insured and including (1) PG&E as an additional named insured for work performed under this contract, and (2) a cross liability clause, unless PG&E elects to purchase the insurance specified under paragraph 9.3. Contractor's insurance shall have not less than $3,000,000 combined single limit of liability for bodily injury and property damage as a result of any one occurrence. This insurance shall be satisfactory to PG&E and contain an endorsement incorporating by reference and making a part of Contractor's policy or policies the Insuring Agreements, Exclusions and Conditions of the Broad Form Comiprehensive Liability Specimen policy contained in the "Master Insurance Program" furnished Contractor. If Contractor or his subcontractor maintains additional amounts of insurance protection, Contractor shall not charge to this contract the cost thereof for limits in excess of .$3,000,000 for any one occurrence. 9.2.3 Insurance covered under paragraphs 9.2.1 and 9.2.2 shall be nonnuclear in nature. 9.3 PG&E'S ELECTION TO PLACE INSURANCE: PG&E has the right, if it so elects, to purchase for _,•Contractor insurance securing payment of the liability specified in the paragraph 9.1, or the insurance —specified in the paragraph 9.2.2, or both. However, .PG&E is not-obligated to,purchase limits in excess of $3,000,000 for any one occurrence. - 9.4 'SUBCONTRACTOR'S INSURANCE: PG&E shall also have the right, if it so elects, to purchase insurance -•with .the same limits for any subcontractor who, before the subcontract is made, has offered to perform work at the work site. to facilitate the letter, Contractor shall negotiate subcontracts to provide ^,for election in the manner set forth in the master insurance program furnished -to Contractor and ..promptly provide to PG&E, for each subcontractor, before the.subcontract is .executed, the insurance data specified in the subcontractor's insurance questionnaire. cs-su General Conditions (MF) ' Page 7 of 9 9.5 COST: Insurance arranged by PG&E will be in the form specified in the specimen insurance policies appearing in the master insurance program furnished to Contractor. If PG&E elects to purchase the insurance: 9.5.1 In cost-plus work, PG&E will not be obligated to pay Contractor costs for insurance maintained by Contractor or any subcontractor which coincides with coverages arranged by PG&E. Insurance provisions of contracts or subcontracts placed by Contractor for performance of the work hereunder shall be subject to the approval of Constructor before PG&E is obligated to reimburse the costs thereof. 9.5.2 In lump-sum or unit-price work, PG&E will pay for the insurance, and the contract price hereunder will be reduced by deductions of the following sums from the final payment, and also from progress payments as may be made hereunder. 9.5.2.1 Workers' Compensation Insurance: For workers' compensation insurance specified in the paragraph 9.1, the sum of the products obtained by multiplying the actual payroll or payrolls of Contractor and the actual payroll or payrolls of those subcontractors whose insurance is arranged by PG&E under its election, by the actual Worker's Compensation Insurance rates assigned to Contractors' operations by the California Inspection Rating Bureau. The actual payroll figures will be those developed by the auditors of the carriers used by PG&E after its election. 9.5.2.2 Bodily Injury and Property Damage Liability Insurance (Nonautomobile): For insurance specified in the paragraph 9.2.2, the sum of the products obtained by multiplying the actual payroll or payrolls of Contractor and those subcontractors whose insurance is arranged by PG&E under its election by the insurance premium rate set forth in Contractor's bid to PG&E and the insurance premium rate given in the insurance data supplied PG&E by Contractor for his subcontractors. Actual payroll figures will be those developed by the - - auditors of the carriers used by PG&E under its election, provided that where Contractor's or any subcontractors' aforesaid insurance premium rates are based on an item other than payroll, that item will be used in making the aforesaid computation. In this case, Contractor and his subcontractors shall furnish PG&E with the same accounting information that Contractor or subcontractor would furnish their insurance carrier to enable the carrier to compute its insurance premiums. 9.6 BIDDING: Contractor shall submit with his bid the insurance information requested by the Insurance Questionnaire made part of this Specification. 9.7 INSURANCE PROCEDURE: The party arranging for insurance hereunder shall furnish the other party a certificate of Workers' Compensation Insurance evidencing that the policy of insurance arranged is in full force and effect and furnish copies of Bodily Injury and Property Damage Liability Insurance policies arranged. The certificate and policies shall provide that notice will be given to the other party at least 30 days prior to cancellation or substantive change in the form of the policies.. PG&E shall have the right to inspect the original insurance policies. 9.8 RETURN PREMIUMS: Any and all return premiums and dividends for the insurance specified in the — paragraphs 9.1 and 9.2.2 shall be payable to PG&E if PG&E elects to purchase the insurance. 10 RISK OF LOSS OR DAMAGE TO WORK 10.1 The risk of loss or damage to the work and materials shallremain with Contractor, until the work is completed and accepted by Constructor. The Contractor agrees to use his best efforts to carry out this policy in the award of his subcontracts to the fullest extent consistent with the efficient performance of this contract. 11.1.5 Employment of the Handicapped - Section 741.3, Rehabilitation Act of 1973: (Contracts exceeding $2,500) The affirmative action clause and the regulations contained in Part 741 of the Rehabilitation Act of 1973 are incorporated by reference in this contract. 11.1.6 Filing EEO-I Forms and Preparing Affirmative Action Plans: (Contracts of $50,000 or more) If the value of this contract is $50,000 or more and the Contractor has 50 or more employees, the Contractor agrees to file appropriate EEO-1 forms in accordance with existing regulations and maintain a current written affirmative action compliance program at each establishment at which Contractor has SO or more employees. 11.1.7 Vietnam Era Veterans Readjustment Assistance - Act of 1974, Title 41, Chapter 60, Part 250: (Contracts of $10,000 or sore) The affirmative action clause and the regulations pertaining to the employment of disabled veterans and veterans of the Vietnam Era are incorporated by reference in this contract. 12 DELAYS AND SUSPENSION OF WORE 12.1 SUSPENSION OF WORE: Constructor may suspend the work or delivery of materials for causes he considers to be sufficient. 12.2 DELIVERY OF MATERIALS: Delivery dates for materials to be supplied by others directly or through PG&E have been scheduled to allow Contractor sufficient time for installation in compliance with the specified construction schedule. 12.3 NOTIFICATION: Contractor shall notify Constructor promptly in writing upon knowledge of any impending cause for delay and PG&E will use its best efforts to prevent the delay. Failure to notify Constructor shall constitute waiver by Contractor of concessions or benefits specified under this paragraph. 12.4 DELAYS WITHIN CONTRACTOR'S CONTROL: No additional compensation or other concessions will be allowed Contractor for expenses incurred as a result of delays arising from causes for which Contractor is responsible. If, in Constructor's opinion, a delay that is sufficient to prevent Contractor's compliance with the specified construction schedule, Contractor shall be required to accelerate the ' work through overtime or other means, at his expense, to allow for completion on schedule. 12.5 DELAYS BEYOND CONTRACTOR'S CONTROL: In the event of a delay in delivery of material to be ' furnished by or through PG&E or a delay that is, in Constructor's opinion, caused by circumstances beyond Contractor's control, except delays due to inclement weather, Constructor will investigate the causes and remedies and say require or authorize any of the following procedures. Contractor will be promptly notified as to which procedure shall be followed: 12.5.1 If, in Constructor's opinion, the current progress of the work is satisfactory and the delay is minor, Contractor may be required to complete the work in accordance with the specified construction schedule with no allowance for extra time or extra compensation. - . • • GS-821 i General Conditions (NF) - Page 9 of 9 12.5.2 If, in Constructor's opinion, any actual delay is sufficient to prevent Contractor's compliance with the specified construction schedule, Constructor will require or authorize any of the following procedures: 12.5.2.1 Extend the specified completion date, with no extra compensation, for ■ period of time equal to the delay plus, in the event of strikes or other causes that make it necessary to close down the work, an additional two days. 12.5.2.2 Authorize overtime as necessary to comply with the specified completion date.
