and shall be completed before January 1, 1992
COMPENSATION For the full performance of this Agreement,CITY shall pay CONTRACTOR:
GENERAL TERMS AND CONDITIONS
Hold Harmless. Contractor agrees to save and hold harmless the City, its officers,agents and employees from any and
all damage and liability of every nature, including all costs of defending any claim,caused by or arising out of the per-
formance of this agreement.City shall not be liable for acts of Contractor in performing services described herein.
Insurance. Should the City require evidence of insurability Contractor shall file with City a Certificate of Insurance
before commencing any services under this agreement. Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non-Discrimination. No discrimination shall be made in the employment of persons under this agreement because of
the race,color, national origin,ancestry, religion or sex of such person.
Interest of Contractor. It is understood and agreed that this agreement is not a contract of employment in the sense
that the relation of master and servant exists between City and undersigned.At all times Contractor shall be deemed to
be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in
executing this agreement.Contractor certifies that no one who has or will have any financial interest under this
agreement is an officer or employee of City.
Changes. This agreement shall not be assigned or transferred without the written consent of the City.No changes or
variations of any kind are authorized without the written consent of the City.

Dear Ms . Wordell ,
I appreciate the opportunity to submit a proposal for
updating the Cupertino General Plan Air Quality and Noise
sections , which were prepared originally in 1983 by ECS . The
outlines below are proposed scopes of work for each section
based upon our recent discussions . The scope description is
keyed to the page order of the original section. Some
portions have been elimimated to meet budget requirements
without eliminating any core elements of the sections .
The scope includes new modeling of both roadside CO and
noise based upon new traffic characteristics projected for
the year 2000. The four most significant locations in the
City would be chosen from the original eight locations
analyzed . No new noise measurements would be done.
Existing noise levels would be modeled from changes in
traffic characteristics since the original report .

The professional fees for the two studies , covering
data gathering , model computations , impact analysis , report
revision and markup , would be based upon actual hours
expended by the consultant in completing the project , not to
exceed $4500, based upon an hourly rate of $75 . Essentially
all of the work would be completed by the Principal . Markups
and revised draft material would be supplied by ECS for
final formatting and typing by the City .
Additional services , such as public meetings and
additional project conditions to analyze , could be provided
on a time and materials basis .
Completion of the work would require approximately
three weeks following go-ahead and receipt of all relevant
project information , including new traffic data .
If modifications are required in the scope or fees of
•this proposal in order to meet your needs , please let me
know immediately. However , if this proposal is
satisfactory, an authorized signature at the bottom will
execute this Letter of Agreement, and the project can
proceed at your convenience . I look forward to working with
you and your team on this project .
