TERMS The services and/or materials furnished under this Agreement shall commence on March 10, 1983
and shall be completed befo/e April 1, 1983
COMPENSATION For the full performance of this Agreement, CITY shall pay CONTRACTOR:
NOT TO EXCEED $3,000
GENERAL TERMS AND CONDITIONS
Hold Harmless. Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and
all damage and liability of every nature, including all costs of defending any claim, caused by or arising out of the per·
formance of this agreement. City shall not be liable for acts of Contractor in performing services described herein.
Insurance. Should the City require evidence of insurability Contractor shail file with City a Certificate of Insurance
before commencing any services under this agreementc Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non·Discrimination. No discrimination shall be made in the employment of persons under this agreement because of
the race, COIOf, national origin, ancestry~ religion or sex of such person.
Interest of Contractor. It is understood and agreed that this agreement is not a contract of employment in the sense
that the relation of master and servant exist's between City and undersigned, At all times Contractor shall be deemed to
be an independent contractor and Contractor i~ not authorized to bind the City to any contracts or other obligations in
executing this agreement. Contractor certifies that no one who has or will have any financial interest under this
agreement is an officer or employee of City.
Changes. This agreement shall nOt be assigned or transferred without the written consent of the City. No changes or
variations of any kind are authorized without the written consent of the City.

EXHIBIT A
Contractor shall provide site, architectural, signage, stre.tscape and .landscape
design related consultant services on a time and materials basis. Said services
will be utilized by the City of Cupertino to prepare "Nonta Vista Design Guide-
lines11 to direct future development, redevelopr.ient, public improvements and
signage within the Mont;] Vista Cc)mmercial Area as identified in the Stevens
Creek Boulevard Plan Line adopted by the City of Cupert·ino.
Said design services will work within the design parameters established by the
policies of the Stevens Creek Boulevard Plan Line. In particular, the design
services will concentrate on the fallolo/lng elements
I. Architectural Theme and Landscape Standards
A. Identify existing architectural and landscape focal points, view
corridors t etc. for. the }~onta Vista Commercial Area.
B. Iden tifydomina te desi1!n element s and building form within the
Commercial Area to be retained.
C. Define the scope of architectural problems or inconsistencies
within said Area.
D. Recommend gu·idelines to coordinate the architectural scale and
building design of new developments and redevelopment pertaining
to the following:
1. Height and bulk of buildings
2. Setbacks
3. Building materials
4. Architectural theme
5. Architectural detailing
E. Landscape Standards
1. Landscape design within the public street right of way particularly
within street medians, or along sidewalk areas.
a. Landscaping theme
b. Landscape materials -general guidelines
2. Landscape design on orivate nroperty
a. Design theme of landscape areas within setbacks
and within parking areas
b. Landscape treatment
c. Landscape materials
II. Streetscape Standards
A. Within the parameters established by the Stevens Creek Boulevard
Plan Line identify the following elements related to the streetscape.
1. Special paving materials
2. Street furniture including the following elements
a. Benches
b. Trash receptacles
