Agreement for the Purpose of Transferring Funds
to Caltrans for the Support of
the Peninsula Commute Service
Feeder Shuttle Project
THIS FUND ALLOCATION AGREEMENT is entered into this day of
~~~' 1992, by and between the State of California, acting by
and through its Department of Transportation (hereinafter
referred to as "Caltrans"), and the City of Cupertino
(hereinafter referred to as "City").
WHEREAS Caltrans provides feeder shuttle service to increase
ridership and revenues of the Peninsula Commute Service
(hereinafter referred to as "PCS" or "CalTrain"), and to enhance
transit usage along the San Francisco Peninsula; and
WHEREAS the City recognizes the importance of CalTrain as an
integral part of its transportation infrastructure and is
actively encouraging support of the feeder shuttle project by
both the public and private sectors;
NOW, THEREFORE, in consideration of the mutual covenants herein
contained, the parties hereto agree as follows:
I. Caltrans agrees to provide, as financing allows, feeder
shuttle service as mutually agreed to by Caltrans and
City. This agreement covers the period July 1, 1992
through June 30, 1993.
II. City will transmit to Caltrans District 4, Rail
Services Branch, a check payable to Caltrans in the
amount of $26,830. Alternatively, payment may be made
in two installments of $13,415 each, due July 1, 1992,
and January 1, 1993. Checks shall include the note
"CalTrain Feeder Shuttle Program."
III. Caltrans shall act as the financial manager and trustee
of the funds specified in Section II on behalf of the
City. Caltrans shall administer the project with its
own staff and shall use all City funds to directly
procure feeder shuttle services from a contractor.
IV. Caltrans shall competitively procure feeder shuttle
services and shall award to the lowest responsive and
responsible bidder except that Caltrans may, at its
sole option and for any reason, cancel the

aforementioned project prior to initiation and return
to the City all funds transmitted to Caltrans for
purposes of supporting the project.
Caltrans agrees to provide City with a quarterly
report, which shall include ridership information,
during the life of the project. Caltrans reserves the
right, at its sole option and for any reason, to cancel
the project at any time. If Caltrans does so, a portion
of the funds provided by City, prorated to the time
remaining in the project, shall be returned to City.
A. This Agreement shall terminate June 30, 1993.
B. This Agreement is written for a one year period.
However, said agreement may be assigned by
Caltrans to the Peninsula Corridor Joint Powers
Board or its designated agency.
c. At the present time the State, pursuant to Chapter
1283, Statutes 1989, is scheduled to transfer
operation of the Peninsula Commute Service to the
Peninsula Corridor Joint Powers Board, or its
designated agency, by July 1, 1992. Therefore, it
is understood and agreed that there is no
guarantee by Caltrans that this Agreement will be
in force and effect past the transfer date.
D. Caltrans or its successor reserves the right to
terminate this Agreement upon thirty (30) days
written notice to the City.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement
to be executed in multiple original counterparts on the day and
year first above written.

WHEREAS, an agreement between the City of Cupertino and the California
Department of Transportation (Cal trans) , outlining the terms and
conditions for the continuation of the Vallco Park CalTrain shuttle, has
been presented to the City Council; and sq.id agreement having been
approved by the City Manager and the City Attorney;
NOW, THEREFORE, BE IT RESOLVED, that the Mayor and the City Clerk are
hereby authorized to execute the agreement herein ref erred to in behalf of
the City of CUpertino.
BE IT FURTHER RESOLVED' that the sum of $8 I 943 be appropriated from
the Environmental Fund to fund the City of CUpertino's portion of the
costs to operate the shuttle from July 1, 1991 to June 30, 1992.

promote use of mass transit and reduce freeway traffic;
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of
CUpertino approves the Cooperative Agreement between the California
Department of Transportation and the City of CUpertino (Exhibit "A"),
authorizes the execution of the agreement by the Mayor and the city Clerk
and appropriates $8,855 from the Envirornnental Impact F\.lnd.

I. Caltrans agrees to conduct, as financing allows, a
demonstration feeder shuttle project as mutually agreed
to by Caltrans and City. This Agreement covers the
period September 12, 1989 through June 30 1 1990.
II. City will transmit to Caltrans District 4 Rail
Management Branch (Attn: Roger Hooson) a check payable
to Caltrans in the amount of twenty thousand, two
hundred and twenty dollars ($20,220). Alternatively,
payment may be made in two installments of ten
thousand, one hundred and ten dollars ($10,110) each,
with the first installment due by October 15, 1989, and
the second by February 15, 1990. Checks shall include
the note 11 CalTrain Feeder Shuttle Program."

vr. This Agreement shall terminate upon completion of the
demonstration project as agreed to by the parties to
this agreement, or on June 30, 1990, whichever is
earlier in time.

the Peninsula Commute Service (hereinafter referred to as
"PCS" or "CalTrain"), and to enhance transit usage along the
San Francisco Peninsula; and
WHEREAS the City recognizes the importance of
CalTrain as an integral part of its transportation
infrastructure and is actively encouraging support of the
feeder shuttle project by both the public and private
sectors;

not less than six months, as financing allows, a
demonstration feeder shuttle project as mutually
agreed to by Caltrans and City, and as described in
Attachment A to this Agreement.
III. Caltrans shall act as the financial manager and
trustee of the funds specified in Section I on
behalf of the City. Caltrans shall administer the
project with its own staff and shall use all City
funds to directly procure feeder shuttle services
from a contractor.
IV. Caltrans shall competitively procure feeder shuttle
services and shall award to the lowest responsive
and responsible bidder except that Caltrans may, at
its sole option and for any reason, cancel the
aforementioned demonstration project prior to
initiation and return to the City all funds
transmitted to Caltrans for purposes of supporting
that project.
v. Caltrans agrees to provide City with a monthly
report, which shall include ridership and
contractor's on-time performance informati0n, during
the life of the.demonstrition project. Caltrans
reserves the right, at its sole option and for any
reason, to cancel the demonstration project at any
time. A portion of the funds provided by City,
prorated to the time remaining in the demonstration
project, shall be returned to City in the event
Caltrans exercises its right to cancel during the
life of the project.
VI. This Agreement shall terminate upon completion of
the demonstration project as agreed to by the
parties to this agreement, or on June 30, 1990,
whichever is earlier in time.
