FIRSTAI�ZENDl�7ENT TO AGREEn'IENT BETWEEN THE CITY OF
CUPERTINO AND SARA FRAZIER
Tlus First Amendment to the Agreement between the City of Cupertino and Sara Trazier, for
reference dated March 2, 2017, is by and between the CITY OF CUPERTINO, a inuiucipal coiporation
( ) and Sara Frazier, a sole proprietor, whose address is ,
Cupertino, CA 95014, (hereinafter refei7-ed to as "Contractor"), and is made with reference to the
following:
RECITALS:
A. On July 1, 2016, the City and Contractor entered into an A��eement; and
B. City and Contractor desire to modify the Agreement on the tei7i�s and conditions set forth herein.
NOW, THEREFORE, it is mutually agreed by and between and undersibnled parties as follo���s:
1. The Agreement's parab�aph entitled"TERM" is amended to read as follows:
The services and/or materials under tlus Agreement shall conul7ence on July 1, 2016 and
shall be completed no later than June 30, 2017, ui�less tei7lunated earlier as set forth in
the A��eement.
2. The Agreemeiit's �aragraph eiztitled"COMPENSATION"is amended to read as follows:
For the full perfoi7l�ance of this Agreement, CITY shall pay CONTRACTOR 70%of
resident fees - $5 administration fee per participant plus '/z of drop in fees. The total
compensation under the Ab eement is ilot to exceed the following: $7,500 (total), $5,000
for the tenn of July 1, 2016 to March 1, 2016; $2,500 for the teml of March 2, 2017 to
June 30, 2016.
3. On or before the tei7il of tlus First Anlendment, Contractor shall provide the City with a
certificate of insurailce and additional insured endorsement demonsh-ating Contractor's ongoing
compliaiice with the Ab-eement's insurance obligations aud nanung the City as an additional named
insured.
4. Except as expressly modified herein, all other tei7ns, covenants aild conditions set forth in
the Agreen�ent shall remain the same and shall be in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this modification of Agreement to be
executed.
