FIRSTAMENDMENT TO AGREEMENT BETWEEN THE CITY OF
CUPERTINO AND THE WILFRED JARVIS INSTITUTE
This First Amendment to the Agreement between the City of Cupertino and THE WILFRED
JARVIS INSTITUTE is by and between the CITY OF CUPERTINO, a municipal corporation
(hereinafter"City")and THE WILFRED JARVIS INSTITUTE,a CALIFORNIA CORPORATION,
whose address is hereinafter referred to as"Contractor"),
and is made with reference to the following:
RECITALS:
A. On August 30,2017,the City and Contractor entered into an Agreement; and
B. City and Contractor desire to modify the Agreement on the terms and conditions set forth herein.
NOW, THEREFORE, it is mutually agreed by and between and undersigned parties as follows:
1. The Agreement's paragraph entitled"SERVICES TO BE PERFORMED"is amended
to read as follows:
Consultant shall perform each and every service set forth in Exhibit"A"and Exhibit"A-
1"which is attached hereto and incorporated herein by this reference
2. The Agreement's paragraph entitled"COMPENSATION"is amended to read as follows:
For the full performance of this Agreement,CITY shall pay CONTRACTOR$1050.00
for facilitation of a department training. Compensation under the Agreement is not to
exceed the following: $17,050.00(total)for the term of September 13,2017-May 31,
2018.
3. On or before the term of this First Amendment, Contractor shall provide the City with a
certificate of insurance and additional insured endorsement demonstrating Contractor's ongoing
compliance with the Agreement's insurance obligations and naming the City as an additional named
insured.
4. Except as expressly modified herein, all other terms,covenants,and conditions set forth
in the Agreement shall remain the same and shall be in full force and effect.
IN WITNESS WHEREOF,the parties hereto have caused this modification of Agreement to be
executed.

EXHIBIT A-1
CONSULTANT SERVICES TO BE PERFORMED
The CONSULTANT will provide Training Facilitation Services in,but not limited to the following
program:
Department Staff Training on Wednesday, October 4, 2017 for a three hour period.
Reports Provided:
1. An overview of the DISC profile.
2. A DISC report
3. DISC—Bar Chart Sample
4. DISC—Diamond Chart Sample
Training will consist of three hours of time for the following activities, each one for roughly 1
hour of time:
1. To form three circles based on division, and to run the Fruit Salad game for all three circles.
Do the de-brief with all participants. Run a final round to incorporate all the lessons learned in
the previous exercises.
2. To ask people to do the DISC assessment in advance, submit their results to CONTRACTOR,
so that CONTRACTOR can provide participants with the reports from 1 through 4 above.
CONTRACTOR will produce three sets of reports, one for each division. The explanation will
be done for all participants,but the individual briefings will be done by division in their circle.
Each person will get a chance to share with their division members something about their DISC
profile, and what that means in terms of how they can be at their best.
3. Brief all participants on how to do an appreciative feedback exercise, then have people form
three circles based on their division, and have them spend 5 minutes on each person providing
appreciative feedback on them.
The outcomes will be:
-Everyone will have fun doing something different for the retreat
-The exercises will have a positive impact on how people work with one another at the office
-The participants will leave feeling energized and more cohesive as teams
