STREET LIGHT EASEMENT AGREEMENT
(Non-Exclusive Street Light Easement)
22638 Stevens Creek Boulevard
(Portion of Assessor's Parcel No. 342-14-101)
DeAnza Baptist Church of Cupertino ("Owner"), hereby agrees to grant to the CITY OF
CUPERTINO, a municipal corporation ("City") a non-exclusive Easement for street light
installation, operation and access purposes as further described below (the "Easement")
over, across, under, and upon Owner's real property in the City of Cupertino , Santa Clara
County, California and commonly known as 22638 Stevens Creek Boulevard (Assessor 's
Parcel 342-14-101 ). The specific location of the portion of Owner's real property that is
subject to the Easement is more particularly described as a 20-foot by 20-foot area located
in the most Southeasterly comer of the property and as depicted in the attached Exhibit
l(the "Easement Area").
1. Nature of Easement. The Easement Area shall consist of a non-exclusive
Easement that shall be used primarily for the construction, and subsequent
operation and maintenance of a street light and associated facilities (the
"Project".) Subject to the restrictions on City's use set forth in Paragraph 3
below, City's rights to use any portion of the Easement Area shall include (a)
the right to construct, repair and maintain the street light facilities within the
Easement Area; and (b) such other rights as are reasonably necessary to
accomplish the purposes of the Easement. City's rights under this Street Light
Easement may be exercised by City 's agents, contractors , subcontractors ,
suppliers, consultants, employees , or by other authorized persons acting for or
on behalf of City.
2. Term of Easement. The term of the Easement shall commence on the
execution date of the agreement (the "Commencement Date"), and shall have
an initial term of I-year (the "Initial Term"). After the Initial Term , the
Easement shall expire at the discretion of the Owner, and upon written notice
being provided to the City , however, City shall have the option to extend the
term on a month-to-month basis not to exceed an additional six (6) months
beyond the Owner 's discretionary termination of the Easement in order to
remove the street light and its associated facilities. The City shall provide
written notice to the Owner, within 14 days , if City elects to exercise its option
for any such extension.
3. City's Covenants. During the term of the Easement, City shall provide to the
Owner access to the Owner 's property at all times.
4. Restoration. Upon the City 's completed construction of the Street Li ght, City
shall restore , as nearl y as reasonabl y possible, the surface of the Eas ement Area
to its condition immediately prior to the commencement of the work related to
the Project.
5. Notices. Any notice, consent, or approval required or permitted to be given
under this Easement Agreement shall be in writing and shall be given by (i)
hand delivery, (ii) reliable next-business-day courier service that provides
confirmation of delivery, or (iii) United States registered or certified mail ,
postage prepaid, return receipt required , and addressed as follows ( or to such
other address as either party may from time to time specify in writing to the
other upon five (5) days prior written notice in the manner provided above):

6. City Responsibilities. City will be responsible for the installation, operation,
and maintenance of the street light. City agrees to indemnify, defend , and hold
harmless Owner from and against any and all liability, loss , damage, claims,
expenses and costs (including, without limitation, attorney fees and costs and
fees oflitigation) ( collectively, "Liability") of every nature which arises out of,
pertains to, or relates to the negligence, recklessness, or willful misconduct of
City in the performance of this Agreement, except such Liability caused by the
active negligence, sole negligence or willful misconduct of Owner.
7. Run with the Land. In the event Owner sells, conveys, or assigns any property
interest encumbered by the Agreement during the term of the Street Light
Easement, Owner shall notify the successor or assignee of the rights and
obligations of both parties as stated herein.
8. Exhibits. The Exhibits referenced in this Street Light Easement Agreement are
attached to and made a part of this Street Light Easement Agreement.
9. Counterparts. This Street Light Easement Agreement may be executed in
counterparts , each of which shall be an original , but all counterparts shall
constitute one instrument.
