PARTIES This Agreement is made and entered into as of _Ju_n_e_2~6~2_0_1_8 ____________ _ ("Effective Date") by and between the City of Cupe1tino, a municipal corporation ("City"), and Pacific Office Automation , 14747 NW Greenbrier Parkway , Beave1ton , OR 97006 , ("Contractor"), a corporation for a service and maintenance contract for 15 Multi-function printers throughout the city 2. SERVICES Contractor agrees to provide the services and perfo1m the tasks ("Services") set f01th in detail in Scope of Services, attached here and incorporated as Exhibit A. 3. TIME OF PERFORMANCE 3.1 This Agreement begins on the Effective Date and ends on June 25, 2019 ("Contract Time"), unless terminated earlier as provided herein. Contractor's Services shall begin on June 26, 2018 and shall be completed by June 25, 2019 . The city has the option of four (4) one-year extensions. 3.2 Schedule of Performance. Contractor must deliver the Services in accordance with the Schedule of Performance, attached and incorporated here Exhibit A. 3.3 Time is of the essence for the perfo1mance of all the Services. Contractor must have sufficient time, resources, and qualified staff to deliver the Services on time. 4. COMPENSATION 4.1 Maximum Compensation. City will pay Contractor for satisfactory perf01mance of the Services an amount that will based on actual costs but that will be capped so as not to exceed $25,000.00 ("Contract Price"), based upon the scope of services in Exhibit A and the budget and rates included · in Exhibit A, Compensation attached and incorporated here. The maximum compensation includes all expenses and reimbursements and will remain in place even if Contractor's actual costs exceed the capped amount. No extra work or payment is pe1mitted without prior written approval of City. 4.2 Invoices and Payments . Monthly invoices must state a description of the deliverable completed and the amount due for the preceding month. Within thi1ty (30) days of completion of Services, Contractor must submit a requisition for final and complete payment of costs and pending claims for City approval. Failure to timely submit a complete and accurate payment requisition relieves City of any fmther payment or other obligations under the Agreement. Contractor is an independent contractor and not an employee, paitner, or joint venture of City. Contractor is solely responsible for the means and methods of perfonning the Services and for the persons hired to work under this Agreement. Contractor is not entitled to health benefits, worker's compensation or other benefits from the City. 5.2 Contractor's Qualifications. Contractor warrants on behalf of itself and its subcontractors that they have the qualifications and skills to perf01m the Services in a competent and professional manner and according to the highest standards and best practices in the industry. 5.3 Permits and Licenses. Contractor wainnts on behalf of itself and its subcontractors that they are properly licensed, registered, and/or ce1tified to perfo1m the Services as required by law and have procured a City Business License. 5.4 Subcontractors. Only Contractor's employees are authorized to work under this Agreement. Prior written approval from City is required for any subcontractor, and the terms and conditions of this Agreement will apply to any approved subcontractor. 5.5 Tools, Materials and Equipment. Contractor will supply all tools, materials and equipment required to perfo1m the Services under this Agreement. 5.6 Payment of Taxes. Contractor must pay income taxes on the money earned under this Agreement. Upon City's request, Contractor will provide proof of payment and will indemnify City for violations pursuant to the indemnification provision of this Agreement. 6. PROPRIETARY/CONFIDENTIAL INFORMATION In performing this Agreement, Contractor may have access to private or confidential infmmation owned or controlled by the City, which may contain proprietary or confidential details the disclosure of which to third parties may be damaging to City. Contractor shall hold in confidence all City information provided by City to Contractor and use it only to perfonn this Agreement. Contractor shall exercise the same standard of care to protect City infonnation as a reasonably prndent contractor would use to protect its own proprietary data. 7. OWNERSIIlP OF MATERIALS 7.1 Property Rights. Any interest (including copyright interests) of Contractor in any product, memoranda, study, rep01i, map, plan, drawing, specification, data , record, document or other infmmation or work, in any medium ( collectively, "Work Product"), prepared by Contractor in connection with this Agreement will be the exclusive prope1ty of the City and shall not be shown to any third-paiiy without prior written approval of City. 7.2 Copyright. To the extent pe1mitted by Title 17 of U.S. Code, all Work Product arising out of this Agreement is considered "works for hire" and all copyiights to the Work Product will be the prope1iy of City. Alternatively, Contractor assigns to City all Work Product copy1ights. Contractor may use copies of the Work Product for promotion only with City's written approval. Contractor must pay royalties or license fees required for authorized use of any third paity intellectual prope11y, including but not limited to patented, trademarked , or copyrighted intellectual prope11y if incorporated into the Services or Work Product of this Agreement. 7.4 Re-Use of Work Product. Unless prohibited by law and without waiving any rights , City may use or modify the Work Product of Contractor or its sub-contractors prepared or created under this Agreement , to execute or implement any of the following : (a) The original Services for which Contractor was hired; (b) Completion of the original Se1vices by others; ( c) Subsequent additions to the original Se1vices ; and/ or (d) Other City projects. 7 .5 Deliverables and Format. Contractor must provide electronic and hard copies of the Work Product , on recycled paper and copied on both sides, except for one single-sided original. 8. RECORDS Contractor must maintain complete and accurate accounting records relating to its performance in accordance with generally accepted accounting principles. The records must include detailed information of Contractor's performance, benchmarks and deliverables, which must be available to City for review and audit. The records and supp01ting documents must be kept separate from other records and must be maintained for four years from the date of City's final payment. 9. ASSIGNMENT Contractor shall not assign, sublease, hypothecate, or transfer this Agreement, or any interest therein, directly or indirectly, by operation of law or othe1wise, without prior written consent of City. Any attempt to do so will be null and void. Any changes related to the financial control or business nature of Contractor as a legal entity is considered an assignment of the Agreement and subject to City approval, which shall not be unreasonably withheld . Control means fifty percent (50%) or more of the voting power of the business entity . 10. PUBLICITY/ SIGNS Any publicity generated by Contractor for the project under this Agreement, during the te1m of this Agreement and for one year thereafter, will reference the City's contJibutions in making the project possible. The words "City of Cupe11ino" will be displayed in all pieces of publicity, including flyers , press releases , posters , brochures, public service announcements, inte1views and newspaper m1icles. No signs may be posted, exhibited or displayed on or about City prope11y , except signage required by law or this Contract, without prior written approval from the City. 11. INDEMNIFICATION 11.1 To the fullest extent allowed by law, and except for losses caused by the sole and active negligence or willful misconduct of City personnel, Contractor shall indemnify, defend and hold C i ty Projec t MFP Service and M aintenance Page 3 of 8 Profession al/Co nsu lt in g Co ntracts /Ve rs ion: May 22 , 201 8 hannless City, its City Council, boards and commissions , officers , officials , employees , agents , servants, volunteers and consultants ("lndemnitees"), tlu·ough legal counsel acceptable to City, from and against any and all liability, damages , claims, actions , causes of action, demands, charges, losses, costs and e x penses (including attorney fees , legal costs and expenses related to litigation and dispute resolution proceedings) of every nature, arising directly or indirectly from this Agreement or in any manner relating to any of the following : (a) Breach of contract, obligations, representations or waITanties; (b) Negligent or willful acts or omissions committed during perfo1mance of the Services; ( c) Personal injury, prope1ty damage , or economic loss resulting from the work or perfo1mance of Contractor or its subcontractors or sub-subcontractors; ( d) Unauthorized use or disclosure of City's confidential and prop1ietary lnfonnation; (e) Claim of infringement or violation of a U .S. patent or copyright, trade secret, trademark, or service mark or other proprietary or intellectual prope1ty 1ights of any third paity. 11.2 Contractor must pay the costs City incurs in enforcing this provision. Contractor must accept a tender of defense upon receiving notice from City of a third-paity claim, in accordance with California Public Contract Code Section 9201. At City's request, Contractor will assist City in the defense of a claim, dispute or lawsuit aiising out of this Agreement. 11.3 Contractor 's duties under this section are not limited to the Contract Price, workers' compensation payments , or the insurance or bond amounts required in the Agreement. Nothing in the Agreement shall be construed to give 1ise to an implied right of indemnity in favor of Contractor against City or any Indemnitee. 11.4. Contractor's payments may be deducted or offset to cover any money the City.lost due to a claim or counterclaim a1ising out of this Agreement, a purchase order, or other transaction . 12. INSURANCE Contractor shall comply with the Insurance Requirements, attached and incorporated here as Exhibit D, and must maintain the insurance for the duration of the Agreement, or longer as required by City. City will not execute the Agreement until City approves receipt of satisfactory ce1tificates of insurance and endorsements evidencing the type , amount, class of operations covered, and the effective and e xpiration dates of coverage. Failure to comply with this provision may result in City, at its sole discretion and without notice, purchasing insurance for Contractor and deducting the costs from Contractor 's compensation or terminating the Agreement. 13. COMPLIANCE WITH LAWS 13.1 General Laws. Contractor shall comply with all local , state and federal laws and regulations applicable to this Agreement. Contractor will promptly notify City of changes in the law or other conditions that may affect the Project or Contractor 's ability to perfo1m. Contractor is responsible for ve1ifying the employment auth01ization of employees perfo1ming the Services , as required by the Immigration Refonn and Control Act. Contractor shall comply with all labor laws applicable to this Agreement. If the Scope of Services includes a "public works" component, Contractor is required to comply with prevailing wage laws under Labor Code Section 1720 and other labor laws. 13.3 Discrimination Laws. Contractor shall not discriminate on the basis of race, religious creed, color, ancestry, national origin, ethnicity, handicap, disability, marital status, pregnancy, age, sex, gender, sexual orientation, gender identity, Acquired-Immune Deficiency Syndrome (AIDS) or any other protected classification. Contractor shall comply with all anti-discrimination laws, including Government Code Sections 12900 and 11135, and Labor Code Sections 1735, 1777 and 3077.5. Consistent with City policy prohibiting harassment and disc1imination, Contractor understands that harassment and discrimination directed toward a job applicant, an employee, a City employee, or any other person, by Contractor or its employees or sub-contractors will not be tolerated. 13.4 Conflicts of Interest. Contractor shall comply with all conflict of interest laws applicable to this Agreement and must avoid any conflict of interest. Contractor warrants that no public official, employee, or member of a City board or commission who might have been involved in the making of this Agreement, has or will receive a direct or indirect financial interest in this Agreement, in violation of Ca l ifornia Government Code Section 1090 et seq. Contractor may be required to file a conflict of interest fo1m if Contractor makes certain governmental decisions or serves in a staff capacity, as defined in Section 18700 of the California Code of Regulations. Contractor agrees to abide by the City's mies governing gifts to public officials and employees. 13.5 Remedies. Any violation of Section 13 constitutes a material breach and may result in City suspending payments, requiring reimbursements or terminating this Agreement. City reserves all other rights and remedies available under the law and this Agreement, including the right to seek indemnification under Section 11 of this Agreement. 14. PROJECT COORDINATION City Project Manager. The City assigns Benny Hsieh as the City's representative for all pmposes under this Agreement, with authority to oversee the progress and performance of the Scope of Services. City reserves the 1ight to substitute another Project manager at any time, and without prior notice to Contractor. Contractor Project Manager. Subject to City approval, Contractor assigns Patrick Kirk ______ as its single Representative for all pmposes under this Agreement, with authority to oversee the progress and performance of the Scope of Services. Contractor's Project manager is responsible for coordinating and scheduling the Services in accordance with the Scope of Services and the Schedule of Perf01mance. Contractor must regularly update the City's Project Manager about the progress with the work or any delays, as required under the Scope of Services. City written approval is required prior to substituting a new Representative . 15. ABANDONMENT OF PROJECT City may abandon or postpone the Project or parts therefor at any time . With City's pre-approval in writing, the time spent in closing out the Services will be compensated up to a maximum of ten percent (10%) of the total time expended to date in the perfo1mance of the Services. 16. TERMINATION City may te1minate this Agreement for cause or without cause at any time. Contractor will be paid for satisfactory Services rendered through the date of termination , but final payment will not be made until Contractor closes out the Services and delivers the Work Product. 17. GOVERNING LAW, VENUE AND DISPUTE RESOLUTION This Agreement is governed by the laws of the State of California. Any lawsuits filed related to this Agreement must be filed with the Superior Court for the County of Santa Clara, State of California. Contractor must comply with the claims filing requirements under the Government Code p1ior to filing a civil action in court. If a dispute mises, Contractor must continue to provide the Services pending resolution of the dispute. If the Parties elect arbitration, the arbitrator's award must be supp01ted by law and substantial evidence and include detailed written findings of law and fact. 18. ATTORNEY FEES If City initiates legal action, files a complaint or cross-complaint, or pursues arbitration, appeal, or other proceedings to enforce its rights or a judgment in connection with this Agreement, the prevailing party will be entitled to reasonable attorney fees and costs. 19. THIRD PARTY BENEFICIARIES There are no intended third patty beneficiaries of this Agreement. 20. WAIVER Neither acceptance of the Services nor payment thereof shall constitute a waiver of any contract provision. City's waiver of a breach shall not constitute waiver of another provision or breach. 21. ENTIRE AGREEMENT This Agreement represents the full and complete understanding of every kind or nature between the Parties, and supersedes any other agreement(s) and understanding(s), either oral or written, between the Parties . Any modification of this Agreement will be effective only if in writing and signed by each Patty 's auth01ized representative. No verbal agreement or implied covenant will be valid to amend or abridge this Agreement. If there is any inconsistency between the main Agreement and the attachments or exhibits thereto, the text of the main Agreement shall prevail. INSERTED PROVISIONS Each provision and clause required by law for this Agreement is deemed to be included and will be infen-ed herein. Either party may request an amendment to cure mistaken inse1tions or omissions of required provisions. The Paities will collaborate to implement this Section, as appropriate. 23. HEADINGS The headings in this Agreement are for convenience only, are not a pm1 of the Agreement and in no way affect, limit or amplify the te1ms or provisions of this Agreement. 24. SEVERABILITY/PARTIAL INVALIDITY If any te1m or provision of this Agreement, or their application to a pmticular situation, is found by the court to be void , invalid, illegal or unenforceable , such te1m or provision shall remain in force and effect to the extent allowed by such mling. All other te1ms and provisions of this Agreement or their application to specific situations shall remain in full force and effect. The Pmties agree to work in good faith to amend this Agreement to cmTy out its intent. 25. SURVIVAL All provisions which by their nature must continue after the Agreement expires or is te1minated, including the Indemnification, Ownership of Materials/Work Product, Records, Governing Law and Attorney Fees, shall smvive the Agreement and remain in full force and effect. 26. When disposing of equipment and recycling, hard drives are wiped, removed and/or sanitized to meet the strictest measures conform ing to DoD compliance standards and measures that are safe and deemed ethica l for the environment. Prior to removing the Hard Drive from any device, POA will transfer any emails and printing information from each device prior to replacing with a new unit. This will allow our team to simp lify the installation of t he new equipment ensuring a seamless and simple setup process . (4) Hard Drive Removal Plan Prior to removing equipment, Hard Drives can be either sanitized (wiped of data) or removed. When sanitized, the hard drive is overwr itten and secure ly wiped meeting DoD compliance for security standards . In the event that the City would pr efer to physical ly have POA remove the hard drives , we can remove the HDD and hand to a City official that would be designated to destroy the Hard Drive . Additionally , Sharp 's built-in End -of-Lease feature allows for the Hard Drive to be wiped at the end of said usage, in the event that it is traded -in or recycled . (5) Hardware Warranty Warranty on new equipment begins the moment t he equipment leaves our warehouse on its way to be delivered to you . As long as a Serv ice Level Agreement is active and in good standing your warranty continues and is a promise from POA that the equipment will be operational and in working order as it did when it first arrived the first day. If that isn 't avai lab le we can use the custome r na m e or p hone to locate them i n the database . 2 Once the correct machine is ve r ified by the customer/dispatc her, we also verify the location is correct, the cal ler's name and direct phone# wh ich is typed in the operator fie ld at that time. 3 Following the confi r mation of t he cal le r a se rvice call verifi cat ion code wi ll be given to the ind ividual p lacing the ca II. 4 The dispatcher will type a b r ief descript ion of the problem in the comment field and also put their initia ls i n that field to identi fy w ho too k the service call. 5 Most mach i nes are already ass i gned to the proper tech via the territ ories worked out by each team. If a tech is absent it is the dispatcher's resp onsib i lity to page the ca ll out to the back-up person. (9) Service response time. Pacific Office Automation guara ntees a 4-hour average field response for the City of Cupertino. Our company goal is to be within t w o (2 ) hours fro m the t ime your service call was placed . POA acknowledges and agrees that service calls rece ived afte r 3:00 PM must be assigned to the first service call the next day. On average our reports show t h at w e averaging a 2 .9 hour response time for a technician to arrive onsite . At any time, City of Cupertino can contact u s to prioritize a service tech ni cian to get a tech onsite ASAP i n the case ever needed . Additional ly, ou r technicians are dedicated to a territory bordered by zip codes, so your service team will always be in t he sa m e area you are at all times making sure that they have access to you a111d can respond to your needs with q uick n otice . (10) Number of technicians assigned to provide copier services Generally, the technic ians are t r ained on a varie t y of copiers but mainly focus on segment specific machines. For example one tec h nician will wo rk on 20-55 ppm machine whi le another wil l focus on 60 -100 ppm machines . This allows for the t echnic i an to be specia l ized in a specific segment and master those machines. Our Bay Area servici n g b r anch current ly has twenty five (25) technicians capable of handling and responding to service issues reported by City of Cupertino. POA is growing rapidly and consistently looki ng to increase our serv ice force . Th e av erage experi en c e and tenure at POA is 9.5 years. Of those 25 se rvicing tec h nicians, 12 are located in the surrou nd i ng a r eas of Cupert ino. As needed, POA will add expert tec h nicians to ens ure that a ll se rvice needs are met with the proper personnel. The City representative is to contact the City of Cupertino to inform them of the escalation . In addition, POA offers the following Service Esca lation Procedure . Th is procedure ex p lain s to the technical department the procedure to use when the ma c hine they are working on is not fi xed in a reasonable time or the same problem continues to occu r . 1. If the Technic i an is u na b le to resolve the prob lem within two hours or has wo r ked on the same machine twice for t he same prob lem , the Technician is required to contact the Service Manager. The Serv i ce Manager w il l evaluate t he situation, and if it cannot be resolved r ap i dly, a hotline to the manufacturer w ill b e o p ened i mmediately. 2 . The Service Manage r w i ll perform or confirm t hat all remedies the hotline suggests are accomplis hed as soon a s poss ible . If the hot line indicates parts are needed these parts will be installed . The r esu lts w i l l be fed back to the hot l ine for further diagno sing if the problem is not reso lved . 3 . The Technic ian will con t act the Serv ice Manage r and provide them with the hotline case number and customer cont a ct informat i on plus al l other pertinent i nformation regarding the situation . This will be placed o n t h e Serv ice Manager's da il y to do li st an d wi ll be followed until it is resolved . 4 . If the Technician fee ls th at t h e cop i er will be out of service for more than eight (8) bus i ness hours after the ca ll has been p laced or requires off-s ite service , a loaner copie r will be provided within eight (8) business h ours. 5 . The customer's mac hi nes w ill be bro ught into the shop and completely diagnosed, r epai r ed and tested prior to ret u m ing it to the customer. 6 . If a cop ie r con t inues to expe r ience the same symptoms, a permanent like o r better replacement machine wi ll be de liver e d to the custome r at no additiona l charge . (12) Guaranteed Copier Replacement POA guarantees cop ie r rep l ace m ent if the technician fa ils to fi x a reoccurring problem after ten (10) failed attempts . In addition , POA w ou l d recommend a quarter ly meeting with POA personnel and Ci t y of Cupertino personnel to discu ss and r ev i ew benchmarks of performance on installation , billing and any failures to meet the service level agreements . If there is a machine with reoccurring problems, we w i ll run a Service History Report t o o b ta in Res p onse Time per Ca ll , Service Call Detai ls, Part s Usage and Preventative Maintenance Deta il. W e will als o ha v e a certified technician report on the functiona lity of the machine. POA may also make a replacement su gge st ion based on a "3 and 30" report , in which a machine is reque sted service upon three (3) t ime s in t hirty (30) days . If it is determined that the machine is in need of rep lacement, POA will han dle al l pic k -ups and installs for no additional charge to City of Cupe rtin o . POA handles all service ob l i g ation s i n ternal ly which allows for quick and easy t u rnaround ti m es . INSURANCE POLICIES AND MINIMUMS REQUIRED I. Commercial General Liability (CGL) for bodily injury, property damage, personal injury liability for premises operations, products and completed operations, contractual liability, and personal and advertising injury with limits no less than $2,000,000 per occurrence (ISO Fonn CG 00 01). If a general aggregate limit applies, either the general aggregate limit shall app ly separately to this project/location (ISO Fonn CG 25 03 or 25 04) or it shall be twice the required occurrencelimit. a . It shall be a requirement that any available insurance proceeds broader than or in excess of the specified minimum insurance coverage requirements and/or limits shall be made available to the Additional Insured and shall be (i) the minimum coverage/limits specified in this agreement; or (ii) the broader coverage and maximum limits of coverage of any insurance policy, whichever is greater. b. Additional Insured coverage under Consultant's policy shall be "primary and non-contributory," will not seek contribution from City's insurance/self-insurance, and shall be at least as broad as ISO Form CG 20 01 (04/13). c. The limits of insurance required may be satisfied by a combination of primary and umbrella or excess insurance, provided each policy complies with the requirements set forth in this Contract. Any umbrella or excess insurance shall contain or be endorsed to contain a provision that such coverage shall also apply on a primary and non-contributory basis for the benefit of City before the City's own insurance or self-insurance shall be called upon to protect City as a named insured. 2. Automobile Liability: ISO CA 00 01 covering any auto (including owned, hired, and non-owned autos) with limits no less than $1,000,000 per accident for bodily injury and property damage. 3. Workers' Compensation: As required by the State of California, with Statutory Limits and Employer's Liability Insurance of no less than $1,000,000 per occurrence for bodily injury or disease. D Not required. Consultant has provided written verification of no employees. 4. Professional Liability for professional acts, errors and omissions, as appropriate to Consultant's profession, with limits no less than $2,000,000 per occurrence or $2,000,000 aggregate. If written on a claims made form: a. The Retroactive Date must be shown and must be before the Effective Date of the Contract. b. Insurance must be maintained for at least five (5) years after completion of the Services. c. If coverage is canceled or non-renewed, and not replaced with another claims-made policy form with a Retroactive Date prior to the Contract Effective Date, the Consultant must purchase "extended reporting" coverage for a minimum of five (5) years after completion of the Services. OTHER INSURANCE PROVISIONS The aforement ioned insurance shall be endorsed and have all the following conditions and provisions: Exh. D-Insurance Requirements for Design Professionals & Consultants Contracts Form Updated Feb. 2018 1 Additional Insured Status The City of Cupertino, its City Council, officers , officials, employees, agents, servants and volunteers ("Additional Insureds") are to be covered as additional insureds on Consultant's CGL policy. General Liability coverage can be provided in the fonn of an endorsement to Consultant's insurance (at least as broad as ISO Fonn CG 20 10 (11/ 85) or both CG 20 10 and CG 20 37 forms, if later editions are used). Primary Coverage Coverage afforded to City/Additional Insureds shall be primary insurance. Any insurance or self-insurance maintained by City, its officers, officials, employees, or volunteers shall be excess of Consultant's insurance and shall not contribute to it. Notice of Cancellation Each insurance policy shall state that coverage shall not be canceled or allowed to expire, except with written notice to City 30 days in advance or 10 days in advance if due to non-payment of premiums. Waiver of Subrogation Consultant waives any right to subrogation against City/ Additional Insureds for recovery of damages to the extent said losses are covered by the insurance policies required herein. Specifically, the Workers' Compensation policy shall be endorsed with a waiver of subrogation in favor of City for all work performed by Consultant, its employees, agents and subconsultants . This provision applies regardless of whether or not the City has received a waiver of subrogation endorsement from the insurer. Deductibles and Self-Insured Retentions Any deductible or self-insured retention must be declared to and approved by the City. At City's option, either: the insurer must reduce or eliminate the deductible or self-insured retentions as respects the City/ Additional Insureds; or Consultant must show proof of ability to pay losses and costs related investigations, claim administration and defense expenses. The policy shall provide, or be endorsed to provide, that the self-insured retention may be satisfied by either the insured or the City. Acceptability of Insurers Insurers must be licensed to do business in California with an AM. Best Rating of A-VII, or better. Verification of Coverage Consultant must furnish acceptable insurance certificates and mandatory endorsements ( or copies of the policies effecting the coverage required by this Contract), and a copy of the Declarations and Endorsement Page of the CGL policy listing all policy endorsements prior to commencement of the Contract. City retains the right to demand verification of compliance at any time duringthe Contract term. Subconsultants Consultant shall require and verify that all subconsultants maintain insurance that meet the requirements of this Contract, including naming the City as an additional insured on subconsultant's insurance policies. Higher Insurance Limits If Consultant maintains broader coverage and/or higher limits than the minimums shown above, City shall be entitled to coverage for the higher insurance limits maintained by Consultant. Adequacy of Coverage City reserves the right to modify these insurance requirements/coverage based on the nature of the risk, prior experience, insurer or other special circumstances, with not less than ninety (90) days prior written notice. We do not have to furnish these bonds. (4) All reasonable expenses incurred by the "insured" at our re quest, including the actual l oss of earnings up to $5 00 a day because of time off from work. V. FELLOW EMPLOYEE COVERAGE A. Exclusion 8.5. of SECTION II -LIABILITY COVERAGE does not apply. B. For the pu rpose of Fellow Employee Coverage only , Paragraph B.5. of BUSINESS AUTO COND ITIO NS is changed as follows: This Fellow Employee Coverage is excess over any other col lectible insurance . VI. PERSONAL PROPERTY OF OTHERS Exclusion 6. in SECTION II -LIABILITY COVERAGE for a covered "a uto " is amended to add: This exclc1sion does not apply to "property damage" or "covered pollution cost or expense" involving "personal property" of your "employees" or others while such property is carried by the covered "auto". The Limit of Insurance for this coverage is $5,000 per "acci dent". Payment under this coverage does not increase the Limit of Insuranc e. For the purpose of this section of this endorsement, "personal property" is defined as any property that is not used in the individual's trade or business or held for the production or collection of income. VII. ADDITIONAL TRANSPORTATION EXPENSE AND COST TO RECOVER STOLEN AUTO A. Paragraph A.4.a . of SECTION Ill -PHYSICAL DAMAGE COVERAGE is amended as follows: The amount we will pay is increased to $50 per day and to a maximum limit of $1 ,000 . B. Paragraph A.4.a . of SECTION 111-PHYSICAL DAMAGE COVERAGE is amended to add the following: If your business is shown in the Declarations as something other than an auto dealership, we will also pay up to $1,000 for reasonable and necessary costs incurred by you to return a stolen covered "auto" from the place where it is recovered to its usual garagi ng location . PHYSICAL DAMAGE DEDUCTIBLE • SINGLE DEDUCTIBLE Paragraph D. in SECTION Ill -PHYSICAL DAMAGE COVERAGE is deleted and replaced by the following : D. Deductible For each covered "auto", our obligation to pay for, repair, return or replace damaged or stolen property will be reduced by the applicable deductible shown in the Declarations. Any Comprehensive Coverage deductible shown in the Declarations does not app ly to "loss" caused by fire or lightning. When two or more covered "autos" sustain "loss" in the same collision , the total of all the "loss " for all the involved covered "autos" will be reduced by a single deductible , which will be the largest of all the deductibles applying to all such covered "autos". XI. PHYSICAL DAMAGE DEDUCTIBLE -GLASS Paragraph D. in SECTION Ill -PHYSICAL DAMAGE COVERAGE is amended to add : No deductible applies to "loss" to glass if you elect to patch or repair it rather than replace it. XII. PHYSICAL DAMAGE DEDUCTIBLE -VEHICLE TRACl<I NG SYSTEM Paragraph D. in SECTION Ill -PHYSICAL DAMAGE COVERAGE is amended to add: Any Comprehensive Coverage Deductible shown in the Declarations will be reduced by 50% for any "loss" caused by theft if the vehicle is equipped with a vehicle tracking device such as a radio tracking device or a global positioning device and that device was the method of recovery of the vehicle . XIII. DUTIES IN EVENT OF ACCIDENT, CLAIM, SUIT OR LOSS Subparagraphs A.2.a . and A.2 .b. of SECTION IV-BUSINESS AUTO CONDITIONS are changed to : a. In the event of "accident", claim, "suit" or "loss", your insurance manager or any other person you designate must notify us as soon as reasonably possible of such "accident", claim, "suit" or "loss". Additionally, you and any other involved "insured" must: (1) Assume no obligation, make no payment or incur no expense without our consent, except at the "insured's" own cost. (2) Immediately send us copies of any request, demand, order, notice , summons or legal paper received concerning the claim or "suit". (3) Cooperate with us in the investigation or settlement of the claim or defense against the "suit". (4) Authorize us to obtain medical records or other pertinent information. (5) Submit to examination, at our expense, by physicians of our choice, as often as we reasonably require . XIV . UNINTENTIONAL FAILURE TO DISCLOSE HAZARDS Paragraph 8 .2. in SECTION IV -BUSINESS AUTO CONDITIONS is amended to add the following: Any unintentional failure to disclose all exposures or hazards existing as of the effective date of the Business Auto Coverage Form or at any time du r ing the policy period will not invalidate or adversely affect the coverage for such exposure or hazard. However, you must report the undisclosed exposure or hazard to us as soon as reasonably possible after its discovery XV. WORLDWIDE LIABILITY COVERAGE-HIRED AND NONOWNED AUTOS Condition B.7. in SECTION IV -BUSINESS AUTO CONDITIONS is amended to include the following : For "accidents" resulting from the use or operation of covered "autos" you do not own, the coverage territory means all parts of the world subject to the following provisions: a. If claim is made or "suit" is brought against an "insured" outside of the United States of America, its territories and possessions, Puerto Rico and Canada, we shall have the right, but not the duty to investigate, negotiate, and settle or defend such claim or "suit". If we do not exercise that right. the "insured" shall have the duty to investigate , negotiate , and settle or defend the claim or "suit" and we will reimburse the "insured" for the expenses reasonably incurred in connection with the investigation, settlement or defense. Reimbursement will be paid in the currency of the United States of America at the rate of exchange prevailing on the date of reimbursement. The "insured" shall provide us with such information we shall reasonably request r egarding such claim or "suit" and its investigation, negotiation, and settlement or defense. Failure to comply with the auto insurance laws of other countries may result in fines or penalties. This insurance does not apply to such fines or penalties. XVI. HIRED AUTO PHYSICAL DAMAGE If no deductibles are shown in the Declarations for Physical Damage Coverage for Hired or Borrowed Autos, the following will apply: A. We will pay for "loss" under Comprehensive and Collision coverages to a covered "auto" of the private passenger type hired without an operator for use in your business: 1. The most we will pay for coverage afforded by this endorsement is the lesser of: a. The actual cost to repair or replace such covered "auto" with other property of like kind and quality ; or b. The actual cash value of such covered "a uto" at the time of the "loss". 2. An adjustment for depreciation and physical condition will be made in determining actual cash value in the event of a total "loss". 3. If a repair or replacement results in better than like kind or quality, we will not pay for the amount of the betterment. B. For each covered "auto", our obligation to pay for. repair. return or replace the covered "auto" will be reduced by any deductible shown in the Declarations that applies to private passenger "autos" that you own . If no applicable deductible is shown in the Declarations. the deductible will be $250. If the Declarations show other deductibles for Physical Damage Coverages for Hired or Borrowed Autos, this Section XVI of this endorsement does not apply . C. Paragraph A.4.b. of SECTION Ill -PHYSICAL DAMAGE COVERAGE is replaced by : b. Loss of Use Expenses For Hired Auto Physical Damage provided by this endorsement, we will pay expenses for which an "insured" becomes legally responsible to pay for loss of use of a private passenger vehicle rented or hired without a driver, under a written rental contract or agreement. We will pay for loss of use expenses caused by: (1) Other than collision only if the Declarations indicate that Comprehensive Coverage is provided for any covered "auto"; (2) Specified Causes of Loss only if the Declarations indicate that Specified Causes of Loss Coverage is provided for any covered "auto"; or (3) Collision only if the Declarations indicate that Collision Coverage is provided for any covered "auto". AUTO MEDICAL PAYMENTS COVERAGE -INCREASED LIMITS For any covered "loss", the Limit of Insurance for Auto Medical Payments will be double the limit shown in the Declarations if the "insured" was wearing a seat belt at the time of the "accident". This is the maximum amount we will pay for all covered medical expenses, regardless of the number of covered "autos", "insureds", premiums paid, claims made, or vehicles involved in the "accident". If no limit of insurance for Auto Medical Payments is shown on the Declarations, this paragraph Section XVII of this endorsement does not apply. · XVIII. DRIVE OTHER CAR COVERAGE -BROADENED COVERAGE FOR DESIGNATED INDIVIDUALS A. This endorsement amends only those coverages indicated with an "X" in the Drive Other Car section of the Schedule to this endorsement. B. SECTION II -LIABILITY COVERAGE is amended as follows: 1. Any "auto" you don't own, hire or borrow is a covered "auto" for Liability Coverage while being used by any individual named in the Drive Other Car section of the Schedule to this endorsement or by his or her spouse while a resident of the same household except: a. Any "auto" owned by that individual or by any member of his or her household; or b. Any "auto" used by that individual or his or her spouse while working in a business of selling , servicing , repairing or parking "autos". 2 . The following is added to Who Is An Insured: Any individual named in the Drive Other Car section of the Schedule to this endorsement and his or her spouse, while a resident of the same household, are "insureds" while using any covered "auto" described in Paragraph B.1 . of this endorsement. C. Auto Medical Payments, Uninsured Motorist, and Underinsured Motorist Coverages are amended as follows: The following is added to Who Is An Insured: Any individual named in the Drive Other Car section of the Schedule to this endorsement and his or her "family members" are "insured" while "occupying" or while a pedestrian when struck by any "auto" you don't own except: Any "auto" owned by that individual or by any "family member". X IX . RENTAL REIMBURSEMENT COVERAGE A. For any owned covered "auto" for which Collision and Comprehensive Coverages are provided , we will pay for rental reimbursement expenses incurred by you for the rental of an "auto" because of a covered physical damage "loss" to an owned covered "auto". Such payment applies in addition to the otherwise applicable amount of physical damage coverage you have on a covered "auto". No deductibles apply to this coverage. B. We will pay only for those expenses incurred during the policy period beginning 24 hours after the "loss" and ending with the earlier of the return or repair of the covered "auto", or the exhaustion of the coverage limit. C. Our payment is limited to the lesser of the following amounts: 1. Necessary and actual expenses incurred; or 2. $30 per day with a maximum of $900 in any one period. D. This coverage does not apply: 1. While there are spare or re serve "autos" available to you for your operations; or 2. If coverage is provided by another endorsement attached to this policy. E. If a covered "loss" results from the total theft of a covered "auto" of the private passenger type, we will pay under this coverage only that amount of your rental reimbursement expenses which is not already provided for under Paragraph A.4. Coverage Extensions of SECTION Ill -PHYSICAL DAMAGE COVERAGE of the Business Auto Coverage Form or Section VII of this endorsement. XX . NOTICE OF CANCELLATION OR NONRENEWAL A. Paragraph A.2. of the COMMON POLICY CONDITIONS is changed to: 2. We may cancel or non-renew this policy by mailing written notice of cancellation or non-renewal to the Named Insured, and to any name(s) and address(es) shown in the Cancellation and Non-renewal Schedule: a. For reasons of non-payment, the greater of: (1) 10 days; or (2) The number of days specified in any other Cancellation Condition attached to this policy; or b. Limit of Insurance of SECTION 111-PHYSICAL DAMAGE COVERAGE: In the event of a total "loss" to a covered "auto " of the private passenger type shown in the schedule or declarations for which Collision and Comprehens ive Coverage apply, we will pay any unpaid amount due on the lease or loan for that covered "auto", less: 1. The amount paid under the PHYSICAL DAMAGE COVERAGE SECTION of the policy; and 2 . Any : a. Overdue lease/loan payments at the time of the "loss"; b . Financial penalties imposed under a lease for excessive use, abnorma l wear and tear or high mileage; c . Security deposits not return ed by the l essor; d. Costs for extended warranties, Credit Life Insurance, Health , Accident or Disability Insurance purchased with the loan or lease; and e. Carry-over balances from previous loans or leases. This coverage is limited to a maximum of $1500 for each covered "auto ". XXII. LIMITED MEXICO COVERAGE WARNING AUTO ACCIDENTS IN MEXICO ARE SUBJECT TO THE LAWS OF MEXICO ONLY -NOT THE LAWS OF THE UNITED STATES OF AMERICA. THE REPUBLIC OF MEXICO CONSIDERS ANY AUTO ACCIDENT A CRIMINAL OFFENSE AS WELLAS ACIVIL MATTER. IN SOME CASES THE COVERAGE PROVIDED UNDER THIS ENDORSEMENT MAY NOT BE RECOGNIZED BY THE MEXICAN AUTHORITIES AND WE MAY NOT BE ALLOWED TO IMPLEMENT THIS COVERAGE AT ALL IN MEXICO. YOU SHOULD CONSIDER PURCHASING AUTO COVERAGE FROM A LICENSED MEXICAN INSURANCE COMPANY BEFORE DRIVING INTO MEXICO.
