'Ibis Agreement is made and entered into between the COUNTY OF SANTA CL ARA, a political
subdivision of the State of California (hereinafter referred to as the 'County') and the CITY OF CUPERTINO
(bcxtinafter referred to as the 'CITY ')•
WHEREAS, the City of Cupertino is the owner of that certain property known as the McClellan Ranch
park, located within the City of Cupertino at =1 McClellan Road, the park currently zoned as existing public
open space; and
WHEREAS, the McClellan Ranch Park is considered an historic resource in view of the site's history,

that highlight the county': agricultural heritage and, as a protected nature preserve, provides the unique
opportunity to combine the historical with the environmental in its educational activities made available for the
benefit of the public; and
WHEREAS, the McClellan Ranch Park is listed on the County Heritage Resources inventory, includes
a tank house structure from the historical Parrish site in the City of Cupertino, at Stevens Creek Boulevard and
Mary Avenue, a registered point of local interest, and is in proximity to the site of the De Anza encampment
in Cupertino, which is listed as a CaMornia State Historical landmark; and
WHEREAS, the City has established a local commitment for the development of a master plan for the
park site in keeping with the City: Nature and Rural Preserve which will ultimately serve to expand community
awareness and understanding of natural history and the environment, and provide enjoyment of the resources
present consistent with their preservation; and
WHEREAS, the City, in cooperation with the McClellan Ranch Advisory Committee, submitted a
funding proposal to the County Historical Heritage Commission to provide funding for an historic structures
Assessment that would assist in efforts to preserve the historic nature of the McClellan Ranch Park by obtaining
a professional assessment of historic and architectural significance of the buildings on the site; and
WHEREAS, the County Historical Heritage Commission reviewed the merits of the project and
conveyed its recommendation to the Board of Supervisors to approve the expenditure of $15,000 from the Park
Charter Fund dedicated to historical preservation projects to assist the City with funding for the project; and
WHEREAS, the County desires to contribute funds from the County Historical Heritage Fund of the
Park Charter Funds 1992-93 budget necessary for an historic structures assessment;
NOW, THEREFORE, in consideration of the mutual promises, covenants and conditions herein, County
and City agree as follows:

Scope of Work
The following is a proposed Scope of Work for services in connection with the creation of a
Maste&Restoration and Use Plan for McClellan Ranch. It is subject to slight modification as the
team °:corks through the process.
This work will be performed by Archives & Architecture - Heritage Resource Services as
Historical Consultant and Mineweaser do Associates - Architecture/Engineering/Preservation
as Architect and Engineer. Judith Carson-Croes of the McClellan Ranch Advisory Committee
and Director of the Cupertino Historical Museum will serve as Project Coordinator.
We will perform a professional assessment of the existing historic structures on the property.
The scope of this assessment is currently limited to the historic buildings only, which are t e
Barn, Tank House, Milk House, and Nature Center. However, as part of a master planning
effort it could be expanded to include all buildings on the site.
The purpose of this report is to address the issues involved in the restoration and use of the
historical buildings on the property. A Master Restoration and Use Plan will be created by the
whole team. The report will consist of a historical element and an architectural element.
These elements will be blended together with recommendations for future use of the buildings,
cost estimates and technical appendices as specifically delineated in the items below. The
responsible team member is noted after each item.
1. Conduct background research and develop a historical context for the McClellan Ranch
in order to evaluate the complex within its social and economic setting.
2. Conduct building investigations, take site measurements and prepare "measured
drawings' consisting of architectural floor plans and elevations of each of the four structures.
This section of the report will include photographs of the present conditions.
3. Conduct site specific research to develop the chronology of the buildings to determine
dates of construction, additions, alterations and/or relocation. This research will also focus on
land use and individual and/or collective functions of the buildings, as well as biographical
data on those individuals or families who built and used the structures. Potential sources of
information will be county records kept by the offices of assessor, rer)rder, clerk, surveyor, and
public works; city records; historical records housed at the Cupertino Historical Museum,
California History Center, San Jose Historical Museum, Bancroft Library, etc.; and interviews
with local residents or family members.
4. Provide approximate dating of the buildings based on analysis of construction methods
and materials, and architectural style. Develop an architectural description placing the
buildings within their historical and architectural context.
5. Compile a bibliography of primary and secondary sources, names of individuals that
are potential sources for oral history, and repositories of collections of information discovered
in the course of historical research.
6. Provide a description of modifications that may have been made to the buildings over
the years. Include a chronology of construction and alterations.

l 7. Summarize all research findings to complete State Inventory (DPR 523) forms (or
specifically developed inventory forms) and to develop significance statements for each
building individually and as a potential historic district. Buildings will be evaluated for
significance according to the criteria of the National Register of Historic Places, as well as
appropriate local and state guidelines.
S. Make recommendations for potential uses for the buildings such as exhibit display,
collection storage, etc.
9. Prepare written summary of applicable codes based on the building uses proposed.
10. ' Prepare a Work Program of recommendations for future work necessary to stabilize the
building; to prevernt further deterioration and to restore the buildings. This review will cover
the exterior, the structure (including t1vt foundation, tree interior, die electrical system and any
/ heating systems present, as well as the site in the immediate area around the building with
regand to drainage, etc. These recommendations will be made us�' $the Secretary of the

11. After potential building uses have been delineated, make recomrendations regarding
the types of improvements that may be needed to either bring the buildings closer to current
code or to protect the building or its contents.
12. Produce approximate cost estimate for stabilization work and potential building
improvements according to our recommendations.
13 Prepare the historic element for the final document that wi71 include the historic
context, evaluations of historical significance of each building, completed inventory forms,
bibliography of sources, and recommendations for further study.
14. Prepare architectural element for the final document that will include measured
drawings, assessment of current condition of buildings, chronology of construction an
alterations, a discussion of applicable codes, a Work Program of recommendations and an
approximate estimate of construction costs.
15. Prepare final Master Restoration and Use Plan report consisting of numbers 1 through 14
from above. Appropriate photographs, graphics, and technical appendices will be included.
Historical Consultant will act as team leader, coordinating project activities, project schedule,
and overseeing and coordinating production of final Master Restoration and Use Plan.
Historical Consultant and Architect will be available for consultation with Museum Director,
city officials and other team members.
The Master Restoration and Use Plan will address period restoration issues, propose a
restoration plan and give some guidelines for historical interpretation of the structures. This
phase of the work is preliminary in nature and consists of a report only. Detailed construction
documents would be part of a later phase or phases. This report may also contain
recommendations for further areas of study if necessary, prior to the creation of construction
documents. The purpose of this phase is to provide a master plan for restoration and use.
We anticipate that this work will take three to four months to complete. Appropriate
milestones, amount of initial payment to allow commencement of work and other contract
details can be worked out upon notification of award of funds from the Heritage Commission.

This is Amendment No. 1 to that certain Agreement dated December 7, 1993 between the COUNTY
OF SANTA CLARA, a political subdivision of the State of California (hereinafter referred to as the "County'),
and the City of Cupertino (hereinafter referred to as the "City').
WHEREAS, the County and the City entered into an Agreement "Agreement For Historical Project,
City of Cupertino, McClellan Ranch Park Historic Structures Assessment" (hereinafter referred to as the
"Agreement"), attached hereto as Attachment A incorporated as though set forth in its entirety, which provides
County funding of $15,000 to the City to obtain an assessment of the historic and architectural significance of
the McClellan Ranch Park buildings; and
WHEREAS, the Historical Heritage Commission took action during their April 13, 1995 meeting to
recommend the Board of Supervisors extend the term of the Agreement.
NOW, THEREFORE, in consideration of the mutual promises, covenants and conditions herein, County
and the Association agree to amend Section VI. of the Agreement as follows:
This Amendment shall become operative upon its execution by the parties and shall remain operative with the
City until June 8, 1995 or until completion of the project and payment by the County, whichever occurs first.
The obligation to provide public access to the project to all citizens of the County on an equal basis shall be
operative in perpetuity. Funds contributed by the County which are not expended by June 8, 1995 shall revert
to the County for reprogramming.
WHEREFORE, the parties by their duly authorized representative have entered into this Amendment No. 1 on
