SEVEN SPRINGS RANCH DEVELOPMENT
TRAFFIC ANALYSIS
THIS AGREEMENT, entered into this 14th day of May
1980, by and between the CITY OF CUPERTINO, herinafter called "CITY", and George
S. Nolte and Associates, a California corporation, herinafter called the "consultant"
WITNESSETH:
WHEREAS, the City desires an in-depth analysis of traffic that will be
generated by the Seven Springs Ranch Development to be used in conjunction with
an environmental impact report; and
WHEREAS, such traffic analysis requires specialized expertise in traffic
engineering; and
WHEREAS, the City desires the provision of specialized traffic engineering
services; and
WHEREAS, the Consultant is qualified, experienced and has facilities to
provide the required traffic analysis and reports;
NOW, THEREFORE, City and Consultant agree as follows:
I. EMPLOYMENT OF CONSULTANT
The City hereby agrees to engage the Consultant to perform the technical
and professional services as herinafter set forth.
II. SCOPE OF SERVICES AND PRODUCTS
A. The Consultant will provide those services and products described in
Exhibit "A" attached.
B. The Consultant will furnish an interim submittal of traffic forecasts
no later than nine weeks from the date of execution of this agreement by the
City and the Consultant; submit a draft final report no later than twelve weeks
from that date; and submit a corrected final report no later than 10 days after
receipt of the City's review comments.

C. The Consultant will review the records of the City's,Traffic Engineer
to determine the extent of available information that is applicable to the
traffic analysis. The Consultant shall provide additional information as
required to perform the services described in exhibit A.
III. SERVICES PROVIDED BY THE CITY
In cooperation with the Consultant, the City will obtain or otherwise provide
if requested:
A. Planning data, policy guidance and technical staff coordination and
review as required for timely completion of the project.
B. Turning movement counts; traffic volume counts; speed data; trip gener-
tion reports; traffic analysis reports, and any other data that is already on
file or to be accomplished by City staff for other City projects.
C. Other planning data, surveys, reports, or documents in City files applicable
to the conduct of the project.
D. Use of the City's "Atems 85" system and computer room for intersection
analysis work.
IV. COMPENSATION
It is agreed that the total cost to City including sales tax will be fourteen
thousand dollars ($14,000.00), and Consultant agrees to perform the services within
such cost. Any additional services provided by Consultant beyond those services
described above shall be billed separately, on a time and material basis based upon
Exhibit B, attached hereto. Additional services shall not be performed and Consultant
shall not be entitled to receive any compensation for additional services unless
prior written approval of such additional services has been given by City.
V. PROGRESS PAYMENTS
City shall pay Consultant for Services monthly based upon the proportion
of work completed as approved by the Traffic Engineer.
VI. CHANGES IN SCOPE OF PROJECT
If conditions necessitate a change in scope of work, such change shall be
cause for renegotiation of the contract for that portion of the project.

VII. RESPONSIBILITY OF CONSULT ,%-LNT
The Consultant is retained as a professional consultant to the City and
agrees to utilize his professional skill and 'best efforts in the performance of
the specified services.
VIII. DELAYS
In the event Consultant is delayed in the timely prosecution of technical
studies hereunder by City, its staff or employees, by other agencies, or is
delayed by an act of God, or through no fault on the part of the Consultant,
Consultant shall present to City a written request for an extension of time for
the performance of the project. :approval of such extension of time by City shall
not be unreasonably withheld and such additional time as City approves shall be
added to the time for completion.
IX. CONSULT. -I S INEcPF`DFNT CONTI. CTOR
It is e.tpressly agreed chat in the performance of the services necessary for
the performance of this agree enc, the Consultant shall be, and is, an indepandent
contractor. The Consultant has and shall retain -.1-le rent to exercise Lull
control and supervision of the services and full controL over the ezployment,
direction, compensation and discharge of all persons assisting him in the per-
formance of his services hereunder. The Consultant shall be solely responsible
for all matters relating to the pavment of his employees, including compliance
with social security, withholding and all other regulations governing such
matters, and shall be solely responsible for his own acts and those of his sub-
ordinates and employees
X. NON -ASSIGNMENT OF AGREEMENT
This agreement shall not be assigned, sublet or transferred by the Consultant
in whole, or in part, without the written consent of the City.
XI. OWNERSHIP OF DOCL-MENTS
The City shall become owner of all data, reports and drawings, plans or
other material collected pursuant to this agreement.

VII. INTEREST OF PUBLIC OFFICIALS
No member, officer or employee of City or of a local public body during
his tenure or for one year thereafter shall have an interest, direct or indirect,
in this agreement or the proceeds thereof.
IN WITNESS WHEREOF, the City, through its duly authorized representative, and
the Consultant have affixed their hands the day and year first above written.

EXHIBIT A
METHODOLOGY
We have directed our methodology to focus on both the mitigation of
near-term traffic impacts resulting from Seven Springs Ranch, and
the solution to future problems arising from "outside" traffic
growth to which Seven Springs Ranch will necessarily contribute.
To provide Cupertino with a working tool for achieving these
solutions, we propose to investigate near-term and long-term
traffic conditions associated with several different street
and highway configurations. Circulation improvements, both on-
site and off-site, will be recommended for each scenario.
I. Obtain Data
A. Review trip generation data available from City
and other agencies for comparable developments, such
as De Anza Oaks.
B. Obtain 24-hour machine counts on Prospect, Waterford,
Rainbow, Bollinger, McClellan, Stelling, De Anza and
other streets as necessary to supplement recent City
counts on Bubb. The counts will serve two purposes:
1. to provide a base for the traffic forecasting
and improvement planning functions described in
Tasks II and III; and
2. to provide a base for subsequent air quality and
noise impact assessments to be performed by others.
Note: Screenline boundaries will be established in
consultation with City staff and specialists
in air quality and noise impacts.
C. Obtain AM and PM peak -hour manual counts at Prospect/
Stelling and Rainbow/Bubb to supplement recent City
counts at Prospect/Saratoga-Sunnyvale, Rainbow/Saratoga-
Sunnyvale, Rainbow/Stelling, McClellan/Stelling and
McClellan/Bubb.
D. Obtain readings of saturation flow volumes at two
high-volume intersections in the vicinity of the
study area. The data will be used to refine the
values used in the City's worksheets for Service
Level calculations.

E. Research committed and potential developments in
nearby areas:
1. Western Hills area of Saratoga, including
Parker Ranch;
2. hillside developments on Cupertino streets
tributary to critical intersections;
3. commercial/residential development at the south-
east corner of Prospect/Saratoga-Sunnyvale; and
4. Fremont Older Open Space Preserve.
II Determine Near-term and Long-term Traffic Impacts
A. Estimate daily and peak -hour trip generation of Seven
Springs Ranch and other nearby developments. Assign
generated trips to appropriate streets. Assignments
of generated traffic, as well as diversions of
existing traffic, will be based on three alternative
highway configurations for Highway 85:
1. roadway constructed with interchanges at
Stevens Creek Blvd. and at Saratoga -Sunnyvale
Road;
2. roadway constructed with additional at -grade
intersections at McClellan Road and at Stelling
Road;
3. no extension of Route 85.
The assignments will also reflect other planned street
improvements such as the Bollinger extension to
Stelling, the Rainbow extension from Weyburn to
Saratoga -Sunnyvale Road, and the connection between
Mt. Eden Road and Parker Ranch Drive in Saratoga.
Where the probability of implementation is question-
able, assignments will be made with and without the
particular improvement in the network.
1990 data produced by the Santa Clara County traffic
forecasting model, as refined by the City staff, will

be reviewed and adjusted as necessary to serve
as our base for 1990 forecasts of non -project -
generated traffic.
B. Utilize City procedures, as modified by the findings
of Task I -D, to calculate Service Levels for;
1. existing or base (1990) traffic
2. existing/base traffic plus traffic generated
by "other" developments in the study area; and
3. existing/base traffic plus "other" traffic
plus Seven Springs Ranch traffic.
Several sets of Service Level calculations will be
made to reflect the three alternative configurations
for Route 85, to reflect alternative configurations for other
roadways, and to reflect both near-term and 1990 traf-
fic conditions.
C. Identify anticipated near-term and long-term
deficiencies for autos, pedestrians and bicycles.
Recommend Mitigating Measures
A. Develop recommendations, including functional design
sketches, for street and intersection improvements
(on-site and off-site) required to mitigate near-term
and long-term traffic impacts and to provide satis-
factory access and internal circulation. Improvements
may include new and widened roadways (public and
private), signals, channelization, changes in lane
configuration, private grade crossing and ped/bike
facilities.
B. Investigate the feasibility of modifying the existing
and planned configuration of the circulation system
(off-site as well as on-site) as a possible means to
reduce through trips by commute traffic on the
Stelling-Rainbow-Bubb route.

C. Recalculate Service Levels to show the mitigating
effect of recommended improvements.
D. Present findings and recommendations in a report
format satisfactory to the City. Recommended im-
provements will be described in sufficient detail
to be usable as conditions of approval in the event
the Seven Springs Ranch project is subsequently
approved.
E. If requested, appear at three (3) public meetings to present
findings and answer questions.

Wage Price guidelines and are subject to revision semi-annually.
