COMPENSATION For the full performance of this Agreement, CITY shall pay CONTRACTOR:

GENERAL TERMS AND CONDITIONS
Hold Harmless. Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and
all damage and liability of every nature, including all costs of defending any claim, caused by or arising out of the per-
formance of this agreement. City shall not be liable for acts of Contractor in performing services described herein.
Insurance. Should the City require evidence of insurability Contractor shall file with City a Certificate of Insurance
before commencing any services under this agreement. Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non -Discrimination. No discrimination shall be made in the employment of persons under this agreement because of
the race, color, national origin, ancestry, religion or sex of such person.
Interest of Contractor. It is understood and agreed that this agreement is not a contract of employment in the sense
that the relation of master and servant exists between City and undersigned. At all times Contractor shall be deemed to
be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in
executing this agreement. Contractor certifies that no one who has or will have any financial interest under this
agreement is an officer or employee of City.
Changes. This agreement shall not be assigned or transferred without the written consent of the City. No changes or
variations of any kind are authorized without the written consent of the City.

Subject: Stevens Creek Boulevard Improvements Fee Proposal
Dear Travice:
MPA Design is very pleased to submit this fee proposal for
landscape architectural services for the City of Cupertino,
Stevens Creek Boulevard Improvements. After meeting with you and
visiting the site, we are familiar with the extreme sloping
condition and requirement for screening the adjacent properties.
The success of this project will depend in large part on the use
of deep rooting plant materials installed to hold the 1:1 slopes
and sparing but effective use of irrgation to deep root water the
planting without causing earth sliding. The steep earth cuts will
require rounding at edges of cut to blend naturally with adjacent
properties.
At this time we estimate construction costs to be as follows:
22,500 S.F. x $2.80 = $63,000
Probable 20% increase for
working on steep slopes +12,600
Estimate of Construction Costs $75,600
Based on this, I have outlined the major components to be reviewed
as part of the design.
A. Stevens Creek Improvements Goals:
1. To create an attractive landscape experience which
compliments and blends with existing Stevens Creek
Boulevard landscaping and the natural Stevens Creek
plant community.

2. To provide a low maintenance and low water consumption
landscape.
3. Aid in slope stabilization through use of deep rooted
plant materials.
4. Maintain safe open views at intersections for crossing
traffic.
B. Design Parameters
The existing plantings at Stevens Creek Boulevard, at Stevens
Creek and at adjacent properties require study in order to
achieve a logical planting plan which blends these existing
plant communities. Also, the soils engineer's reports
require review to determine planting compatibility, and to
verify potential need for amended import topsoil. The
following is an initial list of design parameters:
1. Provide landscaping each side of Stevens Creek Boulevard
from west of Carmen Road to west of Pharlap Drive.
2. Use drought tolerant trees, shrubs, and groundcovers
which are compatible with native vegetation and aid in
slope stabilization, and which require little or no
irrigation two to four years after planting.
3. Provide 100% coverage using automatic spray or bubbler
type irrigation system (no spaghetti tube drip
irrigation).
4. Provide landscape planting to screen Stevens Creek
Boulevard from adjacent properties.
5. Provide flowering plantings which add visual interest in
addition to slope holding requirement.
Scope of Work
Our research of the project materials and subsequent preparation
of this proposal suggests the following major areas of work:
1. Coordination of earthwork grading with H.M.H. Inc.,
Civil Engineers.
2. Review of existing landscape conditions at properties
adjacent to the project, for coordination with landscape
design.
3. Prepare base maps (check dimensions in field).

4. Attend one meeting with community group to present
schematic drawings.
5. Landscape architectural services including: alopsoil
irrigation, erosion control, and planting.
Items not included in scope of work:
Sidewalks, rough grading, lighting, street signage, surveys, soil
testing, removal of existing vegetation.
SERVICES
MPA Design includes the following services in this proposal:
I. Schematic Design
A. Based on established program and order of magnitude
construction budget, prepare a schematic plan showing
general plant areas and tree masses. (Includes
preparing base maps).
B. Attend one meeting with community group to review
schematic plans.
C. Estimate of probable construction cost.
II. Design Development
A. Based on approved schematic drawings and construction
budget, prepare design development drawings showing:
1. Plant material types, sizes and locations.
2. Erosion control
3. Conceptual landscape grading (only if different
from civil drawings).
B. Prepare estimate of probable construction cost.
III. Contract Documents
A. Based on approved design development drawings and
construction budget, prepare construction drawings and
specifications.

Our proposed fee for landscape architectural services for
Schematic, Design Development, and Contract Documents will be:

Construction Consultation will be figured on a time and materials
basis at time of construction.
Direct costs such as printing, reproduction, freight, delivery
charges, transportation, and long distance calls will be
reimbursed at cost plus loo above the lump sum fee.

RESOLUTION NO. 6845
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CUPERTINO
AUTHORIZING EXECUTION OF AGREEMENT WITH MPA DESIGN
PROVIDING FOR LANDSCAPE ARCHITECTURAL SERVICES FOR
THE STEVENS CREEK BOULEVARD PROJECT
WHEREAS, the City desires to engage the services of a landscape architect
to design and prepare the plans and specifications for the Stevens Creek Improve-
ment project; and
WHEREAS, the firm of MPA Design is qualified and willing to provide the
necessary services; and
WHEREAS, an agreement between the City of Cupertino and MPA Design outlining
the terms and conditions of the required services, has been presented to the City
Council; and said agreement having been approved by the Director of Public Works
and the City Attorney;
NOW, THEREFORE, BE IT RESOLVED that the Mayor and the City Clerk are hereby
authorized to execute the agreement herein referred to in behalf of the City of
Cupertino.
