This agreement made and entered into this -:,:;-i L day of tl" ntw
1986, by and between the City of Cupertino, a municipal corporation of the
State of California (hereafter referred to as "City"), and Mardesich
Company, a Partnership (hereafter referred to as "Mardesich").
WITNESSETH
WHEREAS, the City is widening De Anza Boulevard from Stevens Creek
Boulevard to Bollinger Road, and Stevens Creek Boulevard from De Anza
Boulevard to Bandley Drive; and
WHEREAS, Mardesich is the owner of real property more particularly
described as A.P.N. 359-08-010 and 359-08-011, as shown on the attached
Exhibit "A", a portion of which must be acquired for street right-of-way
and public utility easements.
NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS:
MARDESICH AGREES:
1. To execute a grant deed to the City for the street right-of-way as
shown on Exhibit "B" attached.
2. To execute a public utility easement as shown on Exhibit "C"
attached.
3. To grant a temporary right -of -entry to the City as shown on
Exhibit "D" attached.
CITY AGREES:
1. To pay Mardesich THIRTY THOUSAND THREE HUNDRED FIFTEEN AND N0/100
DOLLARS ($30,315.00) for the street right-of-way as shown on
Exhibit "B" attached.
2. To pay Mardesich ELEVEN THOUSAND EIGHT HUNDRED FORTY THREE AND
00/100 DOLLARS ($11,843.00) for the public utility easements shown
on Exhibit "C" attached.
3. To save, keep, and hold harmless Mardesich from all damages,
costs, or expenses, in law or in equity, that may at the time
arise or be set up because of personal injury or damage to
property sustained by any person or persons by reason of or in the
course of the performance of said work, or by reason of any
infringement or alleged infringement of the patent rights of any
person or persons, firm or corporation in consequence of the use
in, on, or about said work, of any article or material supplied or
installed under this agreement. Not withstanding the above, City
shall, wherever it is necessary, keep and maintain at its sole
cost and expense during the course of the operations under this
agreement, such warnings, signs, and barriers as may be required
to protect the public. The provisions of the preceding sentence
shall not impose any liability upon Mardesich and are for the
express benefit of the general public.
4. To repair or replace all improvements on Mardesich's property
affected by the street widening project and to modify existing
improvements to conform to the new improvements at no cost.
5. That the public utility easement is to be used for installation
and repair of electroliers, street signs, water meters, fire
hydrants, utility vaults, and other types of street furniture
which cannot be placed within the sidewalk. The easement is not
to be used for underground utility lines running parallel to the
street or for pavement, sidewalk, or similar improvements for the
public street.

6. Mardesich has the right to use the area of his property contiguous
to the public utility easement for buildings, parking lots,
landscaping or any other lawful purpose, and any area used for
buildings from time to time shall be excluded from the contiguous
easement granted.
7. Use of property contiguous to the public utility easement shall be
only for the time periods and land areas reasonably necessary.
8. Mandesich will not at any time be considered non -conforming or
deficient in meeting any City requirements because of the street
widening project.
9. In the event new landscaping is required in the future, Mardesich
will be given credit against said new requirements for all
landscaping existing prior to the street widening project.
There shall be no additional compensation other than as specified herein.

AUTHORIZING F)MCUITON OF XMEE 'T BETWEEN THE CITY AND
MARDESICH CCHPANY► A PARTNERSHIP, PROVIDING FOR THE ACQUISITION
OF REAL PROPERTY IN CONJUNCTION WITH THE DE ANZA BOULEVARD
STREET WIDENING PROJECT
WHEREAS, the City of Cupertino is widening DeAnza Boulevard from
Stevens Creek Boulevard to Bollinger Road, and Stevens Creek Boulevard
from DeAnza Boulevard to Bandley Drive; and
WHEREAS, Mardesich Company, a Partnership, is the owner of real
Property, a portion of which moust be acquired for street richt-of-way and
public utility easement; and
WHEREAS, there has been presented to the City Council a proposed
agreement between the City and Mardesich Company, providing for the
acquisition of the necessary property and the remuneration thereof, all as
more specifically outlined in the aforementioned agreement; and the
provisions of said agreement having been approved by the Director of
Public Works and the City Attorney;
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of
Cupertino hereby authorizes the Mayor and the City Clerk to execute the
aforementioned agreement on behalf of the City of Cupertino.
