BY THIS AGREEMENT made and entered into on the first day of September 1989
by and between the CITY OF CUPERTINO (Hereinafter referred to as CITY) and

TERMS The services and/or materials furnished under this Agreement shall commence on 7/1/89
and shall be completed before 3/31/90
COMPENSATION For the full performance of this Agreement, CITY shall pay CONTRACTOR: $13,500
GENERAL TERMS AND CONDITIONS
Hold Harmless. Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and
all damage and liability of every nature, including all costs of defending any claim, caused by or arising out of the per-
formance of this agreement. City shall not be liable for acts of Contractor in performing services described herein.
Insurance. Should the City require evidence of insurability Contractor shall file with City a Certificate of Insurance
before commencing any services under this agreement. Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non -Discrimination. No discrimination shall be made in the employment of persons under this agreement because of
the race, color, national origin, ancestry, religion or sex of such person.
Interest of Contractor. It is understood and agreed that this agreement is not a contract of employment in the sense
that the relation of master and servant exists between City and undersigned. At all times Contractor shall be deemed to
be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in
executing this agreement. Contractor certifies that no one who has or will have any financial interest under this
agreement is an officer or employee of City.
Changes. This agreement shall not be assigned or transferred without the written consent of the City. No changes or
variations of any kind are authorized without the written consent of the City.

Proposal for Interior Design Services
June 15, 1989
The Services described in this proposal encompass full interior design service
for the new Cupertino Community Center, except the historical museum and
offices other than Parks and Recreation, for which we will provide programming
and schematic design only. The project scope of services assumes a furniture
budget of $200,000.
Phase 1: Programming for the Entire Project
A. Image: Discussions will be held with the designated representatives you
specify to assist in determining the overall image you wish to project,
both to the public and to your own employees. This data will be used to
aid in the design effort.
B. Interview and Survey: The Steinberg Group (TSG) will meet with the
designated Cupertino Community Center representatives(s) to discuss the
operations and working procedures of the Community Center and to survey
the working activities and procedures within each component.
C. Furniture/Systems: TSG will coordinate any of your furniture standards
into the overall design. If required, under a separate agreement, TSG
will prepare furniture inventory forms and will undertake such an
inventory to determine which furniture items will be reused, refinished,
abandoned or new.
D. Review/Meeting: A meeting will be held to review the program and to
discuss any comments, which will then be incorporated into the final
program.
Phase 2: Schematic Design for the Entire Project
A. Space Plan: Based on the approved program, TSG will prepare detailed
space utilization layout of offices, workstations, lounges, meeting rooms
and other spaces indicating locations of furniture and equipment in all
areas.
B. Preliminary Furniture and Furnishings/Finish Materials and Colors:
1. TSG will make preliminary recommendations for major furniture items
such as desks, chairs, tables, etc., illustrated by photographs from
the various manufacturers and, in particular cases, by actual pieces
of furniture.

2. We will work with designated representatives of the City of Cupertino
to review and coordinate their recommendations for furniture in areas
such as the multi purpose room, offices, waiting areas, etc.
3. TSG will prepare a preliminary color palette with selections of major
items such as carpeting, millwork finishes, paint colors, window
coverings, etc., and fabrics/finishes for major new furniture items
such as desks, tables, chairs, etc. TSG will also prepare a color
palette for the toilet rooms and kitchens.
C. Graphics: TSG will provide preliminary recommendations for directional
and informational signage.
D. Preliminary Budget: A preliminary budget will be prepared for the space
plan and will include non -itemized costs for furniture and finishes.
E. Review Meeting/Design Presentation: Items A, B, and C will presented to
your designated representative(s) at an informal presentation in order to
determine that the design concept and image are agreeable to you for
further development and refinement in the next phase of work.
Incorporating your review comments, we will proceed to the next phase with
your approval.
F. Engineering Coordination: TSG will collect from you the mechanical,
electrical and audio visual requirements for all special equipment and
recommend a level of flexibility that should be provided for future
equipment. Requirements include catalog cuts and specification sheets for
copy machines, computers, computer equipment and all other such equipment
that you either currently own or plan to purchase in the near future. TSG
will then collate the data and forward this information to the electrical,
mechanical and audio visual consultants.
Design 3: Design Development for Specific Areas
A. Design: Based on the approved space study and preliminary budget, TSG
will prepare a detailed design scheme for the Project. The specific areas
covered in this proposal are: Multi-purpose room, Arts and Crafts
Roomslounges, hallways, pre-school, meeting rooms, Activity Room and
Recreation Department Offices.
1. A final space plan for the project will indicate the location of
furniture and equipment, final and detailed recommendations for
finishes for the project and other special area treatments and design
features.
2. Preparation of final furniture/systems, furnishings, and accessories
recommendation for all office, support and main public areas. Such
recommendations shall be illustrated by photographs and samples on
paste-up boards indicating standard and any non-standard furniture,

furnishings and accessories items and all materials and finishes for
furniture.
3. Final design recommendations for directional and information signage.
B. Design Budget: Together with the design presentation. TSG will prepare
an itemized furniture, furnishings and accessories budget. This budget
can then be used by you in determining quantities of furniture to be
purchased initially and/or to be planned into future budgets.
C. Review Meeting and Presentation: TSG will present the Design Development
design documents described above for review and comments by Cupertino
Community Center for final written approval.
Phase 4: Contract Documents for Public Areas
A. Drawings: After your written approval of the Design Development
Documents, TSG will prepare a complete set of drawings for the Project,
suitable for bidding to furniture dealers/installers.
1. Title Sheet/Master Legend.
2. Finish Schedule and Plan.
3. Furniture, Furnishings and Accessories Plan; Equipment Plan and
Schedule. Graphics and signage details and locations.
B. Specifications: A Project Manual will be prepared in conjunction with the
drawings. This will include furniture specifications as necessary to
complete the documentation for bidding/negotiating.
Phase 5: Pricing for Public Areas
A. Bidding/Negotiating: Based on the approved set of Contract Documents, TSG
will assist Cupertino Community Center in soliciting and evaluating bids
received from Furniture Dealers.
Phase 6: Installation Observation and Contract Administration for Public
Areas.
A. Installation Observation and Contract Administration: TSG will provide
installation observation at the site and general administration of the
Furniture Contracts. The Dealer will be responsible for compliance with
all codes and ordinances. TSG will review Dealer's requests for payment
for Cupertino Community Center.
B. Shop Drawings and Samples: Upon receiving submittals by the dealer TSG
shall review shop drawings and samples for conformance with the design
intent of the documents.

C. Punch Lists: TSG shall prepare a punch list for all furniture items
specified by us, noting observed deviations and defects.
Part II: Additional Services
The following services are available if required by you. Fees for each
particular service would be finalized by the execution of s separate
Authorization for Service. Fees would be on an hourly basis according to the
attached TSG hourly rate schedule, or a negotiated lump sum once a scope of
services is clearly defined.
A. Special Equipment: Addition of any built-in or specialized equipment,
such as projection screens, a movable stage, etc. and issuance of catalog
cuts and specifications as required.
B. Artwork: Coordination with client to determine artwork needs; inventory
of existing artwork, preliminary selection and presentation of specific
artist's work, style, etc.; final selection of specific pieces,
coordinating of framing and installation.
C. Landscape Planting: Consultation on plant and container types and
locations appropriate for the office plan and all coordination required to
assure a proper installation.
D. Extended Contract Administration: Providing contract administration and
construction supervision after the agreed upon project completion date has
been exceeded by more than sixty (60) days through no fault of The
Steinberg Group.
E. Engineering: Hiring of consultants as required to undertake design,
documentation and coordination of their services, be they electrical,
mechanical, structural, plumbing, engineering, etc.
F. Renderings: Preparation of interior perspectives with a wash of color to
illustrate the design.
G. Models and Mockups: Preparation of a scale model of a space. The
coordination of the installation of various furniture systems "mock-up"
work stations as requested by you to evaluate the functional, technical
and design aspects of the system(s) of several manufacturers.
H. Other Services: Providing other services not otherwise included in this
agreement nor customarily furnished as a part of Interior Design
Contracts; appearing as an expert witness in hearings, arbitration or
court proceedings; Furniture Purchase Management; furniture installation
supervision.

I. Revisions to the working drawings, color boards, furniture selection
graphics after prior approval by Owner and or meeting time associated
which such changes.
Compensation
All basic interior design services including programming, schematic design,
design development, construction documents, pricing and installation
observation services for a lump sum fee of $13,500 and invoiced according to
the following percentages:

Terms and Conditions
1. Consultant fees, such as engineers, are not included in our fee
estimates.
2. For revisions to previously approved work or for changes in the scope of
services, The Steinberg Group shall be paid hourly according to the then
current Rate Schedule.
3. We shall be reimbursed for all out-of-pocket expenses at 1.2 times actual
costs of such items as reproduction of drawings, specifications and other
materials, messenger services, consultants, typesetting, etc.
4. For additional services, The Steinberg Group's hourly rates are as set
forth below:

5. Clerical staff time for running and delivering blueprints and layouts,
copying, and other clerical work shall be billed at the then current TSG
Rate Schedule and shall be in addition to the established project
compensation.

6. Invoicing:
The Steinberg Group shall invoice its time and reimbursable expenses
monthly, and invoices will be due and payable within 30 days. There will
be an interest charge of 1.5% per month on invoices not timely paid.
Should the Owner fail to pay current invoices for more than sixty days,
the Architect may stop work on the project until payment is receive or
terminate the contract with the Owner.
7. It is understood that the relationship between the Steinberg Group and
the Cupertino Community center is that of Client employing the interior
Architect to render professional services. In dealing with the
contractors and suppliers, the Client shall be solely responsible for any
misfeasance and neglect or failure on the part of the contractors and
suppliers to perform their agreements.
8. All cost estimates furnished by The Steinberg Group will be made to the
best of The Steinberg Group and their consultants abilities at the time,
and should not be interpreted as a finite limit on the total project
cost.
9. This proposal constitutes our entire scope of agreement and may be
modified only in writing.
10. Ownership of Documents:
The drawings and specifications and other contract documents, as
instruments of service, are and shall remain the property of the
Architect, whether the project for which they are made is executed or
not.They shall not be used on other projects or as the basis for drawings
by others except by Architect's agreement in writing. City to be
furnished with a set of mylar reproducible drawings.
