These components would likely include an updated Land Use Diagram, updated Circulation Diagram, summary of development programming (e.g., number and composition of residential units, square feet of non- residential uses, building heights, etc.), and a summary of community benefits that would be provided by the developer. In order to achieve this development framework, MIG proposes the following tasks that allow for a robust, inclusive, and transparent community discussion process. Intentionally, this approach builds from the multiple years of community discussions, project design, and project analysis that has already been conducted by the City and Sand Hill Properties. The timing of this first phase would be from approximately January through April 2020. Task 1.1: Vallco Town Center Specific Plan Strategy Meeting To begin the project, MIG will meet with City staff and other consultant team members for a three-hour strategy meeting in Cupertino. This meeting will be an important opportunity to discuss the recent project process, including City Council, Sand Hill Property, and community group ideas and concerns. Based on this initial discussion, MIG staff will lead the team in a strategic discussion to further outline and refine the project approach, confirm the goals and desired outcomes for Phase 1, and discuss the composition and timing of the initial one-on-one interviews. MIG will provide a facilitator (Daniel) and graphic recorder (Dan) for this meeting. MIG will record group comments on a large wallgraphic recording. Following the meeting, MIG will provide a summary memo and image of the wallgraphic recording. It is anticipated that these meetings would take place concurrently over the course of two to three days at City Hall. These interviews will provide an important first step in the process to fully understand the concerns and desires of key decision makers on the future of the Vallco site. The initial invitation list should include:  City Council members  Planning Commissioners  Key City staff  Sand Hill Property representatives  Apple representatives  Community group representatives  Neighborhood association representatives  Others, as identified during the Strategy Meeting (Task 1.1) Some of these meeting would lend themselves to being organized as small groups (as opposed to all one-one-ones), and the final composition/schedule for these meetings will be determined with City staff during the strategy meeting. Both Daniel and Dan from MIG will attend these interviews. We may bring in other topical experts on MIG’s staff to support specific meetings, including Kate Joncas (MIG’s director or major development projects and the former Vice Mayor for Seattle). MIG will prepare a standardized interview questionnaire that will be used to compile comments and notes during the meetings. It is assumed that the meetings will be held at City Hall for convenience and the City staff will take the lead inviting participants and organizing schedules. Following the meetings, MIG will prepare an Interview Summary memo that coalesces the major points of agreement and key concerns from the various interviews. MIG will provide this summary to City staff. This may include a range of uses and densities that are acceptable for both the developer and the community, and other key project programming or community benefits that were discussed. The purpose of this summary is to identify the “range of possibilities” associated with development on the Vallco site. This summary will also be used to help organize the meeting materials for Task 1.5, to help the community narrow down the range of possibilities for the Vallco site. MIG will prepare the summary that can be posted online and printed/mailed by the City. The summary will include information on the current Specific Plan update process, including its goals, list of community events and opportunities for feedback, and overall schedule. MIG will provide a draft summary for City staff review and comments. MIG will then prepare a final summary that incorporates City staff comments. Deliverables  Draft Vallco Land Use and Development Program Summary (InDesign/PDF)  Final Vallco Land Use and Development Program Summary (InDesign/PDF) Task 1.4: Updated Visualizations to Convey Project Components MIG will prepare a 3D model of the entire Vallco site and develop a series of future scenarios within the model. This tool will allow City staff, stakeholders, and the community to more effectively visualize and evaluate the future Vallco site. This process will be conducted in the following stages:  Storyboarding: MIG will work backwards from the questions we want answers to and outline the collection of graphics that tell the complete story. Logistics such as graphic medium, size, proportion, and context are identified as well in the step to help everyone under the context in which these graphics will be viewed. Sketches, image collages, example graphics styles, and potential view locations will be assembled for review.  Draft Graphics: After a preliminary model has been created, selection begins via a live work-session (via net-meeting or in person) with City staff flying “virtually” around the model and comparing different views with attention on how the collection of views form a complete picture, discussing which views focus on which key elements, and how they all come together to tell the story.  Review and Revise: It is preferred that draft graphics be reviewed as part of an internal presentation or discussion, as the two-way dialog helps ensure understanding and leads to swifter revision cycles. This dialog also helps verbally City of Cupertino 4 Vallco Specific Plan Scope of Services February 18, 2020 bridge the gap between the content focused draft graphics and the eventual polished more emotive final graphics. However, a more traditional “off-line” red- line approach can be used if schedules or timing does not allow.  Final Graphics: After the content is in place and key narrative elements are achieving the goals of this effort, MIG will begin the polishing process. This graphic scale includes effects that emphasize areas of change and reinforce the narrative themes or elements, atmospheric effects to enhance the image and add depth to the landscape, and lighting effects to focus the viewer’s eye. Additional emotive elements (dramatic sky, bold lighting, or hue shifts) will be added to subtly reinforce the intended reaction of the viewer. The various graphics and scenes are anticipated to be refined concurrent with other tasks in the phase. This will allow MIG to refine the visualizations based on the collective team analysis prior to their presentation to the community. We will develop a strategy for the City to conduct targeted outreach to a long list of residents and stakeholders in order to garner strong community interest and workshop participation. The agenda for the meeting will be to discuss and refine the long-term vision for the Vallco site, and present a refined set of project objectives, vision and guiding principles, and emerging development program. Group exercises will allow participants to identify areas of consensus. MIG will provide one facilitator and one graphic recorder for this workshop. MIG staff will record comments on a large wallgraphic as a key tool to assist with meeting facilitation. Note: the estimated cost is for one community meeting, however, the final approach and number of meetings will be identified based on further discussions with City staff. The survey will be easy to understand, legible in an online format, and include an introductory piece that explains the process/questions. We will develop the survey likely in Survey Monkey which will allow MIG and the City to identify IP addresses and require only one survey to be completed per device (similar to the approach taken during the General Plan Update process). MIG will submit the survey to City staff for review and comments, and prepare a final version that reflects one round of staff comments/edits. Following execution of the survey, MIG will prepare a cumulative summary of community feedback gained from both the meetings and the on survey, summarized in a concise and easy to understand PowerPoint document. This framework can be considered like a new preferred project alternative. It is anticipated that the Preferred Project Framework will include the following components:  Introduction/Project Summary: A short history of the Vallco site, recent City Council decisions, and the purpose of this new refinement process. This will also include a detailed summary of community and developer desires and needs for the project. Including economic and fiscal analysis conducted by the economist on the project team.  Project Visualizations: The final version of all visualizations created to convey the new design and programming for the Vallco site.  Land Use Diagram and Development Programming Summary: Articulating the spatial arraignment of all land uses, their heights, and densities. The diagram will be paired with a table that succinctly summarizes this information. The diagram will be conceptual in nature and not include detailed CEQA analysis until Phase 2.  Mobility Diagram: Articulating future streetscape and mobility enhancements that would be included in the updated project. The diagram will be conceptual in nature and not include detailed traffic analysis until Phase 2. City of Cupertino 6 Vallco Specific Plan Scope of Services February 18, 2020  Community Benefits Program: Updated list of all community benefits that would be provided by Sand Hill Properties as part of this project.  Next Steps: Summary of the next steps in the process to update the Vallco Town Center Specific Plan, including anticipated schedule. MIG will present the Preferred Plan Framework as a highly visual and concise document that can be posted on the City’s website, emailed to the community, and printed/available at City Hall. It will be approximately 10-15 pages in length and include a range of maps, visualizations, graphics, and photos to fully convey the revised project envisioned for the Vallco site. MIG will submit a draft framework for City staff review, and prepare a final framework that reflects one round of staff comments/edits. This task accounts for MIG’s project management and coordination time (emails, bi-monthly conference calls, etc.) with City staff. These discussions will provide an opportunity to discuss draft materials, confirm engagement activities, and coordinate project tasks. Deliverables  Project Invoicing and Accounting (Email/PDF)  Meeting Summaries (Email) PHASE 2 VALLCO TOWN CENTER SEPECIFIC PLAN REVISIONS AND ENVIRONMENTAL CLEARANCE The scope and timing for the second phase of the project will depend on the level of changes necessary to the 2019 Vallco Town Center Specific Plan envisioned in the new Preferred Project Framework (Task 1.7). Specifically, how extensive the changes would need to be to the existing Specific Plan and Environmental Impact Report. MIG will work closely with City staff and the consultant team to frame an efficient process for updating the Specific Plan and conducting environmental analysis. Most likely, this second phase would take between six months and a year to complete, and the scope and budget will be discussed and confirmed with the City prior to MIG working on Phase 2. The attached budget includes a contingency amount for Phase 2 that will not be used by MIG without authorization from the City. D-Insurance Requirements for Design Professionals & Consultant Contracts 1 Form Updated Sept. 2019 Consultant shall procure prior to commencement of Services and maintain for the duration of the contract, at its own cost and expense, the following insurance policies and coverage with companies doing business in California and acceptable to City. INSURANCE POLICIES AND MINIMUMS REQUIRED 1. Commercial General Liability (CGL) for bodily injury, property damage, personal injury liability for premises operations, products and completed operations, contractual liability, and personal and advertising injury with limits no less than $2,000,000 per occurrence (ISO Form CG 00 01). If a general aggregate limit applies, either the general aggregate limit shall apply separately to this project/location (ISO Form CG 25 03 or 25 04) or it shall be twice the required occurrence limit. a. It shall be a requirement that any available insurance proceeds broader than or in excess of the specified minimum insurance coverage requirements and/or limits shall be made available to the Additional Insured and shall be (i) the minimum coverage/limits specified in this agreement; or (ii) the broader coverage and maximum limits of coverage of any insurance policy, whichever is greater. b. Additional Insured coverage under Consultant's policy shall be "primary and non-contributory," will not seek contribution from City’s insurance/self-insurance, and shall be at least as broad as ISO Form CG 20 01 (04/13). c. The limits of insurance required may be satisfied by a combination of primary and umbrella or excess insurance, provided each policy complies with the requirements set forth in this Contract. Any umbrella or excess insurance shall contain or be endorsed to contain a provision that such coverage shall also apply on a primary basis for the benefit of City before the City’s own insurance or self- insurance shall be called upon to protect City as a named insured. 2. Automobile Liability: ISO CA 00 01 covering any auto (including owned, hired, and non-owned autos) with limits no less than $1,000,000 per accident for bodily injury and property damage. 3. Workers’ Compensation: As required by the State of California, with Statutory Limits and Employer’s Liability Insurance of no less than $1,000,000 per occurrence for bodily injury or disease.  Not required. Consultant has provided written verification of no employees. 4. Professional Liability for professional acts, errors and omissions, as appropriate to Consultant’s profession, with limits no less than $2,000,000 per occurrence or $2,000,000 aggregate. Insurance must be maintained for at least five (5) years after completion of the Services. c. If coverage is canceled or non-renewed, and not replaced with another claims-made policy form with a Retroactive Date prior to the Contract Effective Date, the Consultant must purchase “extended reporting” coverage for a minimum of five (5) years after completion of the Services. General Liability coverage can be provided in the form of an endorsement to Consultant’s insurance (at least as broad as ISO Form CG 20 10 (11/ 85) or both CG 20 10 and CG 20 37 forms, if later editions are used). Primary Coverage Coverage afforded to City/Additional Insureds shall be primary insurance. Any insurance or self-insurance maintained by City, its officers, officials, employees, or volunteers shall be excess of Consultant’s insurance and shall not contribute to it. Notice of Cancellation Each insurance policy shall state that coverage shall not be canceled or allowed to expire, except with written notice to City 30 days in advance or 10 days in advance if due to non-payment of premiums. Waiver of Subrogation Consultant waives any right to subrogation against City/Additional Insureds for recovery of damages to the extent said losses are covered by the insurance policies required herein. Specifically, the Workers’ Compensation policy shall be endorsed with a waiver of subrogation in favor of City for all work performed by Consultant, its employees, agents and subconsultants. This provision applies regardless of whether or not the City has received a waiver of subrogation endorsement from the insurer. Deductibles and Self-Insured Retentions Any deductible or self-insured retention must be declared to and approved by the City. At City’s option, either: the insurer must reduce or eliminate the deductible or self-insured retentions as respects the City/Additional Insureds; or Consultant must show proof of ability to pay losses and costs related investigations, claim administration and defense expenses. The policy shall provide, or be endorsed to provide, that the self-insured retention may be satisfied by either the insured or the City. Acceptability of Insurers Insurers must be licensed to do business in California with an A.M. Best Rating of A-VII, or better. Verification of Coverage Consultant must furnish acceptable insurance certificates and mandatory endorsements (or copies of the policies effecting the coverage required by this Contract), and a copy of the Declarations and Endorsement Page of the CGL policy listing all policy endorsements prior to commencement of the Contract. City retains the right to demand verification of compliance at any time during the Contract term. Subconsultants Consultant shall require and verify that all subconsultants maintain insurance that meet the requirements of this Contract, including naming the City as an additional insured on subconsultant’s insurance policies. Higher Insurance Limits If Consultant maintains broader coverage and/or higher limits than the minimums shown above, City shall be entitled to coverage for the higher insurance limits maintained by Consultant. Adequacy of Coverage City reserves the right to modify these insurance requirements/coverage based on the nature of the risk, prior experience, insurer or other special circumstances, with not less than ninety (90) days prior written notice.
