THE UNDERSIGNED GRANTOR DECLARES:
This document is recorded at the request of and for the benefit of the City
of Cupertino, and therefore is exempt from the payment of a recording fee
pursuant to California Government Code §§ 6103 and 27383 and from
payment of documentary transfer tax pursuant to California Revenue and
Taxation Code § 11922.
I&G DIRECT REAL ESTATE 27, LP, a Delaware limited partnership ("Grantor"),
hereby grants to the CITY OF CUPERTINO, a California municipal corporation ("Grantee"),
in fee, that certain real property located in the City of Cupertino, County of Santa Clara,
California, described on Exhibit "A" and depicted on Exhibit "B," both attached hereto (the
"Property"), for public purposes including, but not limited to, a public sidewalk and public
facilities and improvements, including bus stops, together with the right to construct, repair,
operate, and maintain any and all public utilities and improvements in, on, under, along and
across the Property which shall be or become necessary for preservation of the public safety,
welfare or convenience.
SUBJECT T'O:
1, Taxes and Assessments. General and special real property taxes and
assessments, if any, for the 2014-2015 fiscal year, liens not yet due and payable.
2. Encumbrances. All covenants, conditions, restricfions, reservations, rights,
rights of way, easements and other matters of record or apparent.
3, Condition of Property. Except for representations made by Grantor in this
Grant Deed, the Grantor will convey the Property "AS IS," in the condition that the Property
exists as of the date hereof. Grantee acknowledges that except as provided in this Grant Deed,
Grantor has not made any representations or warranties concerning the condition of the Property
or its suitability for the uses provided herein, or any other use, and that Grantor shall have no
duty to inspect the Property and no duty to warn the Grantee or any other person of latent or
patent defects, conditions or risks, if any, relating to the Property.
