Smith Agreement Between The County of Santa Clara And The City of Cupertino For Imagery and LiDAR Data Acquisition Cost Sharing This Agreement is entered into by and between the County of Santa Clara (“County”), on behalf of Technology Services and Solutions (“TSS”), a County department, and the City of Cupertino (“Partner”) for purposes of establishing cost sharing responsibilities for imagery and LiDAR data acquisition. Partner acknowledges that County obtained the imagery and LiDAR data from a third-party (The Sanborn Map Company, Inc. - “Sanborn” or “Contractor”). Partner further acknowledges that County is passing through rights to all data deliverables, including imagery and LiDAR data and derivative products as stated in Exhibit B. The effective date of the Agreement is the later of June 10, 2020 or the date contract is fully executed by all parties. Deliverables: “Deliverables” means goods, services, software, hardware, information technology, telecommunications technology, enhancements, updates, new versions or releases, documentation, and any other items to be delivered pursuant to this Agreement, including any such items furnished incident to the provision of services. County shall provide Partner with Deliverables specified in Exhibits B and C. 2. Term and Termination: The Agreement term is set forth in the Key Provisions. Either party may cancel or terminate this Agreement for any reason whatsoever upon sixty (60) days’ notice. Notice of termination shall be in writing and sent pursuant to section 18 Notices. 3. Pricing: Pricing is set forth on Exhibit B of the Agreement. Partner may elect to purchase optional add-on services from third-party providers through County at any time through the term of the Agreement. The parties shall amend this Agreement to reflect the optional add-on services and additional fees. 4. Payment and Billing: Partner shall pay County within thirty (30) days of receipt of invoice from County. Partner and County shall make reasonable efforts to resolve all invoicing disputes within seven (7) days. 5. Ownership and License Grant: Except as provided for in this agreement, Partner acknowledges and agrees that the Deliverables and any derivatives are the sole property of County or third-party vendors and that Partner has no right, title, or interest to the Deliverables or any derivatives thereof. County grants to Partner a non-exclusive license to use the Deliverables for its business activities, which includes fulfilling its mission of providing services to the public. 6. Compliance With All Laws: Each party shall comply with all laws, codes, regulations, rules and orders applicable to the Deliverables. 7. Indemnification: Partner shall indemnify, defend, and hold harmless the County, its officers, agents and employees from any claim, liability, loss, injury or damage arising out of, or in connection with, performance of this Agreement by Partner and/or its agents, employees or sub-contractors, excepting only loss, injury or damage caused by the sole negligence or willful misconduct of personnel employed by the County. It is the intent of the parties to this Agreement to provide the broadest possible coverage for the County. Partner shall reimburse the County for all costs, attorneys’ fees, expenses and liabilities incurred with respect to any litigation in which Partner contests its obligation to indemnify, defend and/or hold harmless the County under this Agreement and does not prevail in that contest. 8. Limitation of Liability: In no event will either party be liable to the other party for any indirect, incidental, special, consequential, exemplary, or punitive damages, however caused, whether for breach of warranty, breach of contract, negligence, strict liability, tort or under any other legal theory. Each party’s liability to the other party for damages, regardless of the form of action, whether in 5 of 27 Agreement between County of Santa Clara and City of Cupertino – Imagery and LiDAR Project contract or in tort, shall be limited to the fees paid by Partner to County in the twelve (12) months prior to the claim. 9. Limited Warranty: County makes no representation or warranty to Partner other than what County can pass through from third-party providers to Partner. THIS LIMITED WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR USE. The warranty stated in the Limited Warranty section is the sole and the exclusive warranty offered by County. County makes no other warranties of any kind respecting the Deliverables, either express or implied, including but not limited to any warranty of design, quality, accuracy, data integrity, lack of viruses, bugs, worms, back doors, and Trojan horse computer programs, completeness, performance, of merchantability, or of fitness for a particular purpose, even if County has been informed of such purpose. No agent or employee of County is authorized to alter or exceed the warranty obligations of County as set forth herein. 10. Ambiguities: Any rule of construction to the effect that ambiguities are to be resolved against the drafting party does not apply in interpreting this Agreement. 11. Amendment: The terms and conditions of this Agreement may be amended only by written agreement signed by the authorized representatives of both parties. 12. Assignment: This Agreement may not be assigned by either party without the express, written consent of the other party. 13. Conflict of Interest: Each party shall comply with all applicable requirements governing avoidance of impermissible client conflicts; and federal, state and local conflict of interest laws and regulations including, without limitation, California Government Code section 1090 et seq., the California Political Reform Act (California Government Code section 87100 et seq.) and the regulations of the Fair Political Practices Commission concerning disclosure and disqualification (2 California Code of Regulations section 18700 et seq.). Failure to do so constitutes a material breach of this Agreement. 14. Contract Execution: Unless otherwise prohibited by law or County policy, the parties agree that an electronic copy of a signed contract, or an electronically signed contract, has the same force and legal effect as a contract executed with an original ink signature. The term “electronic copy of a signed contract” refers to a transmission by facsimile, electronic mail, or other electronic means of a copy of an original signed contract in a portable document format. The term “electronically signed contract” means a contract that is executed by applying an electronic signature using technology approved by the County. 15. Entire Agreement: This Agreement and its Exhibits constitute the final, complete and exclusive statement of the terms of the agreement between the parties. It incorporates and supersedes all the agreements, covenants and understandings between the parties concerning the subject matter hereof, and all such agreements, covenants and understandings have been merged into this Agreement. No prior or contemporaneous agreement or understanding, verbal or otherwise, of the parties or their agents shall be valid or enforceable unless embodied in this Agreement. 6 of 27 Agreement between County of Santa Clara and City of Cupertino – Imagery and LiDAR Project 16. Governing Law and Venue: This Agreement shall be construed and interpreted according to the laws of the State of California, excluding its conflict of law principles. Proper venue for legal actions shall be exclusively vested in state court in the County of Santa Clara. The parties agree that subject matter and personal jurisdiction are proper in state court in the County of Santa Clara and waive all venue objections. 17. No Third-Party Beneficiaries: This Agreement does not, and is not intended to, confer any rights or remedies upon any person or entity other than the parties. 18. Notices: All notices, requests, demands or other communications provided for or required by this Agreement shall be in writing and shall be deemed to have been given when sent by registered or certified mail, return receipt requested; when sent by overnight carrier; or upon email confirmation to sender of receipt of a facsimile communication which is followed by a mailed hard copy from sender. Each party may designate a different person and address by sending written notice to the other party, to be effective no sooner than ten (10) days after the date of the notice. Severability: Should any part of this Agreement be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect the validity of the remainder of the Agreement which shall continue in full force and effect, provided that such remainder can, absent the excised portion, be reasonably interpreted to give the effect to the intentions of the parties. 20. Survival: The following sections shall survive termination or expiration of this Agreement: Indemnification, Limitation of Liability, Governing Law and Venue. 21. Flight Plans Sanborn shall be responsible for applying for, and obtaining, any required permits for access, overflight, or intrusion into, restricted or otherwise limited ground access and/or airspace, which may be included within the requirement of this SOW. Prior to each flight, Sanborn shall prepare a digital flight plan showing the planned flight lines and the project areas to be covered. This flight plan shall be delivered to County in ESRI shapefile or feature class format. Due to the extent of the area and window of time available to collect the imagery meeting the specific criteria set forth herein, multiple airplanes may be used. 13 of 27 Agreement between County of Santa Clara and City of Cupertino – Imagery and LiDAR Project B. Ortho Imagery and Lidar Overlap All orthorectification related imagery acquisition will have a minimum of 30% (+/5%) side lap and 60% (+/5%) end lap. All imagery must be acquired with adequate overlapping coverage for orthorectification, so that building lean in Urban areas area minimized. Additional coverage must be captured over Urban core areas and mountain areas to ensure that no more than 25% of roadways features are obscured in Urban areas and valley bottoms are visible in the mountains. The County will delineate areas where tall buildings or other areas of concern are located. The LiDAR flight lines should have a minimum of 20% overlap. In no case, should there be a data gap between any 2 adjacent flight lines. C. Collection Window and Conditions Any data collection flights and any re-flights must be acquired according to Section 4 and Section 10. Imagery shall not be acquired when the ground is obscured by haze, snow, smoke, dust, floodwaters, or environmental factors that may obscure ground detail. There shall be less than 5% cloud cover and/or shadows in the imagery. The solar altitude during image collection flights should not be less than 30 degrees. A subset of the lidar AOI, will be collected approximately 90 minutes before or after low tide for approximately 74.5 square miles (193 tiles), see screenshot below. D. Re-flights Sanborn, at no additional cost to the County, shall re-fly and re-acquire aerial data that does not meet the required specifications. The orthoimagery re-flight shall overlap the accepted aerial imagery by at least two stereo models and must meet the criteria specified in the "Collection Window and Conditions" section. E. Ground Control Sanborn is responsible for developing ground control which is deemed necessary to perform the photogrammetric mapping in support of orthoimagery, oblique imagery and lidar products. The control survey shall be completed according to current industry best practices. The ground control must be set and maintained at the proper density and positional accuracy to support the 14 of 27 Agreement between County of Santa Clara and City of Cupertino – Imagery and LiDAR Project project's accuracy specifications that are outlined in this SOW. Sanborn will recover ground control from previous collections as much as possible. Any survey control that is developed for the project shall be provided to the County and must adhere to the following conditions:  Each ground control survey point shall be a well-defined horizontal and/or vertical point.  Horizontal and vertical accuracy for Sanborn-developed survey control will be reported to the County’s Project Manager.  All control points shall be either well-defined ground features or field targets.  All Ground Control Survey to be conducted by Sanborn and certified by the California Licensed Surveyor.  All survey to be delivered in California State Plane Zone lll North, NAD 83(2011/P411/M411) epoch 2010, NAVD88, US Survey Feet. F. Quality Control for Acquisition  All processes are controlled by Sanborn’s Quality Management System.  Mission flight logs are reviewed and archived  Flight plans and boundaries to be sent to Santa Clara County for approval.  All flight data to be QCed by the office QC team and the re-flights called within 24 hours  Footprint analysis to be conducted for each mission collection to ensure coverage/overlaps and compliance with the planned flight plans V. Production Execution Plan A. General Projection and Coordinate Systems: All data will be delivered in California State Plane Zone Ill North, NAD 83(2011/PA11/MA11) epoch 2010.00, NAVD88, US Survey Feet. B. Pilot Access Sanborn will work with the County to select pilot areas for the orthoimagery and lidar products. Sanborn is expected to provide deliverables, subject to all the specifications herein as applicable, and gain approval from the County for this work prior to moving forward with the processing of all the final products. C. Metadata Project-level FGDC-compliant metadata in XML format shall be provided. D. Photo Index The tiling index shapefile or feature class shall be attributed so that every tile has a name and a collection date and time stamp. E. Orthoimagery Execution Plan 1. Image Processing and Delivery Orthoimagery tiles in JPEG2000, TIFF. and MrSID formats shall be full tile (not clipped to boundary) and named according to a tile grid for the 3-inch and 6-inch resolution products. Orthoimagery tiles will be provided in two (2) sets of indexing and projection. 1) County’s tiling index and projected into NAD 83 (2011) State Plane California Zone 3. (The County will provide a tiling index to the Contractor that specifies geometries and attribution for the tiles.) 2) National Indexing Scheme and projected into Albers Equal Area projection 3. Tonal/Color Balancing Orthorectified imagery tiles should be tonally balanced prior to generation of an image mosaic. Adjacent images will be tone and contrast matched. Localized adjustments of brightness values will be done to reduce tonal differences between images. Brightness values should be an even gradation of color levels over the full range from 0 to 255 for optimal computer monitor/screen display. 4. Image File Formats Imagery based on the required tiling index must be delivered in the following formats.  GeoTIFF (no compression) with associated world file (.tfw) (4band)  JPEG2000 with separate but associated world file compressed at 10:1 (4band)  MrSID (Generation 4) with separate but associated SDW file compressed at 10:1 (4band) 16 of 27 Agreement between County of Santa Clara and City of Cupertino – Imagery and LiDAR Project Imagery tiles must be tested and read by the two most recent versions of ESRI ArcGIS (Desktop and Server), and Bentley Microstation software. 5. Digital Elevation Models Sanborn will use newly collected lidar data for the DEM. The DEM should support creation of imagery that meets the accuracy standards outlined in this SOW. The DEM used in the ortho-production shall be provided in IMG format. 6. Ortho Accuracy Sanborn will do the GPS-IMU assisted Aerial Triangulation of the Imagery in order to meet the 2 pixel RMSEx and RMSEy ortho accuracy  3-inch GSD 0.5-foot RMSEx and RMSEy Absolute (2 pixels)  6-inch GSD 1.0-foot RMSEx and RMSEy Absolute (2 pixels) 7. QAQC and Coordination with the Sanborn All data (imagery as well as all associated data products) will be subject to a rigorous review process against defined acceptance criteria. This process will verify the positional accuracy of the data, and ensure its aesthetic and functional quality. The County will conduct this quality control review via Sanborn’s GeoServe online platform and review of the final delivered products delivered on hard drive in accordance with the specifications set out in Acceptance Criteria. Ortho Acceptance Criteria In general terms, this Ortho Acceptance Criteria review will identify the following:  Products that do not meet the project's accuracy specifications.  Misalignments in linear features (roads/curbs/building edges etc.) resulting from poorly aligned mosaic portions. 17 of 27 Agreement between County of Santa Clara and City of Cupertino – Imagery and LiDAR Project  Warped bridges/overpasses/viaducts.  Obvious seams between images (in all file formats).  Blurred or out-of-focus imagery.  Stark changes in color balance and contrast.  Stark shadows or bright spots in the imagery.  Clouds or cloud shadow covering more than 5% of any image tile.  Buildings that obscure more than 25 percent of adjacent roadways  Obscured valley bottoms in the mountains. In addition, the Acceptance Criteria review process will examine all other data produced as part of the imagery production process. This will include the following:  Validating correct file formats and versions;  Reviewing all associated metadata records;  Reviewing DTM data including mass points and breaklines data, derivative DEMs, and other ground control source data; and  Reviewing all calibration and analytical reports produced by Sanborn. 9. Sanborn Production Quality Control  All processes are controlled by Sanborn’s Quality Management System  Image Processing Color balanced is approved from the department manager  AT results checked and approved by Certified Photogrammetrist  DEM suitability is checked and approved by Certified Photogrammetrist  Feedback from pilot review is incorporated in the data production  Data from subcontractor thoroughly reviewed by Sanborn team before delivery.  The delivery drive is checked by an independent quality control assigned person before it leaves the Sanborn office. Oblique Imagery Accuracy and Production The oblique imagery accuracy will be a horizontal RMSE of 2-pixel and vertical of 3-pixels. At for oblique imagery systems employs similar techniques of conventional AT; for example both include the use of ABGPS/IMU data and ground control points. However, conventional AT software was not designed to incorporate oblique imagery for tie point 18 of 27 Agreement between County of Santa Clara and City of Cupertino – Imagery and LiDAR Project generation or to handle the large amount of data collected with the system. There are two approaches Sanborn considers to ensure the highest accuracy possible for the nadir and oblique imagery:  Perform AT with the nadir image only and, using the results, compute the orientation of the oblique imagery thus assuring a singular orientation system; or,  Perform point matching on all nadir and oblique frames and utilize additional parameters; e.g. trajectory and timing information into a bundle block solution. This approach allows the identification and removal of errors associated with the individual cameras within the system and with the GPS trajectory. This method allows for tight quality control through all steps in the process, maximizing the resultant accuracy of all images in the block. With both solutions, AGPS/IMU and ground control are key elements in assessing the final accuracy of the imagery. Following completion of the data acquisition flight, a suite of image processing, GPS and inertial data processing, and quality control software is used to produce a set of five georeferenced images at each exposure station. The image database will be color balanced, and quality control inspections with be performed to ensure integrity of the data set. The completed oblique and nadir images will be uploaded into the Sanborn Oblique Analyst®. Viewer Capabilities The toolbar is available at the top left corner of the Oblique Analyst®. To view and access all 5 imagery angles, select the ‘Set Location’ and click on an area in the large imagery display. The view will center on the location where you clicked, and all 5 views will appear in the thumbnails. You can then select and zoom, pan, navigate and more, in any of the views. Choose ‘Set Location’ and select a new area, building or feature to continue to view multiple images as you navigate through the imagery. The angle which is inherent to oblique imagery allows viewers to see not only the top of objects but the sides as well. All 5 views (1 nadir view and 4 views angled at 45 degrees from the nadir) are viewable in the Oblique Analyst®. The user can select a view to be the primary view and then switch back and forth with other views. An overview map is also available in the bottom right corner of the Oblique Analyst®. The Oblique Analyst® has a large selection of tools and options to be used while exploring the imagery. These features include:  The ability to pan and zoom around in the project area to explore views of the selected location. Users can zoom in and out with the zoom buttons or use the scroll wheel on the mouse.  A compass feature so users always know the direction of the current view. The half circle button in the middle indicates the nadir or top-down view. The triangle button in the center indicates a top-down, north-up navigation view which is also used to view WMS/WFS layers.  An overview map (bottom right corner) so users know the exact location within the project area.  An addressing feature to quickly locate a specific address, incorporating County’s geocoding services. The Oblique Analyst® allows integration with other software environments through URL parameters, i.e., users/other applications can start the viewer at a specified location by using one of the following URL parameters. The buildings of 100 sq ft or more area are extracted In addition, the Acceptance Criteria review process will examine all other data produced as part of the LiDAR production process. This will include the following:  Validating correct file formats and versions;  Reviewing all associated metadata records;  Reviewing 2D footprints and 3D buildings;  Reviewing all calibration and analytical reports produced by Sanborn. Sanborn provides an optional service for web-based quality checking of lidar data available to the County. Data is served from a central data server at Sanborn to the customer-side computer, and uses a mapping interface from within a standard web browser. We will avoid exchanging files via emails.  A project ftp website will be set up by Sanborn before the commencement of the project for sharing large data/files (limit is 200 GB)  A login will be setup by Sanborn for Santa Clara Project so that the customer has access to the acquisition status on daily basis.
