GENERAL TERMS AND CONDITIONS Hold Harmless: Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and all damage and liability, including all costs of defending any claim, caused by or arising out of the performance of this Agreement. City shall not be liable for acts of Contractor in performing services described herein. Insurance: Should the City require evidence of insurability, Contractor shall file with City a Certificate of Insurance before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's Director of Administrative Services. Non-Discrimination: No discrimination shall be made in the employment of persons under this Agreement because of the race, color, national origin, ancestry, religion or sex of such person. Interest of Contractor: It is understood and agreed that this Agreement is not a contract of employment in the sense that the relationship of master and servant exists between City and undersigned. At all times, Contractor shall be deemed to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in executing this agreement. Contractor certifies that no one who has or will have any financial interest under this Agreement is an officer or employee of City. Changes: This Agreement shall not be assigned or transferred without the written consent of the City. No changes or variations of any kind are authorized without the written consent of the City. The goal of the project is to provide updated local signal timing F>azameters for signals not covered under other projects (i.e., the De Anna-Stevens Creek Arterial Management and the Homestead Rd. Arterial Management projects). Existing signal tuning parameters will also be reviewed, and if applicable, useni as a basis for preparation of the new signal timings. Task 1: Provide Training The training will be focused on the preparation of local signal timing parameters using the Synchro 4.0 software. The training will be supplemented with basic and advanced signal timing overview and theory. It is anticipated that the training will be cone-day session. The proposed format will be: • DKS will begin with a detailed overview ~~f local signal timing parameters. • DKS will go through the preparation oi~ signal timings for one of the project signal detailing the steps and process involved with City staff using Synchro 4.0. • City staff will have hands-on training by preparing the signal timings for the remainder of the 15 project signals using Synchro 4.0. • DKS will provide guidance and answer questions as City staff prepares the signal timings. . Depending on the flow of the training, there may not be adequate time for City staff to complete all 15 project signals during the ogle-day training. City staff may then complete preparation of these signal timings after the training. If so, DKS will be available by phone for questions and will be available for one scheduled meeting with City staff to review results. DKS will also provide a training manual of timing parameters. Task 2: Review and Approve Upon completion of the signal timing paz~~rneters by City staff, DKS will review these timing parameters. Any recommendation for changes will be noted and discussed with City staff if needed. A final set of signal timing pazameters (from the Synchro output) will be submitted to the City Traffic Engineer for final approval. Task 3: Assist City Staff with Implementation We will assist the City in transferring the I-repazed signal timing parameters to controller settings for the Naztec 980. If needed, we wall assist with field implementation of the signal timing parameters and fine-tune in the field.
