GENERAL TERMS AND CONDITIONS
Hold Harmless. Contractor agrees to save and hold harmless the City, its officers, agents and employees from any
and all damage and liability of every nature, including all costs of defending any claim, caused by or arising out of the
performance of this Agreement. City shall not be liable for acts of Contractor in performing services described herein.
Insurance. Should the City require evidence of insurability Contractor shall file with City a Certificate of Insurance
before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non - Discrimination. No discrimination shall be made in the employment of persons under this Agreement because
of the race, color, national origin, ancestry, religion or sex of such person.
Interest of Contractor. It is understood and agreed that this Agreement is not a contract of employment in the sense
that the relation of master and servant exists between City and undersigned. At all times Contractor shall be deemed
to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations
in executing this Agreement. Contractor certifies that no cne who has or will have any financial interest under this
Agreement is an officer or employee of City.
Changes. This Agreement shall not be assigned or transferred without the written consent of the City. No changes
or variations of any kind are authorized without the written consent of the City.

The City of Cupertino will be accepting bids for the ADA Modifications for the outside
bathrooms at McClellan Ranch and the inside bathrooms at Monta Vista.
♦ A separate bid for each building (McClellan & Monta Vista) is desired.
♦ Work to be performed to all City of Cupertino Building Department, Fire Codes and
ADA requirements.
♦ The city will provide all permits and inspections. All inspections will be coordinated
through the Facilities Department representative.
♦ All contractors must provide a copy of then- "Certificate of Insurance" (minimum of 2
million General Aggregate) with proposal.
♦ California Labor Code, Section 1771 requit-es the payment of prevailing wages to all
workers employed on a Public Works contract in excess of $1,000.00.

Monta Vista — Inside Bathrooms ADA Retro
Men's Bathroom
Scope of Work:
1. Work to be done according to sketch, and all ADA requirements.
2. Demo entrance wall and door. Reverse door to Gymnasium room.
3. Middle door to be new entrance door. Remove door & frame. Install 36" steel
door and frame.
4. Relocate light switch.
5. Remove last toilet and all partitions, install new urinal in place of toilet, at
child height.(15 ")
6. Install a second new urinal, ADA height.
7. New urinals shall be, American Standard "Allbrook" # 6541.132
8. Remove 2, existing urinals, flushing; system and partitions.
9. Install low -flow toilet, grab railings, toilet paper holder, and seat cover holder.
10. Replace 2 existing toilets with new low -flow toilets.
11. Install new Sloan "Optima Flush Valves" on all urinals and toilets.
12. Install new partitions, to all toilets and urinals. Re- install toilet paper holders.
New partitions shall be from Global Steel, color Almond #2103.
13. Remove existing sink; replace with 2 single sinks. Re- install soap dispenser
and paper towel holder.
14. Install new exhaust fan.
15. Install new waterproof lights, Grainger # 5u964 -T8.
16. Paint room and non -skid floor. (color to be selected by Facilities Rep.)
