J /~ BY THIS AG NT made and entered into on the 5th day of April, 2002 by and between the CITY OF CUPERTINO (Hereinafter referred to as CITY) and Doug Suisman, 201 Mabery, Monica, CA 90402, (310) 230-9997 Santa (Hereinafter referred to as CONTRACTOR), in consideration of their mutual covenants, the parties hereto agree as follows: CONTRACTOR shall provide or furnish the following specified services and/or materials: See Exhibit A EXHIBITS: The following attached exhibits hereby are made part of this Agreement: Exhibit A TERMS: The services and/or materials furnished under this Agreement shall commence on April 5, 2002 and shall be completed before June 1, 2002. COMPENSATION: For the full performance of this Agreement, CITY shall pay CONTRACTOR: E8,000.00 maximum GENERAL TERMS AND CONDITIONS: Hold Harmless. CONTRACTOR agrees to save anti hold harmless the CITY, its officers, agents, and employees from any and all damage and liability of every nature, including all costs of defending any claim, caused by or arising out of the performance of this Agreement. CITY shall not be liable for acts of CONTRACTOR in performing services described herein. Insurance. Should the CITY require evidence of insurability, CONTRACTOR shall file with CITY a Certificate of Insurance before commencing any services under this Agreement. Said Certificate shall be subject to the approval of CITY'S Director of Administrative Services. Non-Discrimination. It is understood and agreed tha•l this Agreement is not a contract of employment in the sense that the relation of master and servant exists between CITY and undersigned. At all times, CONTRACTOR shall be deemed to be an independent contractor and CONTRACTOR is not authorized to bind the CITY to any contracts or other obligations in executing this Agreement. CONTRACTOR certifies that no one who has or will have any finan~:ial interest under this Agreement is an officer or employee of CITY. Changes. This Agreement shall not be assigned or tl-ansferred without the written consent of the CITY. No changes or variations of any kind are authorized wii:hout the written consent of the CITY. ATF I ~/iaf ~ ~' CUPERTINO COMMUNITY CONGRESS May ?~, 2002 SCOPE OF WORK FOR DOUG SUISMAN URBAN DESIGNER Scope of work: To prepare a 30 minute, audio-visual presentation for the Cupertino Community Congress to present ideas and examples to ac:dress the following overall questions: How can the City activate the two major activity nodes at Vallco and the Crossroads (including the "Downtown Village," City Center and De Anza College?) How can the City ensure walkability, connectivity and a "sense of place" in these activity nodes? How do you create a "sense of place" in public and private spaces? Background: Cupertino has begun a comprehensive General Plan review. The previous General Plan was adopted in 1993, so many new issues nee;d to be addressed. While proposed amendments have not been drafted or circula~:ed yet, preliminary work with the elected and appointed officials and the community h~ls occurred. The Planning Commission and City Council have endorsed the overall concept of "Building Community" and the concepts expressed in the overall questions p~~sed above. Suggestions for presentation: Utilize the theme of "Building Community." Emphasize that the themes have already had some degree of exposure and acceptance by the City. Your information should create a sense of excitement about the concefts, more than providing a formula for achieving them, e.g., no need to prescribe ex<<ct road widths. We hope you will show innovative, infill examples, of how mixed-use, streetscapes and streets have successfully addressed the overall questions. Basic, new urbanism concepts could be described, although many people are; familiar with these concepts and they should be covered pretty quickly. Emphasize two to three-story development, which is more in tune with the scale of development iri Cupertino. Hopefully you can show some "main streets" with 41anes, which Cupertino may consider for the "Downtown Village" concept. (Currently Stevens Creek Boulevard is 6 lanes; we could convert two lanes, one on each side, to parking.)
