THE JOINT UTILIZATION AND 1VIAINTENANCE OF FACILITIES
RELATING TO
THE COUNTY OF SANTA CLARA
TRAFFIC OPERA-TIONS SYSTEM
This AGREEMENT is made and entered into as of the date it is fully executed between the City of
Cupertino, a municipal corporation of the State of California (hereinafter "CITY"), and the County
of Santa Clara, a political subdivision of the State ~~f California (hereinafter "COUNTY").
WHEREAS, the Traffic Operations System (hereinafter "TOS") is funded by the sales tax enacted
by voters approved in the 1996 Measure A/B ba] lot measure for the purpose of improving traffic
operations and management on COUNTY's expre;>sways;
WHEREAS, the COUNTY Roads & Airpona Department (hereinafter "DEPARTMENT")
administers the design and construction of the TOS, and will operate and maintain the TOS upon
completion of its construction;
WHEREAS, the TOS improvements consist of widerground conduit, pull boxes, fiber-optic cable,
system detector loops, closed circuit television cameras, video and communication equipment and
hubs installed on COUNTY'S expressways and at the COUNTY'S Traffic Operations Center
located at 1505 Schallenberger Road in San Jose, (:alifornia;
WHEREAS, the TOS Design Concept calls for a fiber ring installed through local and arterial
street right-of--ways to provide a video and communication link between the individual expressways
and between the expressway communication hubs and the Traffic Operations Center;
WHEREAS, in order to provide for a fiber link between Foothill Expressway and Lawrence
Expressway, access to certain available street right-of--ways and facilities within CITY'S jurisdiction
are necessary for the installation of the TOS underground conduit, pull boxes and fiber-optic cable;
WHEREAS, CITY plans to provide signal coordination along Foothill Boulevard and Stevens
Creek Boulevard within the above described geographic limits.
NOW, THEREFORE, in the mutual best interest: of orderly and economic construction practices,
and, for and in consideration of their mutual promises, covenants and agreements, and subject to the
terms, conditions and provisions hereinafter set forth, COUNTY and CITY do hereby agree as
follows:

A. JOINT UTILIZATION OF FACILITIES BY CITY AND COUNTY
1. CITY agrees that the street right-of-ways; on North Foothill Boulevard between Foothill
Expressway and Stevens Creek Boulevard and on Stevens Creek Boulevard between North
Foothill Boulevard and Route 85 will be made available to COUNTY for the installation of
the underground conduit, pull boxes, and fiber-optic cable.
2. CITY agrees that COUNTY can jointly utilize, to install the COUNTY-owned 96-strands
fiber-optic cable trunk line, the existing CITY-owned signal conduit and pullbox facilities
along Stevens Creek Boulevard between North Foothill Boulevard and Imperial Avenue.
The locations of the CITY-owned conduit guns, sizes, and approximate lengths are shown on
Attachment A, incorporated herein and by 1:his reference made a part hereof.
COUNTY shall obtain from CITY a no-fe~~ encroachment permit, if required by CITY, and
shall submit to CITY for review and approval of the plans and specifications for the
installation of the said TOS improvements within CITY street right-of--ways and facilities.
4. COUNTY agrees to reserve and assign to CITY one buffer tube consisting of twelve (12)
fiber strands of the COUNTY-owned 96-strands fiber-optic cable trunk line for use in signal
coordination of CITY traffic signals. The reserved fiber strands shall be in black colored
buffer tube.
5. COUNTY agrees to install as part of the Foothill Expressway TOS Project a splice pillbox at
each of the following CITY's signalized intersections as listed below for future connection
by CITY of its traffic signal systems for coordination to the reserved fiber strand(s) of the
COUNTY-owned fiber-optic trunk line:
a. North Foothill Boulevard and Cristo Rey Drive/Starling Drive,
b. North Foothill Boulevard and Stevens Creek Boulevard,
c. Stevens Creek Boulevard and Orange Avenue, and,
d. Stevens Creek Boulevard and Budd Ro:~d/Peninsula Avenue.
6. CITY agrees to provide a minimum of thirty (30) days advance notice to COUNTY of
CITY-planned connection of its traffic si;~al systems to the reserved fiber strand(s) and
furnish plans and specifications of the said work for review and approval by COUNTY prior
to field implementation.
B. MAINTENANCE AND OTHER RESPONSIBILITIES
CITY shall continue to maintain at CITY's expenses the existing CITY-owned conduit runs
as indicated in A.2 hereinabove.
2. CITY shall maintain at CITY's expenses any future CITY-installed conduit runs between
COUNTY-installed fiber trunk line splice boxes and CITY-owned traffic signal controller
cabinets at the intersections indicated in A.:i hereinabove.

3. CITY shall maintain at CITY's expense the strand(s) in the fiber trunk line reserved and
assigned by COUNTY for CITY's use as defined in A.4 hereinabove and any future CITY-
installed lateral fiber-optic cable runs between CITY-owned traffic controller cabinets and
COUNTY-owned fiber-optic trunk line. A.t the request of CITY, COUNTY can maintain the
said fiber strands for CITY, including temporary repair or replacement of the damaged fiber.
CITY agrees to reimburse COUNTY for costs incurred by COUNTY in performing such
work as defined in B.7 hereinbelow.
4. COUNTY shall maintain at COUNTY's expense the conduit runs installed by COUNTY.
5. COUNTY shall maintain at COUNTY's expense the remaining of the 96-strands fiber trunk
line.
6. COUNTY and CITY shall equally share the costs for maintaining, including repairing or
replacing, pull boxes and splice boxes along the fiber trunk-line as referred to herein.
7. For services to be performed by COUNTY for CITY as mentioned hereinabove, COUNTY
shall furnish to CITY a cost estimate on tJ1e work for review and acceptance by CITY prior
to performing such work. Upon written approval by CITY of the estimated cost, COUNTY
shall proceed with the work and invoice CITY upon the completion of the work. CITY
agrees to pay COUNTY within 30 calendar days of the receipt of invoice.
8. CITY shall notify COUNTY a minimum. of thirty (30) days in advance of any proposed
street improvements or work by CITY or third parties under the encroachment permit
process within the street right-of--ways on North Foothill Boulevard and Stevens Creek
Boulevard within the geographic limits indicated in A.1 hereinabove and provide COUNTY
with said proposed improvements plans for review and imposition of any possible
conditions by COUNTY to prevent any :potential impact or damage to the TOS facilities
prior to approval of or issuance of permit for such improvements or work by CITY.
9. COUNTY shall locate, upon request or notification by Underground Services Alert of work
to be performed in the geographic vicinity of its fiber-optic system, the locations of its fiber-
optic trunk line on Foothill Boulevard and Stevens Creek Boulevard.
10. CITY shall locate, upon request or notific<tion by Underground Services Alert of work to be
performed in the geographic vicinity of it~~ fiber-optic system, the locations of its fiber-optic
facility between the COUNTY-owned fiber-optic trunk line and CITY-owned traffic signal
systems on Foothill Boulevard and Steven. Creek Boulevard.
11. CITY agrees to issue at no cost to COUNTY and COUNTY'S construction contractor all
necessary permits required for the maint~;nance or repair of the TOS facilities within the
CITY'S jurisdiction.
12. This AGREEMENT may be amended by written agreement by both parties to include
additional maintenance responsibilities as necessary by either party as mutually agreed
upon.

C. HOLD HARMLESS
In lieu of and not withstanding the pro rata risk allocation, which might otherwise be imposed
between the Parties pursuant to Government Code Section 895.6, the Parties agree that all losses
or liabilities incurred by a Party shall not be shared pro rata but, instead, COUNTY and CITY
agree that, pursuant to Government Code Section 895.4, each of the Parties hereto shall fully
indemnify and hold each of the other parties, their officers, board members, employees, and
agents, harmless from any claim, expense or cost, damage or liability imposed for injury (as
defined in Government Code Section 810.f3) occurring by reason of the negligent acts or
omissions or willful misconduct of the indemnifying party, its officers, employees or agents,
under or in connection with or arising out of any work, authority or jurisdiction delegated to
such party under this AGREEMENT. No party, nor any officer, board member or agent thereof
shall be responsible for any damage or liability occurring by reason of the negligent acts or
omissions or willful misconduct of the other parties hereto, their officer, board members,
employees, or agents, under or in connection with or arising out of any work authority or
jurisdiction delegated to such other parties under this AGREEMENT.
D. SEVERABILITY
Should any part of this AGREEMENT be held to be invalid, illegal or unenforceable in any
respect, such invalidity, illegality, or unenforceability shall not affect the validity of the
remainder of this AGREEMENT which shall continue in full force and effect; provided that the
remainder of the AGREEMENT, absent the excised portion, be reasonably interpreted to give
effect to the intentions of the Parties.
E. NON WAIVER
A failure by either Party to require full compliance with any requirement or condition of this
AGREEMENT shall not be deemed to be waiver of that requirement or condition or of any
subsequent breach of the same or any other requirement or condition. Acceptance of
performance or fulfillment of a requirement oi• a condition by the other Party, including payment
to either party, shall not be deemed to be ;~ waiver of any preceding breach, regardless of
knowledge or such preceding breach at the tirrie of acceptance.
