GENERAL TERMS AND CONDITIONS Hold Harmless: Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and all damage and liability, including all costs of defending any claim, caused by or arising out of the performance of this Agreement. Interest of Contractor: It is understood and agreed that this Agreement is not a contract of employment in the sense that the relationship of master and servant exists between City and undersigned. At all times, Contractor shall be deemed to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in executing this agreement. Contractor certifies that no one who has or will have any financial interest under this Agreement is an officer or employee of City. Changes: This Agreement shall not be assigned or transferred without the written consent of the City. No changes or variations of any kind are authorized without the written consent of the City. BACKGROUND A. Project Description The Project consist of collecting traffic data, in which staff will review, compaze, and re-evaluate the Eaton Neighborhood circulation in the City of Cupertino (City). The goal of the project is to determine if commute traffic still uses the neighborhood streets as a short- cut, examine if patterns have changed since the opening of State Route 85 (19 Oct. 1994), and determine the continue use of the automated gate on Pacifica Avenue (manually barrier in-place 1986 and automated gate in-place 1988, hours 6:30-8:30 AM & 4:00-6:30 PM). The project study area is bordered by De Anna Boulevard, Rodrigues Avenue, Blaney Avenue, and Bollinger Road. The consultant will collect traffic count, surveys, and study data and present the output in hazd copy form and in an electronic format. The work to be done consists of furnishing all labor, methods of process, tools, to complete the neighborhood evaluation. T'he City of Cupertino reserves the right to increase or decrease the scope of work and or to omit portions of work deemed unnecessary by the .~ Engineer. The City of Cupertino also reserves the right to unilaterally determine and awazd the contract to any qualified bidder based on the most advantageous proposal, to reject any or all bids, or to waive any irregularities in the procedures. PROPOSAL :fZEQUIREMENTS A. Technical Proposal Content The technical proposal shall address the Scope of t}ie Work and include the following: 1. Introduction Introduce the proposal, including a statement of the proposer's understanding and approach of the Project. Give the name of the firm submitting the :proposal, its mailing address, telephone number, fax number, and name of contact person. Identify all proposed subconsultants. 2. Work Plan The work plan of tasks and meetings shall be c~~nsistent with the Scope of Work and include the following elements: • Name of the Project Manager. • Organization chart that shows the proposed rf:lationships between all key personnel and support assigned to the Project. 3. Project Schedule .~ The technical proposal shall present a comprehensive Project schedule of tasks to reflect the time frame required to complete each milestone listed in the Scope of Work. It shall include completion date for each milestone and identify milestones that are interdependent. B. Cost Proposal Content. Please fill in the following proposal sections (pages 5, 6, and 7 of 9). The cost proposal shall cover all Traffic Engineering services for the Project. Consultant shall submit the cost proposal sealed in a separate envelope and plainly endorsed "COST PROPOSAL." Proposal Review IV. CONSULTANT SELECTION City staff will review the proposal to determine iif it meets all requirements in sections of General Proposal Requirements. Failure to meet the requirements will be cause for rejection of the proposal. The City may reject any proposal if it is conditional, incomplete, or contains irregularities. B. Selection The criteria for selection of the consultant shall include: • Understanding of work. • Experience with similar kinds of work. • Quality of staff. • Capability of developing innovative or advanced techniques. • Knowledge of local, State, and Federal procedwres. • Financial responsibility. V. GENERAL REQUIREMENTS In order to meet these requirements, the following criteria have been established: A. Insurance and Indemnification Requirements During the course of work, the following insurance: and indemnification requirements with the City as additional insured will be in force. General minimum requirements are as follows: 1. Workers' compensation insurance to cover its employees ($1.0 million for each occurrence). 2. Commercial general liability insurance including personal injury and property damage ($1.0 million for each occurrence and $2.0 million in aggregate). 3. Automobile liability insurance ($1.0 million for each occurrence). 4. Professional liability (errors and omissions) insiuance ($1.0 million for each occurrence). 5. Indemnification and hold harmless provisions related to the consultant's negligent acts, errors or omissions. Consultant shall use the City's insurance forms.
