Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and all damage and liability of every nature, including all costs of defending any claim, caused by or arising out of the performance of this Agreement. City shall not be liable for acts of Contractor in performing services described herein. Insurance. Should the City require evidence of insurability Contractor shall file with City a Certificate of Insurance before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's Director of Administrative Services. Non-Discrimination. No discrimination shall be made in tf ie employment of persons under this Agreement because of the race, color, national origin, ancestry, religion or sex of such person. Interest of Contractor. It is understood and agreed that this Agreement is not a contract of employment in the sense that the relation of master and servant exists between City end undersigned. At all times Contractor shall be deemed to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in executing this Agreement. Contractor certifies that no cne who has or will have any financial interest under this Agreement is an officer or employee of City. Changes. This Agreement shall not be assigned or transfi:rred without the written consent of the City. No changes or variations of any kind are authorized without the written consent of the City. The project would make use of a portion of an existing office building for Church administration and services. VNork Tasks 1 -- Prepare project description. The project will be described in terms of proposed allocation of space and hours of peak use. The proposed use of space will be compared to the existing use of the I~roject site. 2 -- Conduct field review of project sites The project site will be visited to determine existing conditions including parking lot capacity and driveway design. 3 -- Prepare trip generation analysis. The trips projected for the project will be compared to the trip generation of the existing use of the site for weekday street traffic peak hours and for the hours of peak project peak trip generation. 4 -- Prepare estimate of parking generation. The peak project parking requirements will be estimated and compared to available on-site parking. Any deficiency will be noted and mitigation will Ise recommended. 5 -- Discuss neighborhood impacts. Any impacts of the project on the adjacent neighborhood will be identified, including the potential for traffic to use the project site to short-cut normal routes. 6 -- Prepare a summary report on the project traffrc impuc7 analysis. Schedule and Budget The above work would be completed in twa weeks from the date of authorization to proceed. The professional fee for the above work would be $3,450.00.
