(Hereinafter referred as CONTRACTOR), in consideration of their mutual covenants, the parties hereto agree as
follows:

EXHIBIT "A" PROPOSAL
TERMS: The services and/or materials furnished under this Agreement shall commence on FEBRUARY 1, 2000
and shall be completed before DECEMBER 31, 2000
COMPENSATION: For the full performance of this Agreement, CITY shall pay CONTRACTOR:
NOT TO EXCEED $4,500.00 (ACTUAL COST BA;>ED ON HOURLY RATES)
GENERAL TERMS AND CONDITIONS
Hold Harmless. Contractor agrees to save and hold harmless the City, its officers, agents and employees from any
and all damage and liability of every nature, including all costs of defending any claim, caused by or arising out of the
performance of this Agreement. City shall not be liable for Picts of Contractor in performing services described herein.
Insurance. Should the City require evidence of insurability Contractor shall file with City a Certificate of Insurance
before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non-Discrimination. Nodiscrimination shall be made in tie employment of persons under this Agreement because
of the race, color, national origin, ancestry, religion or sex of such person.
Interest of Contractor. It is understood and agreed that this Agreement is not a contract of employment in the sense
that the relation of master and servant exists between City and undersigned. At all times Contractor shall be deemed
to bean independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations
in executing this Agreement. Contractor certifies that no ~~ne who has or will have any financial interest under this
Agreement is an officer or employee of City.
Changes. This Agreement shall not be assigned or trans~~erred without the written consent of the City. No changes
or variations of any kind are authorized without the written consent of the City.

EXHIBIT A
We are pleased to present herein orar proposal to perform testing and
inspection services during the construction of the proposed Cupertino Senior
%itizen Center. The subject site is located at 21251 Stevens Creeks Boulevard
in Cupertino, California.
Testing and inspection services durin±~ the construction phase of above-
mentioned site will ensure the earth works performed by the contractors are in
conformance to the specifications. The testing and inspection services
provided by our firm can be consiclered as quality control during the
construction phase of the project.
Based on our review of the existing plans for the proposed development, the
estimated cyst of the above mentioned services will nat exceed $4,500.00
without your prior approval., The cost, will be based on a $65.00 per hour
charge far our field engineer at the site and $80.00 per hour far senior review
(reviewing the inspection Letters %z hr. per letter) during the construction phase.

United Soil Engineering, Int.'s testing arkd inspection services will include the
following:
1. Attend apre-construction mf:eting
2. Foundation and grading-plans review
3. Perform all field moisture and density tests and observation
services during the construction of;
a) Building pad
b) Foundation trench excavation inspection
d) Excavation and backfilling of old foundation
structures and old 'utility trenches, if any
e) Retaining wall foundation and backffll inspection,
if any
f) Underground utility trench backfill
g) Driveway and parking ,areas
5. Performing laboratory compaction tests (ASTM D1 557-91)
6. Engineers office tune for consultation, calculation, and
preparation of necessary rep~~rts
7. Necessary equipment and nuclear gauge
8. Preparation of a corn}~letion ~~eport for occupancy permit
