BY THIS AGREE NT, made and entered into this 22 "d day of February, 2010, by and between the CITY OF
CUPERTINO (Hereinafter referred to as CITY) and Bev Catli Manzano of Beverly Catli Design

(Hereinafter referred as CONTRACTOR), in consideration of their mutual covenants, the parties hereto agree as
follows:
CONTRACTOR shall provide or furnish the following specified services and /or materials:
Images & Illustrations for the Heart of the City Specific Plan; Layout of Document
EXHIBITS: The following attached exhibits hereby are made part of this Agreement:
Exhibit 1: E -mail between partiies from February 18 -22, 2010
TERMS: The services and /or materials furnished under this Agreement shall commence on Monday, February 22,
2010 and shall be completed before Monday, March 8, 201'0.
COMPENSATION: For the full performance of this Agreement, CITY shall pay CONTRACTOR: $1600.00
GENERAL TERMS AND CONDITIONS
Hold Harmless Contractor agrees to save and hold harmless the City, its officers, agents and employees from any
and all damage and liability due to negligence, errors and omissions, including all costs of defending any claim, caused
by or arising out of the performance of this Agreement. City shall not be liable for acts of Contractor in performing
services described herein.
Insurance Should the City require evidence of insurability, Contractor shall file with City a Certificate of Insurance
before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non - Discrimination No discrimination shall be made in the employment of persons under this Agreement because of
the race, color, national origin, ancestry, religion or sex of such person.
Interest of Contractor It is understood and agreed that this Agreement is not a contract of employment in the sense
that the relationship of master and servant exists between City and undersigned. At all times, Contractor shall be
deemed to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other
obligations in executing this agreement. Contractor certifies that no one who has or will have any financial interest
under this Agreement is an officer or employee of City.
Changes This Agreement shall not be assigned or transferred without the written consent of the City. No changes or
variations of any kind are authorized without the written consent of the City.

Hi Aki,
Thank you for the opportunity to estimate this project for you. Based on following a similar look as that which
was previously developed, here is my estimate.
I could complete this project in 2 -3 days for the initial layout to be proofed, then add a day or two for you to
proof, and input any changes needed.
I would charge $1,600 for the project, including prepress and press check supervision. I am estimating $40 per
page, so if the page count is more or less, I would adjust the pricing. I am not including an additional charge for
the press check, although I usually do, seeing as many of the pages are pretty simple without graphics.
Please let me know if you have a limited budget which I am exceeding, and we can discuss accommodating
your needs.
Let me know if you have any questions or concerns regarding this estimate.

Thanks very much for taking time to discuss this possible project. It was a pleasure to talk to you on the phone.
Here is a draft of the plan (I haven't yet incorporated the changes from Tuesday's meeting, but at least this will
give you an idea of the approximate length and language) in Word format. Our previous consultant created the
polished format (this is an older version of the plan created in 2008 that was not adopted, but just created to
provide a visual idea of what the final product would look like) using a program called In- Design. We are
looking for a consultant to provide the following:
1. Convert the Word document into a polished, publishable format similar in design and format to what our
previous consultant did.
2. Incorporate photographs (provided by the City) and graphics (including modifying the graphics) into the
document
3. Clean up the numbering /lettering in the document.
4. Time frame it will take to do the work. We are looking for this to be completed as soon as possible.
5. Cost estimate for the work to be done.
