BY THIS AGREEMEN , ade and entered into this 7 day of June, 2010, by and between the CITY OF CUPERTINO
(Hereinafter referred to as CITY) and Name (1) Pavement Engineering, Inc. (PEI), 3820 Cypress Drive, Suite 3,
Petaluma, CA, 94954, phone (707) 769 -5330 (Hereinafter referred as CONTRACTOR), in consideration of their mutual
covenants, the parties hereto agree as follows:
CONTRACTOR shall provide or furnish the following specified services and /or materials:
Professional services in connection with 2010 Pavement Management Program.
EXHIBITS: The following attached exhibits hereby are made part of this Agreement:
Letter & proposal of June 1, 2010.
TERMS: The services and /or materials furnished under this Agreement shall commence on June 7, 2010
and shall be completed before December 31, 2010.
COMPENSATION: For the full performance of this Agreement, CITY shall pay CONTRACTOR:
An amount not to exceed $74,000.00, unless altered in writing by the City of Cupertino.
California Labor Code, Section 1771 requires the payment o'` prevailing wages to all workers employed on a Public Works
contract in excess of $1,000.00.
GENERAL TERMS AND CONDITIONS
Hold Harmless. Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and
all damage and liability due to negligence, errors and omissions, including all costs of defending any claim, caused by or
arising out of the performance of this Agreement. City shall not be liable for acts of Contractor in performing services
described herein.
Insurance. Should the City require evidence of insurability, Contractor shall file with City a Certificate of Insurance before
commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's Director of
Administrative Services.
Non - Discrimination. No discrimination shall be made in the employment of persons under this Agreement because of
the race, color, national origin, ancestry, religion or sex of such person.
Interest of Contractor. It is understood and agreed that this Agreement is not a contract of employment in the sense that
the relationship of master and servant exists between City and undersigned. At all times, Contractor shall be deemed to
be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in
executing this agreement. Contractor certifies that no one who has or will have any financial interest under this
Agreement is an officer or employee of City.
Changes. This Agreement shall not be assigned or transfi:rred without the written consent of the City. No changes or
variations of any kind are authorized without the written consent of the City.

Subject: Proposal for the Preparation of Contract Documents for the 2010 Pavement
Management Program, Various Streets, Cupertino
Dear Glenn:
At this time we are submitting our formal proposal for the subject project. This proposal will
outline our services and associated fees for the subject project.
PROJECT DESCRIPTION
The project will consist of street segments identified by the City's PMS data as candidates for
Overlay, Cape Seal, and Slurry Seal treatments for 2010. The list of streets is included with this
proposal as Attachment A. The scope of work include design for overlays, cape seals and
slurry seals, traffic striping, utility adjustments, and corrections to adjacent concrete facilities,
including curb and gutter with drainage problems, sidewalk panels lifted or otherwise damaged
by tree roots, and installing curb ramps where needed. Existing ramps will remain intact unless
found to be potential hazardous in their current condition.
DESCRIPTION OF SERVICES
The proposed project includes reviewing streets, performing pavement evaluation including
deflection testing, field measuring quantities, developing contract documents with cost estimates
and providing bidding and construction support services. Our project approach and scope of
work is outlined below.
SCOPE OF WORK
Task 1 Street Investigation / Engineering Review
PEI will work with the City to identify and visually evaluate streets that have been
identified by the City as project candidates. During our review, we will confirm the
appropriate treatment (overlay, cape seal, or slurry seal) for each street. After our
review, we will develop a preliminary budget for each street and meet with City staff to
discuss our findings. During the meeting, a final project list will be developed.
Task 2 Pavement Evaluations Including Deflection Testing for Pavement Design of
Overlay Streets
PEI will perform deflection testing, coring and analysis on the overlay candidate streets
identified in Task 1. This type of analysis will eliminate the guess work and ensure that

an optimum approach is identified for the pavement design.
The deflection analysis will be performed in general accordance with California Test
Method 356 (CTM 356). Deflection tests will be performed at 100 foot maximum
intervals in each lane (minimum of 10 tests per lane). Coring will be performed at 500
foot maximum intervals over the street segment (minimum 2 cores per street segment).
Traffic control will be provided using a follow vehicle with a towed arrowboard on arterial
and collector streets. Flagging will be provided as needed. The Traffic Index
information will be obtained from the City's T.I. map for collector and arterial roadways.
On residential roadway segments, a T,I. of 5.5 will be assumed.
Task 3 Measurement of Field Quantities
PEI will physically walk each of the project streets developed in Task 1 to measure and
record all pertinent field quantities. Physically measuring the quantities provides
confidence that the bid quantities are correct. Taking the time to physically measure
each bid item in the field ensures smoother contract administration and reduces the
potential for change orders.
All field quantities of physical elements � :o be incorporated in the rehabilitation and /or
resurfacing work of each street will be measured and recorded. This information
includes the location of existing striping, pavement markers and paint markings; location
of underground utilities; concrete repairs; limits of paving transitions, digouts, and other
pavement repairs; and total area of pavement to receive a maintenance treatment.
The one exception to this approach will be identifying the limits of new curb ramps. As
was discussed, the short time frame to put together this project will be insufficient to fully
design each ramp situation. Therefore, new ramps will be specified per standard detail
with a quantity assigned per detail. It will be imperative to set aside a contingency fund
of sufficient size to ensure that any overage of quantities directly related to ramps can be
accommodated in the construction budget.
Task 4 Preparation of Contract Documents and Estimate
All field quantities (from Task 3) will be compiled into individual engineer's estimates by
street segment. A summary spreadsheet of the entire project will be prepared.
Technical specifications will be drafted and details for typical sections, transitions,
keycuts, digouts, and additional pavement work will be prepared. Any portions of the
maintenance work which require further clarification will be submitted in the form of
drafted plan views, enlargements, or details as is necessary. If needed to facilitate the
design, PEI will develop base sheets from aerial images. Plan sheets based on aerial
images will be field corrected to ensure accuracy.
All Contact Documents, including plans, special provisions, technical provisions, bidding
documents, engineer's estimates, and any other information pertinent to the project, will
be submitted to the city for review at approximately 95% completion. Any corrections or
revisions from the City will be incorporated into a final version of the documents, and a
final set will be delivered to the City within 'I week of receiving plan check comments.
PROPOSED WORK SCHEDULE
PEI understands that time is of the essence. We understand that the City wants to begin
advertising at the end of June 2010, PEI is committed to meeting that schedule, and is
available to begin the work immediately.
PROPOSAL FEE & FEE BREAKDOWN
Pavement Engineering Inc's fee for the work is based on our experience with similar projects
performed for the City and the project list provided by the City. According to the City's list, the
total estimated cost of construction for the candidate streets is $1,550,000. Our fee for this work
is estimated at $73,995, or 4.75% of the construction cost. The estimated fees for the total
project will include all field work, design worth; and contract document development up to
completion of the project.
All fees and costs associated with this project are subject to final negotiation with the City of
Cupertino. Changes in scope may result in additional fees. Inspection and testing services are
not included and will be provided under separate proposal at the City's request.
