GENERAL TERMS AND CONDITIONS Hold Harmless: Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and all damage and liabilitY~inCIUding all costs of defending any claim, caused by or arising out of the performance of this Agreement. City shall not be liab e for acts of Contractor in performing services described herein. due to negligence, errors and omissions Insurance: Should the City require evidence of insurability, Contractor shall file with City a Certificate of Insurance before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's Director of Administrative Services. 1 " , Non-Discrimination: No discrimination shall be made in the employment of persons under this Agreement because of the race, color, national origin, ancestry, religion or sex of such person. Interest of Contractor: It is understood and agreed that this Agreement is not a contract of employment in the sense that the relationship of master and servant exists between City and undersigned. At all times, Contractor shall be deemed to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in executing this agreement. Contractor certifies that no one who has or will have any financial interest under this Agreement is an officer or employee of City. Changes: This Agreement shall not be assigned or transferred without the written consent of the City. No changes or variations of any kind are authorized without the written consent of the City. City will not require bid bonds and liquidated damages will not be incurred. The Contractor shall posses a Class C-lO Electrical Contractor's License. The agreement, this letter, and response supportive documentation shall constitute the contract. I have listed the following materials and order of work, however not limited to, as follows: Project Elements 1. Prior to shut down, attend pre-construction meeting and verify conductors and detector lead-in's lengths. 2. Shut down intersection after 9AM and return to normal operation by 3:30PM. 3. Intersection control will be coordinated through and furnished by the City, with a seventy-two (72) hour lead. 4. Disconnect and remove the controller and appurtenances for reuse. 5. Expand exiting traffic signal foundation (332) to accommodate a TS2 Type 2 (P) cabinet and shall be set where the previous foundation is located. Install #4 dowels into existing foundation. Shifting of the foundation to the west may be necessary, so as not to encroach on the meter cabinet installation. 6. Expand exiting meter enclosure foundation (Type IIIAF) to accommodate a 24-200 cabinet and shall be set where the previous foundation is located. Install #4 dowels into existing foundation. 7. Remove the cabinets (i.e. 332 & Type IIIAF) from the existing foundations and will become property of the Contractor. 8. Pick up City furnished TS2-Type 2 (P) traffic signal cabinet and 24-200 (meter side & UPS wlbatteries) meter enclosure. . Traffic signal cabinet is located at 10981 Franco Court. . Meter enclosure is located at 10555 Mary Avenue. 9. Tag all wires with T &B Ty-rap cables ties. 10. Land all wires and rt;initialize the controller. 11. Test operation. 12. Warranty on work and materials. 10f3 EXHIBIT B Time and Completion 1. This project has 15 working days from the date of the agreement. City Duties 1. Deliver traffic signal controller, MMU, and any other appurtenances. 2. Complete the installation of all colors with LED's and pedestrian housing and LED countdown heads. 3. A forty-eight (48) hour notice from the Contactor prior to any operational shutdoVv'll of any traffic signal, the City will arrange for the Sheriff Department to direct traffic at no expense to the Contractor during the traffic signal shutdown. 4. Kevin Rieden, Public Works Inspector, will inspect proper lane closing. Any questions concerning lane closures shall be directed to him. His number is 408.777.3104. 5. Mike Vandeveer and Cameron Corry, Traffic Signal Technician will complete the electrical inspection. Their number is 408.777.1366. Outside Vendor 1. Deliver Clary UPS upgrade software, e-prom, appurtenance, and new batteries. 2. Land all wires and reinitialize the UPS system. 3.
