St. John Street, Suite 850, San Jose, CA 95113, (408) 971-6100(Hereinafter referred as CONSULTANT), in consideration of their mutual covenants, the parties hereto agree as follows: CONSULTANT shall provide or furnish the following specified services and/or materials: Traffic operations analysis of the De Anza/Pacifica/McClellan intersection, as described in the attached Exhibit A. EXHIBITS: The following attached exhibits hereby are made part of this Agreement: Exhibit A, Proposal TERMS: The services and/or materials furnished under this Agreement shall commence on November 1, 2011 and shall be completed before March 1, 2012. COMPENSATION: For the full performance of this Agreement, CITY shall pay CONSULTANT: Lump sum in the amount of$9,975.00 California Labor Code, Section 1771 requires the payment of prevailing wages to all workers employed on a Public Works contract in excess of $1,000.00. GENERAL TERMS AND CONDITIONS Hold Harmless. Consultant shall, to the fullest extent allowed by law, with respect to all services performed in connection with the Agreement, indemnify, defend, and hold harmless the City and its officers, officials, agents, employees and volunteers from and against any and all liability, claims,actions,causes of action or demands whatsoever against any of them,including any injury to or death of any person or damage to property or other liability of any nature,whether physical, emotional, consequential or otherwise,arising out, pertaining to, or related to the performance of this Agreement by Consultant or Consultant's employees, officers, officials, agents or independent contractors. Such costs and expenses shall include reasonable attorneys'fees of counsel of City's choice,expert fees and all other costs and fees of litigation. Insurance. Should the City require evidence of insurability,Consultant shall file with City a Certificate of Insurance before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's Director of Administrative Services. Non-Discrimination. No discrimination shall be made in the employment of persons under this Agreement because of the race, color, national origin,ancestry,religion or sex of such person. Interest of Consultant. It is understood and agreed that this Agreement is not a contract of employment in the sense that the relationship of master and servant exists between City and undersigned. At all times,Consultant shall be deemed to be an independent consultant and Consultant is not authorized to bind the City to any contracts or other obligations in executing this agreement. Consultant certifies that no one who has or will have any financial interest under this Agreement is an officer or employee of City. Changes. This Agreement shall not be assigned or transferred without the written consent of the City. No changes or variations of any kind are authorized without the written consent of the City. October 28, 2011 Mr. David Stillman City of Cupertino 10300 Torre Avenue Cupertino, CA 95014 Re: Proposal for Traffic Operations Analysis for De Anza & Pacifica/McClellan Dear Mr. Stillman: Hexagon Transportation Consultants, Inc., is pleased to submit this proposal to prepare a traffic operations analysis for the intersection of De Anza Boulevard & Pacific Drive/McClellan Road. At this intersection McClellan Road and Pacifica Drive are offset and have been curved to meet at a single intersection. Because of the curved alignment, the cross-streets must run as split phases at the signal. This decreases the green time for De Anza Boulevard and leads to long back-ups. Another issue is the gas station driveway that is oriented across from McClellan Road, which creates a potential conflict with vehicles that do not necessarily see each other. The purpose of the study is to explore options for revamping the intersection to allow more greentime for De Anza Boulevard. One option is to straighten the cross streets and create two"T"-intersections operating off a single controller. This design would lessen the conflicts at the gas station driveway. Hexagon will study the signal phasing and queuing with this option. If the realignment proves to be unworkable, Hexagon will explore other options to make the gas station driveway safer. Our scope of work includes creating a Synchro and Simtraffic traffic simulation of the intersection to test the realignment option. An important issue will be the queuing between the two"T"-intersections because the queue space is limited. Our scope of work also includes a peer review of the realigned signal design that you already have created. If the realignment would not function because of queuing limitations, we would study options for improving the existing intersection alignment, especially with respect to the gas station driveway. Scope of Work Data Collection. Hexagon will conduct intersection turning-movement counts of both vehicles and pedestrians for three hours in the morning and three hours in the afternoon. Also, we will observe the signal timing, and we will measure the minimum, average, and maximum queue lengths. These data will be necessary to calibrate the Synchro model. Synchro/Simtraffic Model Creation. Hexagon will create a model of the intersection using the Synchro and Simtraffic software. This model will cover the AM and PM peak three-hour periods and will show the traffic flows, signal operations including pedestrian phasing, and queue lengths. It will be calibrated to existing conditions. Realignment Evaluation. Hexagon will use the model to evaluate the potential realignment of the intersection into two"T"-intersections. Of particular interest will be the queuing between the intersections. We will note whether unacceptable back-ups would occur. The simulation will also include the crosswalk across De Anza Boulevard. The signal timing within the model will allow enough greentime for pedestrians to cross the street. Signal Design Peer Review. Hexagon will review the conceptual signal design that you have prepared. We will note the locations of poles, signal heads, and detectors. To reduce the cost of the potential modification, we will try to reuse as much existing signal equipment as possible. Recommendations. Hexagon will provide recommendations for the signal design and operations of the potential realignment scheme, assuming that it can be made to work. Particular attention will be paid to the gas station driveway. Schedule and Budget The study will take three weeks to complete. It will be necessary to complete the traffic counts before the week of Thanksgiving. After that, traffic conditions do not return to normal until mid-January. The cost for the study will be$9,975.
