CUPERTINO (Hereinafter referred to as CITY) and FEHR& PEERS

(Hereinafter referred as CONTRACTOR), in consideration of their mutual covenants, the parties hereto agree as
follows:
CONTRACTOR shall provide or furnish the following specified services and/or materials: PREPARE
A FOCUSED TRANSPORTATION STUDY FOR THE APPLE CAFETERIA IN CUPERTINO, CA
EXHIBITS: The following attached exhibits hereby are made part of this Agreement: EXHIBIT A
TERMS: The services and/or materials furnished under this Agreement shall commence on 1-19-2012
and shall be completed before 2-29-2012.
COMPENSATION: For the full performance of this Agreement, CITY shall pay CONTRACTOR: $21,000
GENERAL TERMS AND CONDITIONS
Hold Harmless Contractor agrees to save and hold harmless the City, its officers, agents and employees from any
and all damage and liability due to negligence, errors and omissions, including all costs of defending any claim, caused
by or arising out of the performance of this Agreement. City shall not be liable for acts of Contractor in performing
services described herein.
Insurance Should the City require evidence of insurability, Contractor shall file with City a Certificate of Insurance
before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's
Director of Administrative Services.
Non-Discrimination No discrimination shall be made in the employment of persons under this Agreement because of
the race, color, national origin, ancestry, religion or sex of such person.
Interest of Contractor It is understood and agreed that this Agreement is not a contract of employment in the sense
that the relationship of master and servant exists between City and undersigned. At all times, Contractor shall be
deemed to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other
obligations in executing this agreement. Contractor certifies that no one who has or will have any financial interest
under this Agreement is an officer or employee of City.
Changes This Agreement shall not be assigned or transferred without the written consent of the City. No changes or
variations of any kind are authorized without the written consent of the City.

Re: Proposal to Prepare a Focused Transportation Study for the Apple Cafeteria in
Cupertino, California
Dear Simon:
Fehr& Peers is pleased to submit this proposal to conduct a focused transportation study for the
proposed Apple Cafeteria at 20625 Alves Drive in Cupertino, California. We understand that the
proposed project will be a one-story 19,878-s.f.cafeteria serving approximately 2,900-3,000 Apple
employees. The employees are located in approximately 20 office buildings along the half-mile
stretch of Bandley Drive between Valley Green Drive to the north and Alves Drive to the south. A
local Apple shuttle system serves most of the buildings along this corridor, which we assume will
also serve the proposed cafeteria. The proposed project includes a below-grade parking garage
to accommodate 66 vehicles. The purposes of this focused transportation analysis are to: 1)
prepare a trip generation analysis, 2) determine whether the proposed on-site parking supply is
sufficient to meet the demand generated by the cafeteria should it become a non-Apple
establishment, 3) evaluate site access for pedestrians and bicycles, 4) assess on-site circulation,
and 5) provide an alternatives analysis.
Based upon our discussions with you, this letter includes our proposed scope of work, fee, and
schedule to complete the analysis.
SCOPE OF WORK
Fehr& Peers will complete the following tasks:
Task 1—Prepare Trip Generation Estimates. Fehr& Peers will prepare a trip generation analysis
for the proposed cafeteria. As proposed, the cafeteria will serve Apple employees exclusively,
most of whom are expected to walk, bike, or take the shuttle to the cafeteria from the
surrounding Apple offices to the north. Since the trip generation characteristics of the Apple
cafeteria will be based on non-auto trips, we will not use standard trip generation rates from
Institute of Transportation Engineers (ITE), which primarily assume vehicle access. Instead, we
propose to develop trip generation estimates based on the anticipated trip characteristics of the
Apple cafeteria.

As part of this task we will also assess Apple's shuttle and Transportation Demand Management
(TDM) programs to determine if the frequency of the shuttle service will be adequate to meet the
anticipated demand and to qualitatively evaluate how employees would access the cafeteria on
days with inclement weather, when walking and biking is not as feasible (i.e., locations of the
nearest parking lots,their relative occupancy, etc.).
Task 2 — Parking Demand/Supply Assessment. Apple employees are primarily expected to use
alternative modes to access the cafeteria;therefore the site will likely have a low parking demand.
In the future, however, the site could be sold or leased to users other than Apple. As such, the
parking analysis will focus on whether the proposed parking supply is sufficient to accommodate
standard cafeteria/restaurant uses and other potential future uses. The parking demand for the
proposed project will be based on project information and standard transportation planning
practices. We will compare the proposed parking supply to the City of Cupertino's parking
requirements outlined in their Municipal Code (Chapter 19.100). Additionally, parking supply and
demand rates from the (ITE) and the Urban Land Institute(ULI)will be compiled and compared to
determine a range of rates for a variety of potential future uses.
Task 3 — Site Access. Since the proposed project will attract a large number of pedestrians,
bicyclists, and shuttle users, we will evaluate the Bandley Drive corridor for multi-modal users.We
will focus the analysis in the section between Valley Green Drive and Alves Drive, including the
four unsignalized intersections and three mid-block crosswalks. We will make recommendations
to improve multi-modal access. This scope of work does not include the preparation of
conceptual drawings of identified multi-modal improvements. Conceptual plans can be prepared
as an additional service.
Task 4—On-Site Circulation. Potential on-site circulation issues, including required street throat
depths, access and circulation in the underground parking garage, parking space layout and
design, number of conflict points, as well as signing and pavement markings will be evaluated.
The site plan will be reviewed to ensure that adequate and direct pedestrian and bicycle facilities
and connections are provided.
Task 5—Alternatives Analysis.As part to the alternatives analysis,we will evaluate the project as
a standard cafeteria that does not have the unique trip generation and travel characteristics
anticipated with Apple's use of the cafeteria. We will develop vehicle trip generation estimates
using ITE rates for similar uses and qualitatively assess which intersections the cafeteria potentially
could impact.To do this we will estimate the directions of approach and departure of project trips
based on the locations of complementary land uses, existing travel patterns in the area, and the
locations of project site driveways and then assign the trips to the surrounding roadway network.
We will also evaluate the cafeteria's potential parking impacts.
Task 5 — Documentation. The results of the trip generation analysis, parking demand/supply
assessment, and site access evaluation will be presented in a memorandum format using text,
tables, and graphics. This proposal includes up to four (4) hours to respond to comments on the
draft analysis and to finalize the memorandum.

Data Requirements.A preliminary list of data requirements for the study are listed below:
• Shuttle schedule and route
• Existing shuttle ridership
• Shuttle capacity
• Final site plan including indoor and outdoor seating capacity and parking garage layout
• Capacity and hourly utilization of existing Apple cafeteria by day of the week
FEE AND SCHEDULE
The fee to conduct the analysis and documentation as described above is $21,000, which will be
billed on a time-and-materials basis. This includes all professional and support staff time, as well
as direct expenses. Additional services will only be conducted with written authorization. We
estimate that we can complete the analysis and provide a draft memorandum for your review
within three weeks upon receipt of a fully executed contract.
If this scope, fee, and schedule are acceptable then please provide us with a contract. This
proposal is valid for a period of 30 days. We appreciate the opportunity to submit this proposal
