(Hereinafter referred as CONTRACTOR), in consideration of their mutual covenants, the parties hereto agree as follows:
CONTRACTOR shall provide or furnish the following specified services and/or materials:
To perform biennially Congestion Management Program (CMP) turning movement counts at various 14 City intersections.
EXHIBITS: The following attached exhibits hereby are made part of this Agreement: Quote EXHIBIT A and project letter
RFQ EXHIBIT B.
TERMS: The services and/or materials furnished under this Agreement shall commence on October 2. 2006
and shall be completed before October 16. 2006
COMPENSATION: For the full performance of this Agreement, CITY shall pay CONTRACTOR: Amount not to exceed
$5,440.00
California Labor Code, Section 1771 requires the payment of prevailing wages to all workers employed on a Public Works
contract in excess of $1 ,000.00.
GENERAL TERMS AND CONDITIONS
Hold Harmless. Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and all damage
and liability due to negligence, errors and omissions, including all costs of defending any claim, caused by or arising out of the
performance of this Agreement. City shall not be liable for acts of Contractor in performing services described herein.
Insurance. Should the City require evidence of insurability, Contractor shall file with City a Certificate of Insurance before
commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's Director of
Administrative Services.
Non-Discrimination. No discrimination shall be made in the employment of persons under this Agreement because of the race,
color, national origin, ancestry, religion or sex of such person.
Interest of Contractor. It is understood and agreed that this Agreement is not a contract of employment in the sense that the
relationship of master and servant exists between City and undersigned. At all times, Contractor shall be deemed to be an
independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in executing this
agreement. Contractor certifies that no one who has or will have any financial interest under this Agreement is an officer or
employee of City.
Changes. This Agreement shall not be assigned or transferred without the written consent of the City. ~ngeEs oNTr varEiatRionEs D

RE: REQUEST FOR QUOTE - 2006 ANNUAL TRAFFIC COUNTS
Dear:
The City of Cupertino is requesting your quotes to perform 2006 annual turning movement counts
(TMC's) at fourteen (14) intersections and all counts shall include all vehiCles (i.e. bicycle).
If you are interested, the City is on a fast track and request that your bid be submitted by the 4th of
August 2006 (Friday), by 8:00 A.M. Please fill in the following proposal section and either call us or
FAX your quote to this office by the above date. Our FAX number is 408.777.3333. In addition, once the
Contractor receives the written notice of award then the agreement shall be completed.
Project:
This project requires two (2) hour turning movement counts at 15 minute increments, during the peak
hours of 7:00-9:00 A.M. and 5:00-7:00 P.M., and only on a Tuesday, Wednesday, or Thursday. The
Contractor shall start the counts by 2 October 2006 (Monday), end by 12 October 2006 (Thursday), and
submitted to the City by 16 October 2006 (Monday).
These counts shall include all free rif!ht turns at I) Wolfe Road and 1-280 N. Ramp (Exhibit A), 2)
Wolfe Road and I-280 S. Ramp (Exhibit B), 3) Stevens Creek Boulevard and State Route 85 E. Ramp
(Exhibit C). In addition, the northbound approach from De Anza College on Stevens Creek Boulevard at
State Route 85 E. Ramp shall be included as a complex movement. It is important to acknowledge that
the intersection of De Anza Boulevard & Stevens Creek Boulevard and De Anza Boulevard &
Homestead Road, will require four count personnel at each.
