The City of Cupertino (hereinafter "City") is a municipality organized and operating under the general laws of the State of California. WHEREAS, District is the owner of certain real property (hereinafter "the premises") together with certain improvements and appurtenances over a portion thereof which are used for flood protection and water conservation purposes. The premises are more particularly described in Exhibit A attached hereto; and WHEREAS, the premises are also regulated by a variety of federal, state, and local agencies; and WHEREAS, District and City, wish to utilize a portion of the premises for the construction and operation of a permanent bicycle and pedestrian bridge which extends over Route 280 and which is known as the Mary Avenue Bicycle and Pedestrian Footbridge (hereinafter "Footbridge"); and WHEREAS, the parties have determined that it is in the public interest to provide for joint use of the premises by means of an Agreement under the following terms and conditions: AGREEMENT 1. Encroachment District hereby grants to City an encroachment over a portion of the premises for the purpose of constructing and operating the Footbridge subject to the provisions of this Agreement. 2. Use of the Footbridge Portion of the Premises Subject to Sections 3 and 4 of this Agreement, City shall have the full control and authority over that portion of the premises utilized for the Footbridge, and the City may restrict, control, regulate and supervise the use thereof by its employees and members of the public. City rnay, in its s~ie discretion, hit subject to the provisions contained in ~ectiQns and 4 of this Agreement, take any measures of any kind as may in the opinion of the City be necessary for the safety of the users of the Footbridge and that portion of the premises related to the Footbridge. Further, the City shall have the sole responsibility for the maintenance of the Footbridge and that portion of the premises related to the Footbridge in a usable and safe condition. City shall have the right to build any improvements on the premises necessary, or convenient to the enjoyment of this Agreement, provided the location of any such improvement is first approved by issuance of a permit by the District. It is fully understood and agreed _ _ that District's basis of approval or disapproval of improvements is its .responsibility to insure that the same shall not constitute an obstruction - - - -, ; to flood flows and shall not interfere with the use of the premises for - - flood protection or water conservation purposes and the maintenance thereof. 3. District's Usage of Premises District will continue to own, operate, maintain and otherwise be responsible for that portion of the premises which is not utilized for the Footbridge including all improvements and appurtenances related. to storm drainage, flood protection or water conservation purposes. District shall have the sole responsibility to maintain the ~unipero Serra Channel for flood protection and water conservation purposes, to repair and reconstruct the same where necessary for such purposes and to perform such periodic maintenance as may be appropriate to such purposes, including removal of silt, debris, and obstructive growth. It is expressly understood that District is engaged in flood protection and conservation of water and that the terms and conditions of this 2 Agreement shall not in any way interfere with the absolute, free and unrestricted right of District to operate and maintain for flood protection and water conservation purposes the stream bed and banks or any appurtenant works thereto, or to repair or reconstruct any of its existing works, or to raise or lower the height of the water present upon the premises; and it is further understood that nothing herein contained shall ~i?~ ~Ot'~Stt"E,le~ ~S. ~Jrofe~riE~f~;' cc ~fght upork ~iti! tC7- hive ~C a ul.~t~f €~rf~~E District to provide water upon the premises at any. time. Damage to the District's facilities caused by the City's use of the premises under this Agreement shall be the responsibility of the City. 4. District's Future Use of Premises In the event District is required to make improvements on the premises for flood protection or water conservation purposes (including the improvement or enlargement of the )unipero Serra Channel) which will impact City's Footbridge, the parties will meet and confer in good faith for the purpose of planning and constructing of said improvements in a manner which will cause the least damage or injury to the City's Footbridge. In no event, however, shall proposed flood .protection or water conservation improvements be implemented which will cause the Footbridge to be moved, demolished or otherwise~be rendered unusable. City warrants that bridge design will allow for lateral excavation upto the edge of footing and excavation above footing to limits of District property, if necessary. S. Cost of Footbridge Modifications All costs associated with the modifications of the Footbridge which are necessary to facilitate necessary flood protection or water conservation improvements shall be borne by City. 6. Damage to City's Facilities District will not be liable for damage or claims of damage to City's facilities on the premises provided that such damage is caused by lawful District operation of its facilities on the premises and further. provided that such damage is not the result of District negligence. District shall endeavor to avoid damage to City improvements whenever reasonably possible. 7. Scheduling of Routine Maintenance 3 City and District shall meet whenever necessary for the purpose of scheduling routine maintenance including, but not limited to: • maintenance issues related to improvements and facilities • method of timing of issues related to affected wildlife • non-emergency work requiring the use of heavy equipment, barricading, and/or restricting access to the Premises. Each party will provide reasonable written notice to the other prior to commencement of such work in order to minimize public impact. • In the event of an emergency, the party which has jurisdiction over the emergency shall cause to be performed the necessary work to relieve the emergency without prior consultation with the other party as described above, provided, however, that written notification shall be provided by one party to the other within a reasonable time during or after the emergency work_is performed. 8. Indemnification a) BY City City shall assume the defense of indemnity and hold harmless District, its officers, agents and employees from all claims, liability, loss damage and injury of any kind, nature or description directly or indirectly arising during this Agreement, and resulting from the public use of the premises pursuant hereto or from public use of adjacent premises or from acts, omissions, or activities of City's officers, agents, employees or independent contractors employed by City, excepting claims, liability, loss, damage, or injury which arise from the willful or negligent acts, omissions, or activities of an officer, agent, or employee of District. This Agreement to defend, indemnify, and hold harmless shall operate irrespective of whether negligence is the basis of the claim, liability, loss, damage, or injury and irrespective of whether the act, omission, or activity is merely a condition rather than a cause. b) By District District shall assume the defense of, indemnify, and hold harmless City, its officers, agents and employees from all claims, liability, 4 loss, damage and injury of any kind, nature or description directly or indirectly from District's exercise of its flood control or water conservation purposes on the premises pursuant hereto or from acts, omissions, or activities of District's officers, agents, employees or independent contractors employed by District excepting claims, liability, loss, damage or injury which arises from the willful or negligent acts, omissions or activities of an officer, agent or employee of City, This Agreement to defend, indemnify, and hold harmless shall operate irrespective of whether negligence is the basis of the claim, liability, loss, damage, or injury, and irrespective of whether the act, omission, or activity is merely a condition rather than a cause. 9. City Compliance With Graffiti Abatement Program City shall be responsible for compliance with the City's graffiti abatement program within the premises. 1 0. Resolution of Disputes District and City recognize the unique nature of the resources and recreational uses covered by this Agreement and the beneficial effects to both parties providing these resources to the public. District and City will use their best .efforts and the goodwill of their respective offices to mutually support th:e efforts of each other to deliver services to the public. District and City further agree to cooperate in order to resolve disputes through voluntary mediation or other methods and to assist each other in responding to public inquiries arising from the activities of the parties under this Agreement. 11. Integration Clause This Agreement includes any and all exhibits, covenants, agreements, conditions, and understandings between City and District concerning the premises. District and City may be referred to herein individually as a "Party" or collectively as the "Parties"' RECITALS A) Whereas, the Parties entered into an agreement entitled "JOINT USE AGREEMENT" (Agreement), effective January 20, 2004 for recreational purposes on premises along Regnart Creek; and B) Whereas, the Parties now wish to amend the Agreement to include additional lands as shown on Exhibit B. Authorize the interim Chief Executive Officer (CEO) to execute the amendment to the Joint Use Agreement (Agreement) with the City (Attachment 3). 3. Authorize the Chair of the Board of Directors to sign the proposed transmittal letter (Attachment 4). RATIONALE: An amendment (Attachment 3) of the existing Agreement is requested by the City to encumber the additional District lands for recreational purposes along Regnant Creek. Executive Limitations Policy No. EL-5, Item 5.9, requires that the Board make all decisions regarding the acquisition, encumbrance, or disposal of real property. This amendment to the Agreement, authorizing joint use with the City, encumbers additional District property and is presented to the Board for consideration and delegation of authority to the CEO to execute the agreement. This amendment also supports Board Ends Policy 3.3.1 which states "Public access to 70 miles of trails along creeks and access to open space by the year 2016 consistent with Measure B." This provides an additional 0.04 miles of trails to support the policy. SUMMARY: The location of the property is shown as Attachment 1. On January 20, 2004, the City and the District entered into a 30-year term Agreement for the purpose of allowing recreational uses of District property along Regnant Creek at De Palma 0125a-a.docx 1 of 2 AUTHORIZED fEB d 6 2008 SUBJECT: Amendment to Joint Use Agreement With the City of Cupertino for Bicycle and Pedestrian Path Along Regnart Creek 02/06/08 Lane. The City desires to amend the Agreement to extend the limits of the pathway along Regnart Creek up to the terminus of De Palma Lane as shown on Exhibit B. The additional lands provide for 200 feet (0.04 miles) of trail. The premises subject to this amendment are also subject to use for vehicular access as described by the Grant Deeds adopted on December 18, 1961 and January 2, 1962. The Grant Deeds grant the owners of the property at 20055 and 20065 De Palma Lane the right to construct an access road within the District property. The City and the developer have worked together to accommodate the vehicular access and pedestrian path in the design of the development. Pending the Board's consent of the recommended actions, a District construction/encroachment permit can be issued for the proposed trail construction. CEQA REGlUIREMENTS: The City, acting as a lead agency for the trail project, approved a Negative Declaration for the development at 20055 and 20065 De Palma Lane in July 2006. Later, the City prepared an Environmental Assessment Addendum to the Negative Declaration to include the trail construction. As a fee title owner of the property where the trail will be constructed and a permitting agency, the District is a responsible agency under CEQA for this project. The District may rely upon the Lead Agency's CEQA analyses prior to approving the Agreement. In its findings for the project, the City states that the project is consistent with the City's General Plan and there are no significant environmental effects. The addendum identifies that the residential development will be subject to the construction best management practices to mitigate for the potential impacts on storm water quality. Provisions will be included in the District's permit for the project, as appropriate, to ensure that the mitigation measures are included in the project delivery. The final Negative Declaration is included as Attachment 2. PUBLIC OUTREACH: District staff worked with the City to develop the amendment. District and City may be referred to herein individually as a "Party" or collectively as the "Parties".
