CONTRACTOR sball provide or furnisb the followinl specifled services and/or materials: Remove two (2) 18
poles, including solar panels, remove the foundations to 14 inches below grade, fill in removal area and concrete cap
walk area, protect and deliver salvaged poles and solar panels to the Traffic Signal Shop at 10981 Franco Court.
EXlUBITS: The following attached exhibits hereby are made part of this Agreement: Exhibit A "cost estimate" and
Exhibit B "RFQ."
TERMS: The services and/or materials furnished under this Agreement shall commence on AU2ust 10.2007
and shall be completed before AU2ust 30. 2007
COMPENSATION: For the full performance of this Agreement, CI1Y shall pay CONTRACTOR.: Amount not to

California Labor Code, Section 1771 requires the payment of prevailing wages to all workers em~lo ed on a Public

GENERAL TERMS AND CONDITIONS
Hold Harmless. Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and
all damage and liability due to negligence, errors and omissions, including all costs of defending any claim,'caused by
or arising out of the performance of this Agreement. City sball not be liable for acts of Contractor in performing
services described herein.
Insuruee. Should the City require evidence of insurability, Contractor shall file with City a Certificate of Insurance
before commencing any services under this Agreement. Said Certificate sball be subject to the approval of City's
Director of Administrative Services.
Non-Diserimlnattou. No discrimination shall be made in the employment of persons under this Agreement because of
the race. color, national origin, ancestry, religion or sex ofsucb person.
hlterest of CODtnctor. It is understood and agreed that this Agreement is not a contract of employment in the sense
that the relationship of master and servant exists between City and undersigned. At all times, Contractor sball be
deemed to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other
obligations in executing this agreement. Contractor certifies that no one who has or will have any financial interest
under this Agreement is an officer or employee of City.
Cb...... This Agreement shall not be assigned or transferred without the written consent of the City. No changes or
variations of any kind are authorized without the written consent of the City.

Date: 2 August 2007
Reason for Request: Owner initiated, request removal of two (2) IB poles, which
supports solar panels for an in pavement lighting system. The system was removed due to
non-conforming use at a controlled intersection.
We are requesting a cost estimate including all labor, tools, and equipment necessary to
perform the following, yet not limited to.
Description of Work:
1. Remove of two (2) 1 B poles, including solar panels, remove the foundations to 14
inches below grade, fill in removal area and concrete cap walk area, protect and deliver
salvaged poles and solar panels to the Traffic Signal Shop at 10981 Franco Court.
The City will perform the inspection at no cost to the Contractor. However, we do require
a twenty-four (24) hour notice before move in and for inspection. And lastly, this
community follows California Storm Water Best Management Practice.
