Ste. 3 City Petaluma Zip 94954 Phone (707) 769-5330 (Hereinafter referred as CONTRACTOR), in consideration of their mutual covenants, the parties hereto agree as follows: CONTRACTOR shall provide or furnish the following specified services and/or materials: Pavement Evaluation and Engineering Design Services for Various Projects EXHIBITS: The following attached exhibits hereby are made part of this Agreement: See Attached Scope of Work TERMS: The services and/or materials furnished under this Agreement shall commence on October 12. 2007 and shall be completed before Mav 15. 2008 COMPENSATION: For the full performance of this Agreement, CITY shall pay CONTRACTOR: Amount not to exceed $120,000.00 California Labor Code, Section 1771 requires the payment of prevailing wages to all workers employed on a Public Works contract in excess of $1 ,000.00. ~ GENERAL TERMS AND CONDITIONS - u ENTERED Hold Harmless. Contractor agrees to save and hold harmless the City, its officers, agents and employees from any and all damage and liability due to negligence, errors and omissions, including all costs of defending any claim, caused by or arising out of the performance of this Agreement. City shall not be liable for acts of Contractor in performing services described herein. Insurance. Should the City require evidence of insurability, Contractor shall file with City a Certificate of Insurance before commencing any services under this Agreement. Said Certificate shall be subject to the approval of City's Director of Administrative Services. Non-Discrimination. No discrimination shall be made in the employment of persons under this Agreement because of the race, color, national origin, ancestry, religion or sex of such person. Interest of Contractor. It is understood and agreed that this Agreement is not a contract of employment in the sense that the relationship of master and servant exists between City and undersigned. At all times, Contractor shall be deemed to be an independent contractor and Contractor is not authorized to bind the City to any contracts or other obligations in executing this agreement. Contractor certifies that no one who has or will have any financial interest under this Agreement is an officer or employee of City. Changes. This Agreement shall not be assigned or transferred without the written consent of the City. No changes or variations of any kind are authorized without the written consent of the City. As requested, we are providing our proposal to provide pavement evaluation and engineering design services. This proposal covers our work to prepare and develop the following projects: Task 01 - Pasadena Avenue Pavement Maintenance Project Task 02 - Edge Drain Design for Steven's Creek Boulevard Task 03 - Neighborhood Zones 3 & 10 Pavement Maintenance Project Task 04 - Neighborhood Zone 8 Pavement Maintenance Project Task 05 - Railroad Crossing at Seven Springs Parkway It is our understanding that the City wishes for this design work to be completed by the end of December 2007. To accomplish this, we will need to begin the work by the middle of September at the latest. Our services for each Task will include the following: Task 01 - Pasadena Avenue Pavement Maintenance Pro;ect Pavement deflection testing, coring, and R-value tests will be performed. Due to the drainage concerns at this site, we will also prepare a topographic survey of the roadway and adjacent residential facilities. No Property line or boundary survey work is included in our scope; however, this information can be added to our plans if provided by the City. From the survey, a base plan will be prepared, which will be used for design development. Task 02 - Edqe Drain Desiqn for Steven's Creek Boulevard Preliminary plans have already been prepared for this Task. Our scope of services will involve further refining the preliminary plans, including a site visit to determine specific start and stop points of the edge drain, as well as connection points to the existing storm drain system. Construction details and technical specifications will be prepared to accompany the plans. An engineer's estimate and Bid Schedule will also be provided. PEl will be on hand to assist the City including attendance of bid meetings, during the bid, and preparing addenda as during the bid process, answering any questions necessary. Our fee for the Edqe Drain Desiqn for Steven's Creek Boulevard is $3,370. Task 03 - Neiahborhood Zones 3 &.10 Pavement Maintenance Proiect The project will incorporate pavement overlays, slurry seals, and cape seals on the various street segments. Pavement deflection testing, coring, and R-value tests will be performed on streets identified for pavement overlay only. All roadways will be measured in the field to determine construction quanti ties. The quanti ties from these two neighborhood zones will be incorporated into the estimates previously prepared for the streets identified in the proj ect originally known as "The 2007 Slurry Seal Project". The final product will be in the "binder" format previously used by PEl and the City of Cupertino. Our fee for the Neiqhborhood Zones 3 & 10 Pavement Maintenance Project will be $33,770 (Please note that this does not include the $5,385 remaining in the original contract amount for the 2007 Slurry Seal Project). Task 04 - Neiqhborhood Zone 8 Pavement Maintenance Proiect The project will incorporate pavement overlays, slurry seals, and cape seals on the various street segments. Our services will not include boundary survey research; however, we can add this information to our plans if supplied by the City. Plans, specifications, and a construction estimate will be prepared to communicate the proposed design. We anticipate plans to be prepared in a 24x36 size format, due to the expected complexity of the design. PEl will be on hand to assist the City including attendance of bid meetings, during the bid, and preparing addenda as during the bid process, answering any questions necessary. Our fee to prepare the design for the Railroad Crossino at Seven Sprinos Parkway will be $9,450. Please note that our proposed fees for the various tasks do not include the cost of Construction Administration, Inspection and Testing. We will be glad to provide proposals for this phase of each proj ect under separate cover, once each design is fully developed. As always, our proposed fees are subject to negotiation with the City.
